Nazara's stake in Nodwin to drop below 50% after internal fundraise

Nazara Technologies, the only publicly listed gaming company in India, will cease to be the majority shareholder in its subsidiary Nodwin Gaming, as Nodwin prepares for an internal fundraise.
Nodwin will be reclassified as an associate company from its current status as a subsidiary following the fundraise.
Nodwin is raising fresh capital from certain existing shareholders. However, Nazara will not participate in the proposed funding round in Nodwin.
Nazara's stake in Nodwin is expected to fall below 50 per cent.
It will, however, remain the largest shareholder in Nodwin even after the de-subsidiarisation.
'The proposed capital raise will result in the shareholding of the company (Nazara) in Nodwin falling below 50 per cent. Further, in order to support Nodwin's next phase of growth and provide it with the operational and financial flexibility needed to raise timely funding, the company has also decided to waive certain controlling and restrictive rights it currently holds as the majority shareholder,' it said.
Nodwin's fundraise comes at a time when the company plans to 'pursue aggressive growth in its e-sports and youth media business'.
In December 2024, the Nazara board had approved an investment of Rs 64 crore in Nodwin.
Nazara had acquired a majority stake of 55 per cent in Nodwin Gaming in 2018.
It had then said that it planned to leverage its investments in the mobile and digital sports category to build intellectual properties (IPs) in the e-sports space along with Nodwin in categories such as soccer, cricket, and other traditional sports.

Remove Ads About 1,190 MW capacity decentralised solar plants were installed in the last one year in Rajasthan under the PM-KUSUM scheme , an official statement said.A total of 684 decentralised solar plants with a combined capacity of 1,305 MW have been set up in Rajasthan so far, of which 592 plants (1,190 MW) were installed in the past 12 conventional large-scale solar parks, KUSUM scheme promotes small-capacity, grid-connected plants installed by farmers themselves or in partnership with developers on barren land. AI image India has become the world's top player in real-time digital payments, largely due to the rapid growth of the Unified Payments Interface (UPI), according to a recent International Monetary Fund (IMF) note titled 'Growing Retail Digital Payments: The Value of Interoperability'. Launched in 2016 by the National Payments Corporation of India, UPI has revolutionised the country's payment ecosystem by enabling users to link multiple bank accounts to a single mobile app and make instant transactions with ease. It has not only simplified peer-to-peer payments but also enabled millions of small businesses to accept digital payments at minimal cost. According to data from the Press Information Bureau (PIB), UPI now processes over 18 billion transactions every month, accounting for 85 per cent of India's total digital payments. In June alone, the platform recorded 18.39 billion transactions worth Rs 24.03 lakh crore — a 32 per cent increase from June last year. With 491 million users and 65 million merchants onboard, UPI connects 675 banks through a single digital framework. 'This shift has taken India away from cash and card-based payments and pushed it towards a digital-first economy,' noted the PIB in its latest background series. India is also pushing for UPI to be adopted within the BRICS grouping, which now includes six new member nations. As per the PIB, such an expansion 'will improve remittances, boost financial inclusion and raise India's profile as a global tech leader in digital payments.' Agency: PTI Last Updated: Puri, July 20 (PTI) Minister of State for Railways V Somanna inspected the redevelopment works underway at the Puri railway station in Odisha on Sunday. He also visited the 12th-century Jagannath temple along with his family in the seaside town. 'Over the past decade, railway infrastructure in the region has seen unprecedented growth, with significant advancements in new line construction, track doubling, and enhancement of passenger amenities — far surpassing the progress of previous years," he said. 'At present, 59 stations in the state are being redeveloped at a cost of Rs 2,379 crore," he said. Somanna also spoke about the introduction of trains such as the Vande Bharat Express, which now connect major cities of the state, boosting regional connectivity and development. He said the redeveloped Puri station will offer world-class amenities to passengers, including improved access, modern waiting halls, lifts and escalators, and executive lounges.
