The day when SMI has all its AGM resolutions rejected by majority shareholders
This decisive rejection came from proxies representing Target 1 Sdn Bhd, Honsin Apparel Sdn Bhd and HIQ Media (M) Sdn Bhd who collectively hold 50.05% of SMI's shares.
'Given this absolute majority, the outcome of the voting was effectively determined, rendering further polling unnecessary,' the company pointed out in a Bursa Malaysia filing
'Consequently, pursuant to an order from the Kuala Lumpur High Court dated June 20 arising from an application filed by (self-nominated director) Teh Chee Hoe, the AGM has been adjourned to a future date to be set by the Court.
The four resolutions set out in SMI's Notice of the 53rd AGM were:
To re-appoint Messrs UHY Malaysia PLT as auditors of the company until the conclusion of the next AGM at a remuneration to be determined by the directors;
To approve the payment of directors' fees and benefits of up to RM350,000 to non-executive directors of the company and subsidiaries;
To re-elect Latifah Abdul Latiff who is retiring by rotation given she has offered herself for re-election; and
Authority to allot and issue shares in general pursuant to Sections 75 and 76 of the Companies Act 2016.
'This unprecedented outcome demonstrates shareholders' concerns regarding the governance and direction of the company, hence marking a pivotal moment for SMI and its stakeholders,' a market observer told FocusM.
Earlier on June 17, SMI said it had rejected a proposal to nominate Teh and three others as directors at its AGM, citing violations of corporate and securities regulations.
In a stock exchange filing, SMI had received the proposal on June 12 from Teh who nominated Ng Fun Kim, Ling Chi Hoong, Amy Tan Li Peng and himself for election to the company's board.
'Based on the investigations by the company, the SMI board of has been advised that Teh did not satisfy the requirements of Section 323 of the Companies Act 2016 (CA 2016),' noted SMI.
'Additionally, he (Teh) is also connected to Target 1 Sdn Bhd which has issued a notice of unconditional mandatory take-over offer dated Aug 20 on the company (SMI).'
At the close of today's (June 26) market trading, SMI was down 0.5 sen or 1.54% to 32 sen with 1,000 shares traded, thus valuing the company at RM67 mil. – June 26, 2025

According to Shahrilnizam Mohamed, 54, based on the original kuih bakar recipe of his mother, he and his wife, Mahanum Abdul Rahman, 52, allowed themselves to reimagine the traditional cake with contemporary tastes. "We want to change the perception that kuih bakar is only meant to be sweet. It can also be savoury and come in a variety of flavours…The idea to create sardine-flavoured kuih bakar was inspired by both my wife and me, as we enjoy sardine dishes,' said Shahrilnizam when met by Bernama at his outlet in Larkin Sentral here recently. Shahrilnizam said this unique kuih bakar, which takes between 45 minutes and one hour to bake, is a hit with Singaporean customers, many of whom are willing to wait for long periods to take home their favourite flavours, particularly durian and sardine. During the holiday season, sales can reach up to 450 pieces a day, compared to an average of 200 on regular days, indicating how innovation can elevate this traditional Malaysian delicacy to unexpected heights. New housing projects must include schools for community wellbeing
BUTTERWORTH: Every new housing project must be planned comprehensively, complete with facilities such as schools, preschools and nurseries for the well-being of the people, said Prime Minister Datuk Seri Anwar Ibrahim. He stressed that the government will not approve any housing project that does not meet these basic needs. 'If you build a house but the school is far away, what do you do?' he said when speaking at the Groundbreaking Ceremony and Launch of SkyWorld Pearlmont Rumah Bakat MADANI project here today. Anwar said an integrated planning approach not only saves on transportation costs for residents but also improves safety and reduces the concerns of parents who have to send their children to schools far away. He also stated that the government is considering the development of schools vertically (vertical schools) in areas with limited land, with complete facilities such as fields, laboratories and others. Anwar stressed that the comprehensive implementation of the project by developers is better than the separate tender method which can cause delays. He also praised the Rumah Bakat MADANI project by SkyWorld for having unique elements, namely providing a 'central park' and a 'vertical school', in addition to being the first project in Malaysia to be built using 'prefabricated prefinished volumetric construction (PPVC)' technology. PPVC technology uses a construction concept like 'LEGO', where modular units are completely built in the factory including the installation of tiles, toilet fittings, electrical wiring, windows, doors and painting work before being sent to the site for installation.
