
T-Mobile US, Inc. and T-Mobile USA, Inc. Announce Final Results of its Exchange Offers and Consent Solicitations for Certain of Array Digital Infrastructure, Inc.'s Outstanding Debt Securities
Today's final results concern the Company's offers to exchange:
(i) Array's 6.700% Senior Notes due 2033 (the 'Old Array 2033 Notes') for new 6.700% Senior Notes due 2033 to be issued by T-Mobile USA (the 'New 2033 Notes');
(ii) Array's 6.250% Senior Notes due 2069 (the 'Old Array 2069 Notes') for new 6.250% Senior Notes due 2069 to be issued by T-Mobile USA (the 'New 2069 Notes');
(iii) Array's 5.500% Senior Notes due 2070 (March) (the 'Old Array March 2070 Notes') for new 5.500% Senior Notes due March 2070 to be issued by T-Mobile USA (the 'New March 2070 Notes'); and
(iv) Array's 5.500% Senior Notes due 2070 (June) (the 'Old Array June 2070 Notes' and, together with the Old Array 2033 Notes, the Old Array 2069 Notes and the Old Array March 2070 Notes, the 'Old Array Notes') for new 5.500% Senior Notes due June 2070 to be issued by T-Mobile USA (the 'New June 2070 Notes' and, collectively with the New 2033 Notes, the New 2069 Notes and New March 2070 Notes, the 'New T-Mobile Notes');
in each case upon the terms and subject to the conditions set forth in the Prospectus, as defined below. In connection with the Exchange Offers, the Company and T-Mobile USA also solicited consents to amend the applicable indentures governing each series of the Old Array Notes (the 'Consent Solicitations') to modify or eliminate certain notice requirements and restrictive covenants in the indentures governing the Old Array Notes. As previously announced on June 16, 2025, the Company and T-Mobile USA have received valid consents to the Proposed Amendments (as defined in the Prospectus) to the indentures governing the Old Array Notes from the holders of at least a majority of the outstanding aggregate principal amount of each series of the Old Array Notes.
The Exchange Offers and the Consent Solicitations expired today, August 1, 2025, at 5:00 p.m., New York City time (the 'Expiration Date').
The table below provides the aggregate principal amount of validly tendered Old Array Notes that the Company accepted for exchange as of the Expiration Date, as well as the aggregate principal amount of New T-Mobile Notes to be issued and the total amount of cash to be paid, in connection with the Exchange Offers and the Consent Solicitations:

The Early Consent Fee (as defined in the Prospectus) will only be paid to holders of those Old Array Notes that were validly tendered prior to the Early Participation Date (as defined in the Prospectus), and not validly withdrawn, as described in the Prospectus.

T-Mobile USA has added 'more built-in benefits' to its 5G and small business internet propositions. T-Mobile Small Business Amplified and All-In plans will now include advanced cyber security to help block harmful sites and detect suspicious activity, managed from the T-Life app. Homes and businesses have a choice from three plans: Rely ($35 per month), Amplified ($45 per month), or All-In ($55 per month), with a voice line and AutoPay. All backed by benefits such as a 'worry-free 15-day test drive' and other offers. This new proposition simultaneously hits two nails on the head for the SOHO (Small Office Home Office) market. Security is an issue for all sizes of business from owner-managers to CEOs at multinationals. Cyber attacks on the increase The latter have dedicated expert teams and specialist partners to help protect them. Small businesses do not, have such resources so they rely increasingly on security being delivered as part of their service contract. There has also been a lot of evidence recently of cyber attacks increasing on the SMB (Small and Medium-sized Business) and SOHO enterprise segments. However, this announcement also addresses a conundrum facing all telecoms service providers (and tech in general): how do you manage propositions that overlap the small business and consumer markets (sometimes the word prosumers is used to bridge the verbal gap, but that isn't much help)? Credit card debt is higher than ever: 5 ways to reduce what you owe now
Credit card debt is continuing to climb, and it's not just inching upward, either. Americans added $27 billion to their credit card balances in the second quarter of 2025, pushing the total credit card debt tally to a staggering record-high $1.21 trillion nationwide, according to the latest quarterly Household Debt and Credit Report from the Federal Reserve Bank of New York. That represents a 2.3% increase from the previous quarter and an uptick of nearly 6% compared to this time last year. And it's not just the rising credit card balances that are cause for concern. According to the report, nearly 7% of credit card balances have also transitioned into delinquency over the last year. That's a signal that more borrowers are struggling to keep up with their credit card payments as interest rates remain stubbornly high at nearly 22% on average. Rates that high can cause card balances to balloon quickly, especially as the compound interest charges accrue. With balances at near-record highs and delinquencies on the rise, and with economic uncertainty continuing to loom, now is the time to take action. Luckily, there are several strategies you can use to get ahead of your debt and start to regain control of your finances. Find out more about the debt relief strategies available to you now. If you want to lower your credit card debt, the following strategies could help you do that: If you have multiple credit card balances and decent credit, a debt consolidation loan might be a good way to simplify your payments and potentially lower your interest rate. If you're not sure which direction to take, a credit counseling agency can help review your financial situation and walk you through your options. These agencies offer free or low-cost consultations and may recommend a debt management plan if you qualify. A debt management plan consolidates your debts into a single monthly payment, and the credit counselor will work to try and lower your interest rates and have fees waived. While you won't be settling the debt for less than you owe, this route may make your payments more manageable, reduce your interest charges and help you avoid falling further behind. Don't underestimate the power of making a simple phone call, either. Most credit card companies would rather work with you on a solution than get nothing if you file for bankruptcy, so they're often willing to negotiate payment plans, reduce interest rates or put a temporary pause on your payment obligations if you're facing a hardship. So, call your issuer and explain your situation honestly to see if they can provide some breathing room while you get your finances back on track. Credit card debt is hitting new highs, and delinquencies are rising alongside it, but you don't have to stay stuck in a cycle of minimum payments and mounting interest. Whether you're behind on payments or just feeling the pinch of high rates, there are real, actionable ways to reduce what you owe. So, compare your options and find the right strategy to start digging out of debt and take control of your financial future.
