Saudi Arabia's ADES to acquire Norway's Shelf Drilling in $380 million deal

Saudi-based oil and gas drilling company ADES International Holding has agreed to acquire Norway's Shelf Drilling in a $380 million all-cash deal, strengthening its position in the global offshore drilling market, according to a report by Reuters.
The deal, valued at $379 million, offers Shelf Drilling shareholders $1.36 per share, representing a 62 per cent premium over the stock's last closing price on the Oslo Stock Exchange. Shelf's board has recommended the offer, the companies told Reuters in a joint statement.
Once finalised, the merger will create a combined fleet of 83 offshore jack-up drilling rigs, solidifying ADES's role as a global leader in shallow-water drilling services.
'With this landmark transaction, we reinforce our position as a market leader in shallow-water offshore drilling,' said ADES CEO Mohamed Farouk, as quoted in the joint statement.
The transaction is expected to close in Q4 2025, subject to shareholder approval at an extraordinary general meeting and other regulatory conditions.
This acquisition is the latest in a string of moves by ADES to expand internationally and bolster its service offerings to the global oil and gas industry.

Last year, Brookfield announced its regional private equity fund, Brookfield Middle East Partners, which will target buyouts, structured solutions and other investment opportunities across industrials, consumer and business services, technology and healthcare in Saudi Arabia and the region. The company intends to allocate 50 per cent of the capital to investments in the Kingdom. Brookfield is one of the largest foreign direct investors in the GCC with a portfolio of approximately US$15 billion of managed assets across infrastructure, private equity and real estate. Headquartered in New York, Brookfield has over US$1 trillion of assets under management across renewable power and transition, infrastructure, private equity, real estate, and credit. Saad, who has a bachelor's degree from King Saud University and a master's degree from Boston University, added: 'I am pleased to join the team at Brookfield. The net profits of Dar Al Arkan Real Estate Development Company hit SAR 447.96 million in the first half (H1) of 2025, higher by 40.55% year-on-year (YoY) than SAR 318.71 million. Meanwhile, the revenues fell by 2.31% to SAR 1.78 billion as of 30 June 2025 from SAR 1.82 billion in H1-24, according to the initial financial results. The earnings per share (EPS) rose to SAR 0.41 in H1-25 from SAR 0.30 in H1-24. Income Statements for Q2-25 In the second quarter (Q2) of 2025, Dar Al Arkan posted 44.51% YoY higher net profits at SAR 238.62 million, compared to SAR 165.12 million. Revenues dropped by 11.37% to SAR 852.14 million in Q2-25 from SAR 961.56 million in Q2-24. Quarterly, the profits generated in Q2-25 climbed by 13.98% from SAR 209.34 million in January-March 2025, while the revenues plummeted by 8.56% from SAR 932.01 million. Saudi Reinsurance Company (Saudi Re) generated net profits after Zakat attributable to shareholders worth SAR 87.99 million in the first half (H1) of 2025, up 16.89% year-on-year (YoY) from SAR 75.27 million. Insurance revenues soared by 52.93% to SAR 738.18 million in H1-25 from SAR 482.69 million in H1-24, according to the financial results. The earnings per share (EPS) amounted to SAR 0.76 as of 30 June 2025, against SAR 0.84 in the year-ago period.
