Spectris open to $5 billion takeover bid from Advent, shares soar

British scientific instruments maker Spectris said it would accept a 3.73 billion pound ($5.06 billion) bid from Advent if the U.S. private equity firm proceeds with a formal offer, sending its shares surging by 70 per cent on Monday.
Spectris' stock price had tumbled in the aftermath of U.S. President Donald Trump's erratic trade policies, hitting an eight-and-half year low in early April.
"We and many investors have increasingly seen Spectris as a takeout target, especially with the group having simplified its portfolio in recent years and with it trading at a discount to U.S. peers," JP Morgan analysts said in a note.
The British company, which provides hardware, analytical and simulation software to industries such as pharmaceuticals, steel and automotive, said in late April it expected to be able to offset the direct impact of tariffs through its ability to apply surcharges.
Spectris is the largest takeover target so far this year in Britain, which has been a hunting ground for buyers in recent years because of relatively cheap valuations.
The potential takeover could deal another blow to the London stock market that has seen an exodus due to acquisitions, changes in listing venues and subdued initial public offering activity.
Advent's proposal valued Spectris, which operates across 36 countries, at 37.63 pounds per share, including dividends, about an 85 per cent premium to Spectris' last closing price.
Shares in the London-headquartered company jumped 70 per cent to 33.84 pounds, their highest since March 2024. Despite this rise, they have lost roughly half their value from a peak of 41.67 pounds in September 2021.
Spectris reported a drop in like-for-like sales in the first quarter in April as weak demand and economic uncertainty delayed deliveries and orders.
The proposal on Monday follows several earlier approaches from Advent, Spectris said.
Under UK takeover rules, Advent must make a formal offer by July 7 or walk away.
Spectris said its board would recommend an offer if Advent goes ahead with a formal bid.

Their meeting was helped by news that Beijing on Saturday approved some applications for rare-earth exports, while US aviation giant Boeing is to start sending commercial jets to China for the first time since April. Easing China's export controls on rare-earths was key for Washington, "while China wants the US to rethink immigration curbs on students, restrictions on access to advanced technology, including microchips, and to make it easier for Chinese tech providers to access US consumers", said Kathleen Brooks, research director at XTB. "The outcome of these discussions will be crucial for market sentiment," she said. The dollar's weakness came as economists warned that Trump's tariffs on most of the world could reignite inflation, and as the US Federal Reserve weighs whether to lower interest rates. LONDON: TikTok plans to raise its investment in the UK, its biggest community in Europe, with the creation of 500 more jobs, the Chinese-owned social media giant announced Monday (Jun 9). The news coincided with the start of London's Tech Week, which sees British Prime Minister Keir Starmer welcoming some of the sector's biggest firms. "TikTok's UK workforce will grow to 3,000 this year with the addition of more than 500 jobs," the company said in a statement. It added that it was investing in a new London office, set to open next year, and whose size will dwarf its current UK head office. It will take TikTok's investment in UK infrastructure to around £140 million (US$190 million), the group said. Around half the UK population, more than 30 million people, use TikTok each month, making it the platform's "largest user-community in Europe", the statement added. "Whether through direct investment in jobs and innovation, or the wider economic contribution from millions of British businesses on TikTok, we're pleased to be increasing our investment and presence here in the UK," said Adam Presser, director of TikTok UK and global head of operations and trust and safety.
