Germany's Zalando & ABOUT YOU team up for pan-EU fashion expansion
On 1 July 2025, the European Commission granted merger control clearance for the transaction including the voluntary public takeover offer to the shareholders of ABOUT YOU. Zalando has now acquired 91.45% of ABOUT YOU's share capital (excluding treasury shares).
Zalando has completed its strategic acquisition of ABOUT YOU, securing 91.45 per cent of its share capital. The move aims to create a pan-European fashion e-commerce ecosystem, combining B2C and B2B strengths. ABOUT YOU will retain its identity, while synergies in logistics, software, and operations are expected to deliver €100 million (~$117 million) in annual EBIT gains.
Zalando still has the firm intention as a next step to carry out a squeeze-out of the remaining minority shareholders of ABOUT YOU and to acquire the remaining ABOUT YOU shares against adequate cash compensation. The squeeze-out shall take place as part of a merger of ABOUT YOU into a wholly owned subsidiary of Zalando.
Since announcing the intention to team up on 11 December 2024, both Zalando and ABOUT YOU have been preparing for this next phase. Each company has developed plans to ensure a smooth collaboration and clear focus on joint value creation after closing, aiming to combine their complementary strengths while preserving their unique identities.
'Both companies grew from local start-ups to European success stories by understanding the nuanced and diverse needs of customers across many markets, and driven by a relentless focus on quality and innovation. Together, we'll work to be an unbeatable team to lead the way in European fashion and lifestyle E-commerce,' said Robert Gentz, Co-CEO and Co-Founder of Zalando . 'In B2C, we offer customers and brands two distinct and rich shopping experiences. In B2B, combining our complementary logistics and software capabilities ZEOS, Tradebyte and SCAYLE, will create an even more advanced e-commerce operating system that enables brands and retailers to manage their multi-channel business across Europe and beyond.'
'At the heart of this team-up is our shared commitment to redefining fashion and lifestyle shopping and creating real value for our customers and partners. We are excited to join forces with Zalando to drive innovation and realise new growth opportunities for SCAYLE and ABOUT YOU,' said Tarek Müller, Co-Founder and Co-CEO of ABOUT YOU. 'This strategic transaction opens the door to great collaboration, while allowing us to stay true to the individuality and energy that define ABOUT YOU.'
ABOUT YOU's operations add scale and complementary capabilities, fully aligning with Zalando's ecosystem strategy, as communicated in March 2024, to build a pan-European fashion and lifestyle e-commerce ecosystem. The transaction presents compelling value creation opportunities that the two companies, operating in the same industry, can generate by collaborating in a wide range of areas, including B2B, logistics, payments, and commercial collaboration. In the longer term, Zalando targets significant Group EBIT synergies of around 100 million euros per annum.
In the B2C growth vector, adding ABOUT YOU will enable Zalando to implement a dual-brand strategy. Each brand retains its distinct identity while leveraging synergies in logistics, payment infrastructure and commercial collaboration. This strategic move allows the combined entity to provide tailored and separate shopping experiences, effectively meeting the unique needs and preferences of customers.
In the B2B growth vector, ABOUT YOU's SCAYLE complements Zalando's B2B vision to build an operating system for fashion and lifestyle. ZEOS, Tradebyte and SCAYLE join forces to help brands and retailers manage their multi-channel business across Europe and beyond with a suite of logistics, software and service offerings.
ABOUT YOU's management board members Sebastian Betz, Tarek Müller, and Hannes Wiese will continue their successful work in their current roles as part of the combined group.
Underpinning management's conviction in the value creation of this transaction, Zalando in December 2024 also confirmed its medium-term outlook for the combined group. Zalando, including ABOUT YOU, is expected to grow GMV and revenue until 2028 at a 5-year compound annual growth rate of between 5% and 10%1. The combined group expects an adjusted EBIT margin in 2028 in the corridor of 6% to 8%, yielding a significant increase in absolute profit by creating a combined group at a larger scale. Together, Zalando and ABOUT YOU aim to cover a larger share of the 450-billion-euro European fashion market in the long term.
Zalando will provide a first outlook for the full year 2025 for the combined business when it reports second-quarter results on 6 August 2025.
Born in Europe, Built to Grow
The combination brings together two founder-led teams with a strong cultural fit, an entrepreneurial track record, and highly complementary capabilities. Both companies built their success on understanding Europe's unique complexity and hence reflect Europe's unique strengths – cultural diversity and collaborative innovation across borders and markets.
'Zalando and ABOUT YOU are proof that Europe can produce growth companies for the digital age,' said Gentz . 'We are excited about teaming up for the next stage of our joint journey to deliver exciting innovation and sustainable growth at scale across Europe.' Expect double-digit growth in FY26, rural replacement market to continue to drive sales: CEAT
Tyre maker CEAT Ltd expects to maintain a double-digit growth this fiscal with domestic replacement segment, specially from rural markets, to drive sales while direct supplies to automobile makers are likely to be muted, according to company MD & CEO Arnab Banerjee . The company is also waiting and watching the tariff situation in the US, a big growth market but not a significant one right now for it, to decide its future course of expansion in the country, he told PTI. "We have started with a double-digit growth in Q1, which we have maintained last year also. We expect to maintain or accelerate that over the next two to three quarters," he said when asked for the outlook of the remainder of the fiscal. In the first quarter ended June 30, 2025 the company's revenue stood at Rs 3,529.4 crore, up 10.5 per cent year-on-year. As for the growth drivers, Banerjee said the two-wheeler replacement segment in the rural market is expected to do well across segments. "On the replacement side, rural demand should be good because monsoons have been good. So we expect rural demand to be robust. Then adoption of electric vehicles specially scooters etc is going strong," he said. Banerjee further said, "There will be some demand softness in the passenger cars side, which is dependent on larger towns but we are seeing a big shift there also from smaller size tyres to larger size tyres. Value growth could be there, margin growth could be there. In terms of the number of tyres, growth may not be that robust." Truck and bus radial tyres in the commercial vehicles segment will continue "to do decent", he noted. However, on the direct supplies to automakers, he said, "OEM growth in two-wheelers has slowed down and passenger vehicle is low single digit. It is going to continue like that unless there are some big launches which create excitement in the market." Medium and heavy commercial vehicles (M&HCV) could also slow down once the pre-buying before AC cabin regulation comes in (from October 1 this year), he said, adding "it may slow down a little bit. So, on the OEM side, slowdown is expected". When asked about the impact of Trump tariff uncertainty, Banerjee said, "The impact on our international business is low because our stakes are low in the US. Materially it is not significant but it is a big growth market for us." The US market accounts for about 3 per cent of the company's total sales. "We are waiting and watching...," he said, adding CEAT would wait for the tariff situation to settle down to plan its future growth strategy in the US. Asked if the company would look at local manufacturing in the US, he said, "We have not thought that far as yet but we are just waiting for the tariff situation (to settle down) and how the pricing will move in the US." Noting that there will be inflation on imported tyres, Banerjee said the US is hugely dependent on imported tyre, not only from India but from various countries. About the European market, he said Q1 was not good as distributors and channels were not stocking due to global geopolitical uncertainty. "However, for Q2 we have good order visibility, more of a seasonal offtake...Q2 order base is very good. Seasonal offtake is very good and if we execute it well, it will be good and from there we will see what happens in Q3 and Q4," Banerjee noted.

The orphan man was once Bombay's biggest merchant, received 'Knight' title by Queen Victoria, donated all his money to... he was...
In 19th-century India, creating a name for both trade and social service was a challenging task. However, an orphaned Parsi boy, Indian, was able to create history through hard work, vision, and benevolence. His name was Jamsetjee Jeejeebhoy. Jamsetjee was born on July 15, 1783, in Bombay (now Mumbai) to a common Parsi family. After the early death of both parents, Jamsetjee lived with his uncle. Born into poverty and a lack of formal education, Jamsetjee carved out his life through sheer willpower and intellect. Jamsetjee Jeejeebhoy was just 15 years old when he entered the world of commerce. He initially worked with his uncle to gain experience in the trade of opium and cotton. A few years in, he started his own company and expanded his trade overseas, including to China. Before long, he was one of the leading merchants of Bombay (now Mumbai) and well-respected. However, Jamsetjee Jeejeebhoy was not solely known as a prosperous businessman. He invested many years of his life in social service. His legacy rests in the creation of the JJ Hospital and the JJ School of Art, both of which he financed to a very considerable degree. Jamsetjee's philanthropy extended beyond the Parsi community, but he assisted people of all religions and communities. He set up dharamshalas (rest houses), schools, orphanages, and other educational facilities. The sum of money he contributed in those days was in lakhs of rupees, a sum that would be equivalent to probably crores today, and an extraordinary legacy of generosity and social service. In 1842, he was knighted by Queen Victoria and in 1857 given a hereditary baronetcy; in both cases he was the first Indian subject to receive these honours, as reported by the Royal Collection Trust's official website. Sir Jamsetjee Jeejeebhoy has been described as 'the most famous Parsi of his time and perhaps the first famous non-European colonial subject' because of his honours and public charity. According to the Sir JJ School of Arts, after a preliminary visit to Calcutta, he undertook a voyage to China, then fraught with so much difficulty and risk that it was regarded as a venture betokening considerable enterprise and courage; and he subsequently initiated a systematic trade with that country, being himself the carrier of his merchant wares on his passages to and fro between Bombay and Canton and Shanghai. 'His second return voyage from China was made in one of the East India Company's fleet, which, under the command of Sir Nathaniel Dance, defeated the French squadron under Admiral Linois (Feb. 15, 1804),' reads the official website of Sir JJ School of Arts. It further added, 'The total of his known benefactions amounted at the time of his death, which took place in 1859, to over 230,000. It was not, however, the amount of his charities so much as the period and circumstances in which they were performed that made his benevolent career worthy of the fame he won.'
