Hanwha wins US approval to acquire stake in Australia-based shipbuilder Austal

South Korea's Hanwha Group said Tuesday it has received approval from the US government to acquire up to a 100 percent stake in Australia-based shipbuilding and defense firm Austal, clearing a major hurdle in its push to expand its presence in the global defense market. The recent approval from the Committee on Foreign Investment in the United States (CFIUS) allows Hanwha to increase its current 9.9 percent stake in Austal to full ownership, the group said. Hanwha had initially filed for CFIUS to approve a 19.9 percent stake acquisition. CFIUS is an interagency committee of the US government that reviews the national security implications of foreign investments in US companies. Austal operates a major US naval shipyard in the United States. The committee said there were no unresolved national security concerns with the deal, effectively recognizing the legitimacy of Hanwha's acquisition bid, the South Korean group said. Hanwha first purchased a 9.9 percent stake in Austal in March and has since sought approvals from both the Australian and US governments to increase its holdings to 19.9 percent. Headquartered in Australia, Austal is a global defense shipbuilder with major operations in the US, supplying vessels to the US Navy. Hanwha said it plans to leverage its shipbuilding capabilities to boost Austal's global competitiveness while seeking to expand joint business opportunities in both the US and Australian defense markets. U.S. Steel workers and shareholders remain in limbo as to the status of its pending takeover by Japan's Nippon Steel, one week after President Trump suggested it was a done deal. The big picture: We may not get a White House decision today, despite widespread expectations to the contrary. Zoom in: Under normal procedures, Trump is required to give approval or block a deal within 15 days of receiving a CFIUS recommendation. That's today. But as we reported last month, CFIUS didn't plan to provide a traditional recommendation to Trump. Instead, it gave him information and analysis (even though Trump said last Friday that he hadn't even seen the final deal). Thus, the 15-day deadline may be moot. The intrigue: Nippon still hasn't confirmed that it's agreed to grant the U.S. a so-called "golden share" in the Pittsburgh-based steelmaker, or guarantee that it's CEO would be a U.S. citizen.

Phone unlocking firm Cellebrite to acquire mobile testing startup Corellium for $170M

In Brief Cellebrite, a company that makes forensic equipment for unlocking smartphones, said it is acquiring mobile testing startup Corellium for $170 million in cash, with $20 million converted to equity at closing. The Israel-headquartered Cellebrite said the deal would help with the 'accelerated identification of mobile vulnerabilities and exploits.' Much of Cellebrite's technology relies on using unknown vulnerabilities, such as zero-day exploits, to unlock encrypted data stored on phones. For its part, Corellium provides its customers access to virtual, cloud-based Android and iOS devices for app and security testing, an offering that Apple for a time sought to block. A Cellebrite spokesperson told TechCrunch that the deal is expected to close later this year, subject to a review from CFIUS, the U.S. government committee tasked with handling corporate deals that could affect national security.

Trump Taps Former Small Business Chief for Role Overseeing CFIUS

President Donald Trump has nominated Chris Pilkerton, the acting head of the Small Business Administration during his first term, to oversee a committee charged with screening foreign investments into the US as well as outbound investments in foreign countries, with a close eye on competition with China. Pilkerton has been nominated to serve as the assistant secretary of the Treasury for Investment Security, according to the congressional record. In that role, he will oversee the Committee on Foreign Investment in the US, or CFIUS. The Treasury did not immediately respond to a request for comment.
