(CSE: PHOS) (OTCQB: FRSPF) (FSE: KD0) ("" or the "") is pleased to announce that it has closed the second and final tranche of its non-brokered private placement financing (the ""), as further described in the Company's news releases dated May 9, 2025 and May 28, part of both tranches of the Offering, the Company raised a total of $3,517,519 through the issuance of 7,275,309 Flow-Through Shares at a price of $0.35 for gross proceeds of $2,773,858, and 2,124,747 Hard Dollar Units at a price of $0.35, comprised of 2,124,747 Common Shares and 1,062,373 Warrants, for gross proceeds of $743, with this Offering, the Company has raised to date a total of approximately $23.8 million in 7 management-led non-brokered private-placement financings since June the final tranche of the Offering, the Company raised a total of $1,126,365 through the issuance of 2,883,429 Flow-Through Shares for gross proceeds of $1,009,200, and 334,757 Hard Dollar Units, comprised of 334,757 Common Shares and 167,378 Warrants, for gross proceeds of $117, total, in connection with the Offering, the Company paid $800 in cash finder's fees, issued 471,152 Compensation Shares and advisory shares at a price of $0.35 per common share, and issued 444,867 Compensation Warrants, exercisable at a price of $0.50 per common share of the Company, until December 31, 2025, subject to an Accelerated Expiry Date. Egypt to re-assess phosphate reserves for new projects

Egypt has launched a landmark plan to verify its proven phosphate reserves with the aim of building new plants and expanding exports of phosphate-related industries. The Petroleum and Mineral Resources Ministry is working on a database with the help of public phosphate companies to obtain accurate evaluation of the reserves. Initial estimates prepared by the Ministry show Egypt may have nearly 80 billion tonnes of phosphate ore in place, of which at least 90 million tonnes are currently extractable, Ministry officials said, quoted by Egypt's Addustour Arabic language daily on Tuesday. 'The Ministry is currently implementing an ambitious plan to confirm the country's phosphate ore reserves. This plan is being implemented through state-owned companies operating in this field,' the report said. 'The aim of the plan is to prepare an accurate database on confirmed ore reserves, in preparation for the establishment of several phosphate fertiliser plants currently being equipped in strategic areas,' it added. The report quoted the sources as saying the Ministry has also drawn up plans to 'transform phosphate ore from a mere exported raw material into a high-value industrial product that contributes to supporting agriculture and industry and enhances the country's ability to achieve self-sufficiency and supply global markets.' Ministry figures showed Egypt produces nearly six million tonnes of phosphate ores, of which around four million tonnes are exported, fetching over $250 million annually. In a report last year, the Ministry said it aims to attract fresh investments into its phosphate industry to tap its massive deposits. It noted that Egypt is currently ranked the world's 10th largest raw phosphates producer and that new reserves estimates could be released in the near future. Petroleum and Mineral Resources Minister Karim Badawi said in February that Egypt has devised plans to attract investment into new mining projects in 2025 within a strategy to tap its mineral wealth. 'We have plans to offer new mining investment opportunities in 2025 within a strategy to exploit our mineral wealth and stimulate the national economy,' Badawi said. Tunis - The Tunisian National Railway Company (SNCFT) resumed phosphate loading and transportation operations from the Om Larayes mine to the facilities of the Tunisian Chemical Group (GCT) via a train composed of 30 wagons carrying 1,448 tonnes of phosphate, after an eight-year hiatus. The SNCFT explained that the resumption of phosphate loading and transportation from the Om Larayes mine to the GCT facilities followed the completion of works, including reinforcing the track bed on Line 15 between the Tabadit and Om Larayes stations, replacing rails and sleepers on several sections of the railway, and maintaining the track switches. Additionally, the railway track was cleared along a 3 km stretch on the Tabadit/Om Larayes line, with all necessary measures taken to ensure the sustainability of this activity. China's ECEC to build $2bln phosphate fertiliser project in Iraq

Chinese Engineering, Procurement and Construction (EPC) company East China Engineering Science and Technology Company (ECEC) will build a $2 billion phosphate fertiliser complex in the western desert region of Al-Qaim, Anbar province, according to local media reports. Iraq's State Company for Phosphates and Asas Engineering Company will be working with ECEC on the facility, which is expected to produce 1 million tonnes of Diammonium Phosphate (DAP) and 500,000 tonnes of Triple Super Phosphate (TSP) annually. A consortium of CNCEC and ECEC is building 1,800 metric tonnes per day sulphuric acid project and triple superphosphate (TSP) fertiliser plant in M'dhilla for Groupe Chimique Tunisien (GCT). FFA requests meeting with NI agriculture minister on NAP

Farmers for Action (FFA) has requested a meeting with Stormont agriculture minister, Andrew Muir to discuss Northern Ireland's new Nutrient Action Programme (NAP). The organisation has welcomed the four-week extension to the public consultation, now underway, where the proposed suite of environmental measures are concerned. FFA spokesperson, William Taylor, told Agriland: 'We wrote to the minister with regard to NAP a number of days ago. Receipt of the letter has been confirmed.' According to Taylor, one third of Northern Ireland's active farmers are located within the Lough Neagh catchment area. He said: 'We will be making four main points to the minister. First of all, his department must adequately support all farming businesses regarding the final NAP measures that are implemented. 'In practical terms, this means introducing FFA's proposed Farm Welfare Bill. This has been designed to guarantee farmers sustainable prices on an ongoing basis allied with the capability of further investing in their businesses.' FFA is also calling for the Department of Agriculture, Environment and Rural Affairs (DAERA) to ensure that sufficient advisers are made available to work with farm businesses on an individual basis when it comes to the calculation of phosphate and nitrate loading levels across production agriculture. Taylor explained: 'The principle of DAERA being used as an enforcement agency in the first instance is fundamentally flawed. 'It is the job of department officials to work with farmers, advising them how to reach whatever NAP targets are agreed in a co-ordinated manner. 'These are matters which can only be addressed in the long-term – there is no short-term fix. And this fundamental fact must be realised by DAERA.' Organic manure And, finally, FFA wants the policies implemented where the use of organic manures are concerned, to be totally overhauled. 'In the first instance, there are large tracts of agricultural land across Northern Ireland that would actually benefit from an application of slurry. 'And this fundamental fact must be recognised by Minister Muir,' Taylor said. Significantly, FFA recognises that surplus quantities of farm manure are generated by agriculture in Northern Ireland. 'Solid materials, including poultry litter, can be exported back to those countries supplying the large tonnages of grain and other animal feed materials coming into Northern Ireland on an annual basis,' Taylor suggested. 'The boats delivering these grains in the first place can be used to export back the solid manures, on the basis that their cargo areas are suitable lined.' Taylor makes the point that countries like Brazil are short of organic manures needed to retain indigenous soil fertility basis. 'Receipt of the manures would ensure that countries like Brazil would be less likely to cut down virgin forest in order to maintain grain output levels. 'I see no reason why Brazil could not be asked to part fund the export of solid manures from Northern Ireland. 'Other financial contributors would include the members of the Northern Ireland's Grain Trade Association and the food processing sector,' Taylor said.
