PERTH, Australia--(BUSINESS WIRE)--Rio Tinto and Hancock Prospecting will invest $1.6 1 billion (Rio Tinto share $0.8 billion) to develop the Hope Downs 2 iron ore project in Western Australia's Pilbara region.
The Hope Downs 2 project, to mine Rio Tinto and Hancock Prospecting's Hope Downs 2 and Bedded Hilltop deposits, has now received all necessary State and Federal Government approvals.
The two new above-water-table iron ore pits will have a combined total annual production capacity of 31 million tonnes and will sustain production from the Hope Downs Joint Venture into the future.
Rio Tinto Iron Ore Chief Executive Simon Trott said: 'Approval of Hope Downs 2 is a key milestone for Rio Tinto, as we invest in the next generation of iron ore mines in the Pilbara.
'These projects are part of our strategy to continue investing in Australian iron ore and to sustain Pilbara production for decades to come, supporting jobs, local businesses and the state and national economies.
'The Pilbara has been critical to global steel supply for more than 60 years, and we are committed to ensuring it remains so well into the future.'
Rio Tinto has engaged with the Nyiyaparli, Banjima and the Ngarlawangga Peoples, along with relevant government stakeholders, to ensure the responsible management of heritage and the environment in development of the project.
The project includes new non-process infrastructure precincts, railway crossings and haul roads, as well as realigning a 6-kilometre section of the Great Northern Highway.
Ore mined at the two sites will be transported to Hope Downs 1 for processing, with first ore from the deposits and associated infrastructure scheduled for 2027.
More than 950 jobs will be created during construction and, once operational, the Hope Downs 2 project will help sustain a workforce of about 1000 full time equivalent roles at Greater Hope Downs.
Hope Downs 2 is part of Rio Tinto's tranche of replacement projects that underpin the company's ongoing commitment to the Pilbara, and which will have combined total capacity of about 130Mtpa 2.
During the next three years (2025-2027), Rio Tinto expects to invest more than $13 billion on new mines, plant and equipment.
The company has a clear pathway to achieve and sustain mid-term system capacity of 345 to 360Mtpa from its Pilbara iron ore business, with a pre-feasibility study also underway on the Rhodes Ridge project, the Pilbara's best undeveloped iron ore deposit.

The Joint Venture was originally established in 2006, with Rio Tinto and Hancock Prospecting's shared history extending back to the early 1960's.

Virgin Australia shares rallied 8.3% on Tuesday, after its 685 million Australian dollar ($439 million) initial public offering, a transaction dealmakers hope will revive a subdued listings market. The airline sold 236.2 million shares at AU$2.90 each, valuing it at AU$2.32 billion on a fully diluted basis. The stock began trading at AU$3.14, outpacing a 1.2% gain in the Australian benchmark S&P/ASX200. Virgin's listing comes amid operational disruptions, with the airline diverting two Qatar-bound flights to India and Oman, according to flight tracking website FlightRadar24. Qatar temporarily closed its airspace ahead of Iran launching missiles at a U.S. base in the state. Virgin did not immediately respond to a request for comment from Reuters. Shares of Qantas, the main rival to Virgin Australia, climbed 4% on Tuesday following a 7% drop in global oil prices the previous day, after Iran took no action to disrupt oil and gas tanker traffic through the Strait of Hormuz. Virgin disclosed in an exchange filing that it has hedged 98% of its anticipated fuel usage in Brent crude oil at a cap of $70 per barrel for the first half of 2026. It has hedged 86% of its anticipated fuel usage at the same price in the second half. "Four years ago, with the help of Bain Capital, we set out to transform Virgin into a simpler, more focused company with a clear view on how are we going to serve our customers and how are we going to win in the Australian domestic market," Dave Emerson, Virgin Australia chief executive, said at a listing ceremony in Sydney. Virgin, which is Australia's second-largest airline by market share after Qantas Airways, was delisted in 2020 after private equity giant Bain Capital rescued it from administration. Bain, which bought Virgin for AU$3.5 billion including liabilities, will see its stake reduced to 39.4% from about 70%, while Qatar Airways, which recently bought into the airline, will retain 23%, the IPO prospectus showed. The IPO attracted strong demand, with institutional investors lodging indicative orders surpassing the offering size during book building, according to a term sheet reviewed by Reuters. The shares being priced at an almost 30% discount to those of Qantas were an incentive to buy, fund managers said. Virgin has a domestic flight market share of 34.4% as of March versus Qantas' 37.5%, a report from the Australian Competition and Consumer Commission showed. "From our perspective, the IPO pricing offered an attractive discount to Qantas, allowing room for shareholders to benefit from Virgin's operational improvement targets and structural tailwinds like the rise of premium ticket demand," said Jun Bei Liu, founder of Ten Cap which is a Virgin cornerstone investor. "Virgin's domestic focus and hedged fuel position provide resilience amid geopolitical and commodity market risks." Virgin pared back its international business under Bain's ownership. Dollar falls in broad risk rally after Trump announces Israel-Iran ceasefire

The dollar fell on Tuesday while the Australian and New Zealand dollars rose after U.S. President Donald Trump announced a ceasefire between Israel and Iran, in news that sent investors cheering and sparked a risk rally across markets. Trump said that a "complete and total" ceasefire between Israel and Iran will go into force with a view to ending the 12-day conflict between the two nations, moments after both sides threatened new attacks. An Iranian and Qatari official confirmed that Tehran had agreed to a ceasefire, while Israel's Channel 12 reported that Prime Minister Benjamin Netanyahu had agreed in a conversation with Trump to a ceasefire as long as Iran stopped its attacks. The risk-sensitive Aussie got a lift from the news and last traded 0.35% higher at $0.6483 as did the kiwi, which rose 0.37% to $0.5998. "It's obviously positive news for risk sentiment," said Rodrigo Catril, senior currency strategist at National Australia Bank. "We need to obviously have a bit more details in terms of exactly what all this means... I suppose it will be the conditions of the ceasefire, and what are the conditions for a more longer-lasting peace deal." The dollar, which last week drew support from safe-haven demand, fell broadly in the wake of the news. Against the yen, the greenback was down 0.21% at 145.79. The euro rose 0.21% to $1.1602 and sterling advanced 0.18% to $1.3551. Trump's comments on his Truth Social site came after Iran launched a missile attack on an American air base in Qatar on Monday that caused no injuries, in a move which he dismissed as a "weak response" to U.S. attacks. Adding to headwinds for the dollar were dovish comments from Federal Reserve policymaker Michelle Bowman, who said the U.S. central bank should consider interest rate cuts soon. Bowman's openness to cutting rates soon is supported by Fed Governor Christopher Waller, who said in a television interview last week he'd also consider a rate cut at next month's meeting. "There appears to be increasing division among the ranks of the Fed board ahead of Fed Chair Powell's testimony," said Tony Sycamore, a market analyst at IG. "The chance of a July rate cut... is still underpriced. I think it should be higher than that." Markets are now pricing in about a 20% chance the Fed could ease rates in July, up from 14.5% a day ago, according to the CME FedWatch tool. Fed Chair Jerome Powell is due to testify before the U.S. Congress on Tuesday and Wednesday, where focus will be on the outlook for U.S. rates.

SAN JOSE, Calif.--(BUSINESS WIRE)--Super Micro Computer, Inc. (NASDAQ: SMCI) ('Supermicro' or the 'Company'), a Total IT Solution Manufacturer for AI, Cloud, Storage, and 5G/Edge, today announced the pricing of $2.0 billion aggregate principal amount of convertible senior notes due 2030 (the 'Convertible Notes'). The Convertible Notes are being offered and sold to persons reasonably believed to be 'qualified institutional buyers' pursuant to Rule 144A under the Securities Act of 1933, as amended (the 'Securities Act'). The Company also granted an option to the initial purchasers to purchase up to an additional $300.0 million aggregate principal amount of the Convertible Notes within a 13-day period from, and including, the date the Convertible Notes are first issued. The Convertible Notes will be senior, unsecured obligations of the Company. The Convertible Notes will not bear regular interest, and the principal amount of the Convertible Notes will not accrete. Special interest and additional interest will accrue on the Convertible Notes in the circumstances and at the rates described in the indenture governing the Convertible Notes. The Convertible Notes will have an initial conversion rate of 18.1154 shares of the Company's common stock per $1,000 principal amount of Convertible Notes (which is equivalent to an initial conversion price of approximately $55.20 per share of the Company's common stock, representing an initial conversion premium of approximately 35.0% above the closing price of $40.89 per share of the Company's common stock on June 23, 2025). The conversion rate and conversion price will be subject to adjustment upon the occurrence of certain events. The Convertible Notes will be redeemable, in whole or in part (subject to a partial redemption limitation of $100.0 million as described in the indenture governing the Convertible Notes (the 'indenture')), for cash at the Company's option at any time, and from time to time, on or after June 15, 2028 and on or before the 20th scheduled trading day immediately before the maturity date, but only if: (i) the Convertible Notes are 'freely tradable' (as defined in the indenture), and all accrued and unpaid additional interest, if any, has been paid, as of the date the Company sends the related redemption notice; and (ii) the last reported sale price per share of the Company's common stock exceeds 130% of the conversion price for a specified period of time. The redemption price will be equal to the principal amount of the notes to be redeemed, plus accrued and unpaid special and additional interest, if any, to, but excluding, the redemption date. Holders of the Convertible Notes will have the right, subject to a limited exception set forth in the indenture, to require the Company to repurchase all or a portion of their Convertible Notes upon the occurrence of a fundamental change (as defined in the indenture governing the Convertible Notes) at a cash repurchase price of 100% of their principal amount plus any accrued and unpaid special and additional interest, if any, to, but excluding the applicable repurchase date. The Convertible Notes will mature on June 15, 2030, unless earlier redeemed, repurchased or converted in accordance with their terms prior to such date. Prior to the close of business on the business day immediately preceding December 17, 2029, the Convertible Notes will be convertible only upon the satisfaction of certain conditions and during certain periods, and on and after December 17, 2029, at any time prior to the close of business on the second scheduled trading day immediately preceding the maturity date, the Convertible Notes will be convertible regardless of these conditions. The Company will settle conversions by paying or delivering, as applicable, cash, shares of the Company's common stock or a combination of cash and shares of the Company's common stock at the Company's election. The Company expects to close the offering on June 26, 2025, subject to the satisfaction of various customary closing conditions. The Company will receive net proceeds from the offering of approximately $1.96 billion (or approximately $2.26 billion if the initial purchasers exercise their option to purchase additional Convertible Notes in full). The Company expects to use $158.4 million of the net proceeds of the offering to fund the cost of entering into the capped call transactions described below. The Company also expects to use approximately $200.0 million of the net proceeds to repurchase shares of its common stock concurrently with this offering as described below. The Company intends to use the remainder of the net proceeds from the offering for general corporate purposes, including to fund working capital for growth and business expansion. If the initial purchasers exercise their option to purchase additional Convertible Notes, the Company intends to use a portion of the net proceeds from the sale of additional Convertible Notes to fund the cost of entering into additional capped call transactions, with the remainder to be used for general corporate purposes as set forth above. In connection with the pricing of the Convertible Notes, the Company entered into privately negotiated capped call transactions with certain of the initial purchasers or their affiliates and other financial institutions (the 'option counterparties'). The capped call transactions will cover, subject to anti-dilution adjustments substantially similar to those applicable to the Convertible Notes, the number of shares of the Company's common stock underlying the Convertible Notes. The capped call transactions are expected generally to reduce the potential dilution to the Company's common stock upon conversion of the Convertible Notes and/or offset any potential cash payments the Company is required to make in excess of the principal amount of the Convertible Notes, as the case may be, with such reduction and/or offset subject to a cap. The cap price of the capped call transactions is initially $81.78 per share of the Company's common stock, which represents a premium of 100% above the last reported sale price per share of the Company's common stock on Nasdaq on June 23, 2025, and is subject to customary adjustments. In connection with establishing their initial hedges for the capped call transactions, the option counterparties or their respective affiliates expect to enter into various derivative transactions with respect to the Company's common stock and/or purchase shares of the Company's common stock concurrently with or shortly after the pricing of the Convertible Notes.
