MONTREAL--(BUSINESS WIRE)--Jun 9, 2025--
Birks Group Inc. (the 'Company', 'Birks Group' or 'we') (NYSE American LLC: BGI) is pleased to provide an update on its corporate activities.
All figures presented herein are in Canadian dollars.
The Company has entered into a commitment letter with SLR Credit Solutions ('SLR'), one of the Company's current senior lenders, whereby SLR has committed to provide the Company with an additional term loan of $13.5 million subject to the satisfaction of certain conditions precedent (the 'Incremental Loan'). The Incremental Loan would bear interest at the same rate as our current term loan with SLR which is CORRA plus (i) a CORRA adjustment of 0.32% and (ii) 7.75%, and it would be repayable, in full, on December 24, 2026. The proceeds of the Incremental Loan are to be used by the Company to fund a strategic acquisition of jewellery stores (the 'Acquisition') and to fund ordinary course working capital. In connection with the Acquisition, the Company has entered into a share purchase agreement to acquire jewellery stores located in a Canadian province where the Company already operates. The Acquisition is subject to a number of conditions precedent, including certain third-party consents and satisfaction of other conditions and covenants customary for an acquisition of this nature. Contemporaneously with the Incremental Loan, Mangrove Holding S.A., one of the Company's controlling shareholders, will enter into a loan agreement with the Company to advance $3.75 million of additional indebtedness to fund our working capital requirements, at an annual interest rate of 15%, which would be repayable, in full, on December 24, 2026, subject to the satisfaction of certain conditions precedent.
The Company gives no assurance that it will be able to satisfy these conditions and consummate the proposed Acquisition, Incremental Loan and the Mangrove Holding financing on these or any terms.
The Company continues to be actively engaged in identifying alternative transactions to continue pursuing its strategic goals including raising additional funds through public or private equity, debt financing, and the completion of strategic acquisitions or divestitures.

Press Release Montrouge, 12 June 2025 Crédit Agricole Santé & Territoires announces the signing of an agreement to acquire Petits-fils, the leading provider of at-home services for seniors in France, from Clariane The acquisition of Petits-fils would establish Crédit Agricole Santé & Territoires, a subsidiary of the Crédit Agricole Group, as the leader in at-home services for seniors in France. Beyond its commitment to improving access to healthcare, Crédit Agricole Santé & Territoires has invested in supporting wellbeing in aging, particularly in two key areas: non-medical accommodation — a sector in which the Group has been active since 2024 — and at-home services, where the acquisition of Petits-fils would represent a pivotal milestone in its development. The transaction is also expected to unlock synergies with other entities within the Crédit Agricole group. The French population aged over 75 is expected to grow by 60% by 2040, with 90% of individuals in the age bracket continuing to reside at home. In this rapidly expanding market, Petits-fils has – within just a few years – emerged as the leading provider of at-home services for seniors across France, operating a nationwide franchise network comprising over 292 branches. EU could impose Russian oil price cap without US support, Kallas says

The European Union can impose an additional price cap on Russian oil without U.S. support, EU High Representative Kaja Kallas said at the Brussels Forum on June 11. "If you think about the oil going through the channels, it's mostly Europe, it's via the Baltic Sea, it's via the Black Sea. So even if the Americans are not on board, we can still do it and have an impact," Kallas said. The EU's 17th package of sanctions against Russia came into effect on May 20. The bloc is already working on its next wave of sanctions. The 18th EU sanctions package will include additional restrictions on energy, banking, oil, and other areas, European Commission President Ursula von der Leyen announced on June 10. "What the intelligence tells is that, now the sanctions will (harder hit) the supply chains of Russia needed to really fund this war," Kallas said. "Of course, it is important the United States... is together with us, and we have been operating together for quite some time," she said. Kallas noted the Group of Seven (G7) oil price cap was previously agreed upon to be 5% below the market price. "It is important, of course, what we do together, but it is also equally important for us what we do alone, because we alone are also a player," Kallas said. Kallas noted the EU is still an ally to the U.S., but recognized the dynamic between the two powers is changing. "We still value the relationship... I think with the Americans we are not growing apart, but growing up in our relationships," Kallas said. The upcoming G7 summit will take place in Alberta, Canada. A wide range of topics, including Russia's war against Ukraine, are expected to be discussed at the annual event. President Volodymyr Zelensky previously confirmed he would be attending the G7 summit after receiving an invitation from Canadian Prime Minister Mark Carney.
