IFA in Sinarmas Land offer defends valuation methods as ‘appropriate' amid criticism

[SINGAPORE] W Capital Markets, the independent financial adviser (IFA) appointed by Sinarmas Land to opine on its privatisation offer by the Widjaja-family linked Lyon Investments, responded to criticisms by The Business Times and the Singapore Investors Association (Singapore) or Sias, arguing that its advice was 'appropriate' and 'consistent with widely accepted industry practice'.
Both parties had made claims on Monday (May 5) that the IFA's valuation range for shares of Sinarmas Land was undervalued. W Capital Markets said in a letter addressed to the independent directors of Sinarmas Land on Monday that it 'categorically refutes' these suggestions and that it had adopted the most appropriate methodologies in line with conventional industry practice by other IFAs in Singapore.
It had earlier said that the offer was 'not fair but reasonable', estimating a fair value range of S$0.35 to S$0.361 per share.
The Business Times' Mark to Market column had questioned the IFA's fair value, which W Capital Markets had derived from a sum-of-the-parts (SOTP) analysis of the company's listed and unlisted assets. The columnist also questioned whether the IFA's valuations captured the full potential of Sinarmas Land's components, noting that the company's assets could likely fetch prices in the private market that are 'well above the valuations implied by their public-listed holding companies'.
In response, W Capital Markets said that its use of an SOTP valuation was appropriate given Sinarmas Land's nature as a pure investment holding company, with no direct control over the assets held by the company's listed subsidiaries that operate under separate management teams. The IFA also said that its role is not to speculate on and assess private market valuation frameworks that may alter a company's value after a delisting, which the firm described as 'fundamentally different'.
'Our adopted yardsticks for assessment do not deviate from conventional industry practice taken by other IFAs in Singapore,' the firm said.

Sias had argued in its statement that the IFA's valuation had 'double-discounted' Sinarmas Land's unlisted assets, both in its SOTP analysis which valued the assets at a 37 per cent discount to its revalued net asset value (RNAV), as well as applying a 'holding company discount' of 20 to 22 per cent to its valuation.
The IFA responded that the company's RNAV may not reflect fair value, as it does not account for additional costs including professional fees, liquidation costs or regulatory requirements, which could all reduce the realisable RNAV. It noted that comparable companies and past Singapore Exchange privatisations have typically been priced below net asset value and in such cases, were deemed to be fair and reasonable by IFAs.
W Capital Markets also defended its application of the holding company discount, stating that such methods are commonly practiced to reflect the market perception of risks involved in owning a holding company. Corporate expenses, tax implications from dividends and investors' limited control over subsidiaries could also be the basis for such discounts, the IFA said.
'We strongly disagree with Sias' view that there is double discounting,' said Wayne Lee, chairman and chief executive officer of W Capital Markets, arguing that the holding company discount is conceptually distinct from the SOTP methodology.
Shares of Sinarmas Land were trading flat at S$0.32 at 9.29 am on Tuesday.

While it may sound cheesy, it doesn't make it any less true for Jeline Ang, the founder of The Music Scientist, whose father's actions spoke oh, so much louder than words. Ang Poh Thong, now 71, once had his own construction firm, building it from the ground up through grit, determination, and sheer force of will, paving the way for Jeline and her two siblings. A decade ago, however, he retired. At the age of 60, when he was suffering from poor health, he sold his company. Then, 'my dad took a leap of faith—not for himself, but for me,' she explained, adding that he invested S$1 million in her dream of founding a music enrichment center for babies and preschoolers. 'I simply couldn't have started my company without this investment from him,' she added. Freed from the constraints of work, one would think that Mr Ang would start to take it easy, but no. Despite recovering from heart bypass surgery and needing to manage long-term diabetes, he did carpentry work at The Music Scientist. He helped take care of Jeline's young children, giving her the freedom to attend to her business needs. 'He stepped in, not to take over, but to steady the ground beneath my feet,' she told The Independent Singapore in an interview. Ang Po Thong, his daughter Jeline Ang, and her three children Mr. Ang, who still looks youthful and spry, told us that he feels he was born in the right place and at the right time, coming into his own in Singapore when anything was possible, and anyone could achieve what they wanted if they worked hard enough. Now, he added, things are not so easy, which is why he was more than willing to support Jeline in every way he could. When we asked him if selling his firm had been hard, with a twinkle in his eye, he told us, 'You must know how to give up at the right time.' On her part, Jeline, who worked as a contracts manager for many years, is beyond grateful that she gets to be much more hands-on with her own children, whom she laughingly referred to as the 'guinea pigs' for the lessons taught at The Music Scientist, and also gets to see how their methods enrich other families, as parents spend more time with their children. While at first Mr Ang felt that his daughter's passion sounded more like a hobby than a business, he has seen her thrive, even through the struggles of the COVID-19 pandemic. For Jeline, every step of the way as an entrepreneur has been a part of the learning process, with her father always available for help and advice. 'My father may not have told us 'I love you' every day, like Mummy did, but he has always shown us his love through his actions,' she said. PHOTOS: FAISHAL IBRAHIM/FACEBOOK SINGAPORE - A new 'parking enforcement officer' will soon keep a keen eye, 24/7, for errant motorists causing congestion at the multi-storey carpark connected to the Geylang Serai Hawker Centre and Market. The 'officer' will be in the form of a Digital Sentry, said Associate Professor Faishal Ibrahim on June 10 . In a Facebook post, Prof Faishal, who is MP for Kembangan (Marine Parade-Braddell Heights GRC), said that he had received 'several feedback on the high occurrence of congestion' at Deck 3A of Blk 2 Geylang Serai Road multi-story carpark. His post was accompanied by photos of a drop-off point that leads to the Geylang Serai Hawker Centre and Market. 'This (congestion) inconveniences residents and visitors. I am more concerned as this is unsafe especially for seniors and those who have mobility issues who may be blocked from view from oncoming vehicles,' said Prof Faishal . He noted that even though the parking enforcement officers have been 'very responsive' , deploying them is not a sustainable solution as motorists continue to park and wait after the officers leave. To tackle the issue, the Housing Development Board will be piloting the Digital Sentry at the carpark, he added. 'This helps to smoothen the traffic flow by nudging motorists to move their vehicles,' said Prof Faishal. 'Motorists who choose to continue waiting at the area blocking the traffic flow will have their licence plates recorded and enforcement action will be taken.' Digital Sentry is a round-the-clock security system developed by local firm Smartguard. According to Smartguard's website, the sentry device is equipped with LED displays and 'three-way sirens for active deterrence'. It also has the the ability to classify detected objects such as humans, cars or bikes. 'Let us all do our part to make the parking experience pleasant for all as we go about enjoying our favourite 'teh tarik' or shopping,' said Prof Faishal. [SINGAPORE] The following companies saw new developments that may affect trading of their securities on Tuesday (Jun 10). OCBC : Independent directors of Great Eastern Holdings (GEH) are recommending that shareholders to accept OCBC's conditional exit offer that will ultimately lead to the delisting of the insurer. This is based on advice from EY, the independent financial adviser (IFA) involved in the deal, GEH said after the market closed on Monday. The insurer noted the IFA is of the opinion that the financial terms of the exit offer are 'on balance, fair and reasonable'. Shareholders will be voting at an extraordinary general meeting on Jul 8. Shares of OCBC closed 0.6 per cent or S$0.09 higher at S$16.37 on Monday. Kim Heng : The offshore marine services contractor Kim Heng has inked an agreement with the newly set-up Singapore Energy Interconnections (SGEI), to cooperate in submarine power projects, the Catalist-listed company said on Monday. The partnership covers the purposes of operating, repairing and maintaining submarine power cable systems within the Asean region, Kim Heng said. Shares of Kim Heng closed flat at S$0.075 on Monday.
