CALGARY, AB, June 2, 2025 /CNW/ - Simply Solventless Concentrates Ltd. (TSXV: HASH) (" SSC") announces that it has filed its annual audited financial statements and management's discussion and analysis for the year ended December 31, 2024 (" Annual Financials") on the Company's SEDAR+ profile at www.sedarplus.ca. SSC also announces that due to delays incurred with filing these annual financial statements, the Company anticipates filing its first quarter results for the three months ended March 31, 2025 on or before June 20, 2025 pursuant to an extension from the Alberta Securities Commission (the " ASC"), the Company's principal regulator, of its previously announced management cease trade order (" MCTO") under National Policy 12-203 – Management Cease Trade Orders (" NP 12-203") initially approved on May 5, 2025, and subsequently updated by SSC through press releases issued on April 30, 2025, May 14, 2025, and May 20, 2025.
2024 Highlights
SSC achieved major milestones during 2024, including:
SSC completed three acquisitions, including 1) the Lamplighter brand, 2) licenced producer CannMart Inc., and 3) leading preroll co-manufacturer ANC Inc. These three acquisitions buttressed SSC's infrastructure significantly, which is now comprised of strong extraction, formulation, prerolling, and cultivation abilities, providing a solid foundation for future growth.
SSC closed two over subscribed non-brokered financings for total gross proceeds of $4.7 million, and $7.8 million was raised from the exercise of warrants.
SSC significantly strengthened its team, which is now comprised of talented professionals across all disciplines. SSC's ability to attract top talent is stronger now than ever.
Subsequent to December 31, 2024, SSC closed the acquisition of Delta 9 Bio-Tech and re-branded the operation to Humble Grow Co. (" Humble"), a licensed producer operating a 100,000 square foot cultivation facility in Winnipeg, Manitoba, and concurrently closed a non-brokered $6.0 million over subscribed convertible debenture offering. The acquisition of Humble vertically integrated SSC's operations upstream to include cultivation in a market where the demand for cannabis flower appears to be transitioning back into expansion mode.
2024 was a transformative year for SSC, and with a portfolio of assets providing manufacturing capability across the largest product categories, and the proven ability to close accretive acquisitions in a distressed market and industry, and to attract top talent, the Company is positioned for significant growth through 2025.
2024 Financial Highlights
2024 Gross Revenue: the Company generated gross revenue of $20,498,204 (2023 - $6,973,401), increase of 194% over the prior year.
2024 Net Revenue: the Company generated net revenue of $13,679,144 (2023 - $6,191,646), increase of 121% over the prior year.
2024 Gross Profit ($): the Company generated a gross profit of $1,181,189 (2023 - $3,497,279), a decrease of 66% over the prior yea r
2024 Adjusted EBITDA: the Company generated an adjusted EBITDA loss of $3,803,445 (2023 - $2,246,926), a decrease of 269% over prior period
December 31, 2024 Working Capital: $1,626,131 (2023 - $3,693,879), a decrease of 56% over the prior year.
SSC's gross revenue increased by approximately 194% from $7.0 million in 2023 to $20.5 million in 2024 due to its aggressive organic and acquisition based growth.
During 2024, SSC's total assets increased 278% from $10.2 million at December 31, 2023 to $38.6 million at December 31, 2024. This increase in assets is primarily due to SSC closing several high-impact acquisitions during 2024. Subsequent to the year end, further substantial assets were added through the Humble acquisition that closed on February 28, 2025 (refer to Note 24 – Subsequent Events in the Annual Financial for further details.)

Q1 2025 Financials
As announced on April 30, 2025, and further discussed in news releases dated May 14, 2025, and May 20, 2025, a MCTO was issued by the Company's principal regulator, the ASC on May 5, 2025 to accommodate additional time required to file the Company's Annual Financials. The ASC has approved a further extension of the MCTO to June 20, 2025 to provide the Company with adequate time to prepare the Q1, 2025 financial results due to the delays incurred in filing the Annual Financials.
Pursuant to the MCTO, management of the Company may not trade in securities of the Company until such time as the Company files the March 31, 2025 financial statements and the MCTO is revoked. The MCTO does not affect the ability of other shareholders of the Company to trade in securities of the Company. The Company confirms that it will satisfy the provisions of the alternative information guidelines under NP 12-203 by issuing biweekly default status reports in the form of news releases for so long as it remains in default of the above-noted filing requirements.
The Company confirms that (a) there have been no failures by the Company to fulfill its stated intentions with respect to satisfying the provisions of the alternative reporting guidelines under NP 12-203; (b) there has not been, nor is there anticipated to be, any specified default subsequent to the default which is the subject of the default announcement; and (c) there is no other material information concerning the affairs of the Company that has not been generally disclosed. The Company will issue required bi-weekly updated regarding the MCTO until it is revoked.

Standard Uranium Announces Closing of Private Placement and Davidson River Exploration Update

Vancouver, British Columbia--(Newsfile Corp. - June 4, 2025) - Standard Uranium Ltd. (TSXV: STND) (OTCQB: STTDF) (FSE: 9SU) (" Standard Uranium" or the " Company") has closed its previously announced non-brokered private placement (the " Offering") for gross proceeds of $1,006,675. In connection with closing of the Offering, the Company issued 7,801,667 non-flow-through units (each, an " NFT Unit"), at a price of $0.06 per NFT Unit, for gross proceeds of $468,100, and 7,181,000 flow-through units (each, an " FT Unit"), at a price of $0.075 per FT Unit, for gross proceeds of $538,575. Each NFT Unit consists of one common share of the Company and one-half of one common share purchase warrant (each, a " Warrant"). Each FT Unit consists of one common share of the Company, issued as a flow-through share within the meaning of the Income Tax Act (Canada), and one-half of one Warrant. Each whole Warrant entitles the holder to purchase one common share of the Company at a price of $0.15 at any time on or before June 3, 2027. The net proceeds raised from the Offering will be used for the exploration of the Company's projects and for working capital purposes. In connection with completion of the Offering, the Company paid finders' fees of $45,921 and issued 682,523 non-transferable share purchase warrants (each, a " Finders' Warrant") to certain arms-length parties who assisted in introducing subscribers to the Offering. Each Finders' Warrant is exercisable on the same terms as the Warrants. All securities issued in connection with the Offering are subject to restrictions on resale until October 4, 2025, in accordance with applicable securities laws. Certain directors, officers and their affiliates participated in the Offering in the amount of 875,000 NFT Units and 130,000 FT Units. Participation in the Offering by insiders of the Company constitutes a "related party transaction" within the meaning of Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions (" MI 61-101"). The issuance of securities to insiders of the Company is exempt from the valuation requirement of MI 61-101 by virtue of the exemption contained in section 5.5(b) as the Company's shares are not listed on a specified market and from the minority shareholder approval requirements of MI 61-101 by virtue of the exemption contained in section 5.7(a) of MI 61-101, in that the fair market value of the consideration of the securities issued to the insiders of the Company does not exceed twenty-five percent of the Company's market capitalization. Davidson River 2025 Exploration Update The Company is pleased to provide an update on current exploration activities on its flagship Davidson River Project (" Davidson River" or the " Project") in the southwest Athabasca Basin region, northern Saskatchewan. Beginning on May 26, 2025, Standard Uranium in partnership with Fleet Space Technologies Canada Corp. (" Fleet Space") has begun deploying the first Exosphere Multiphysics surveys in the southwest Athabasca Basin region. The Multiphysics surveys will collect three types of geophysical data (Ambient Noise Tomography, Horizontal-to-Vertical Spectral Ratio, and Gravity) over three of the four major conductive corridors on the Project. Deployment of the first of three Multiphysics grids is currently underway with new data being collected over one of three targeted conductive corridors on the Project. The Company will provide additional updates as the survey continues throughout June 2025. TORONTO, June 4, 2025 /CNW/ - Sun Life Financial Inc. (TSX: SLF) (NYSE: SLF) (the "Company" or "Sun Life") announced today that the Office of the Superintendent of Financial Institutions and the Toronto Stock Exchange (the "TSX") have approved the Company's previously announced early renewal of its normal course issuer bid. As of the date hereof, the Company has purchased on the TSX, other Canadian stock exchanges and/or alternative Canadian trading platforms 14,429,085 of the 15,000,000 common shares that it was authorized to repurchase under its NCIB that commenced on August 29, 2024 (the "2024 NCIB"), at a weighted average price paid per common share of approximately $81.49. Under the Company's renewed normal course issuer bid (the "2025 NCIB"), the Company will be permitted to purchase up to 10,570,915 common shares, being equal to the remaining 570,915 common shares that the Company has not repurchased under the 2024 NCIB plus an additional 10,000,000 common shares. The 2025 NCIB will commence on June 9, 2025 and continue until May 21, 2026 or such earlier date as the Company may determine. The average daily trading volume of the Company's common shares on the TSX for the six months ending May 31, 2025 was 2,170,836 (the "ADTV"). Purchases under the 2025 NCIB may be made through the facilities of the TSX, other Canadian stock exchanges, the New York Stock Exchange (the "NYSE") and/or alternative trading platforms in Canada and the United States, at prevailing market rates. In accordance with the TSX rules, the Company may purchase up to 542,709 of its common shares on the TSX during any trading day, which represents 25% of the ADTV, subject to the TSX rules permitting block purchases. Subject to certain exceptions for block purchases, the maximum number of common shares which can be purchased per day on the NYSE will be 25% of the average daily trading volume for the four calendar weeks preceding the date of purchase. The 2025 NCIB will provide the Company with the flexibility to acquire common shares in order to return capital to shareholders as part of its overall capital management strategy. In accordance with the requirements of the TSX, because the Company is renewing its normal course issuer bid before the 2024 NCIB expires, the total number of common shares that the Company repurchased under the 2024 NCIB will be deducted from the maximum number of common shares that the Company may purchase under the 2025 NCIB. Accordingly, the Company has obtained TSX approval to purchase up to 25,000,000 common shares under the 2025 NCIB, representing approximately 4.4% of the 563,611,686 common shares issued and outstanding as at June 2, 2025. The 25,000,000 common share maximum includes 14,429,085 common shares already repurchased under the 2024 NCIB and the 10,570,915 common shares that may be repurchased under the 2025 NCIB. Subject to regulatory approval, purchases under the 2025 NCIB may also be made by way of private agreements or share repurchase programs under issuer bid exemption orders issued by securities regulatory authorities. Any purchases made under an exemption order issued by a securities regulatory authority will generally be at a discount to the prevailing market price. The actual number of common shares purchased under the 2025 NCIB, and the timing of such purchases (if any), will be determined by the Company. Any common shares purchased by the Company pursuant to the 2025 NCIB will be cancelled or used in connection with certain equity settled incentive arrangements. The Company has established an automatic repurchase plan with its designated broker in order to facilitate purchases of common shares under the 2025 NCIB.
