PROREIT COMPLETES ACQUISITION OF SIX INDUSTRIAL PROPERTIES IN WINNIPEG FOR $96.5 MILLION Français

MONTRÉAL, June 27, 2025 /CNW/ - PRO Real Estate Investment Trust ("PROREIT" or the "REIT") (TSX: PRV.UN) today announced the successful completion of its previously announced acquisition of a 100% interest in a portfolio of six high-quality industrial properties located in Winnipeg, Manitoba totaling 678,177 square feet of GLA (the "Portfolio") for an aggregate purchase price of $96.5 million (excluding closing costs) from Parkit Enterprise Inc. (TSXV: PKT) ("Parkit"), representing approximately $142 per square foot and a mid-six percent capitalization rate (the "Transaction").
As part of this accretive Transaction, PROREIT paid approximately $40 million of the purchase price by issuing to Parkit at a price of $6.20 per unit (i) 3,776,613 trust units of the REIT, and (ii) 2,675,000 Class B LP Units of PRO REIT Limited Partnership. Each Class B LP Unit is exchangeable for a trust unit of the REIT and is attached to a special voting unit of the REIT providing for a voting right in the REIT.
The issuance price represents premiums of 21.8% and 24.4% over the closing price of the PROREIT units on May 12, 2025, the last day prior to the announcement of the Transaction, and the 20-day volume-weighted average trading price of the PROREIT units as at that date, respectively. Following the Transaction, Parkit now holds an approximate 9.6% ownership interest in PROREIT.
Concurrent with the closing of the Transaction, PROREIT and Parkit entered into an investor rights agreement providing for, among other things, certain lock-up and standstill provisions, pre-emptive and registration rights, as well as the right for Parkit to nominate one trustee to PROREIT's board. In accordance with the investor rights agreement, Steven Scott, who currently serves as Chairman on Parkit's board, was appointed to the board of PROREIT as the initial Parkit nominee. Financing of the Portfolio
The $96.5 million purchase price (excluding closing costs) for the Portfolio was satisfied with cash from a new $63 million 3-year secured non-revolving credit facility (with two successive one-year renewal options) at a 5-year fixed swap rate of 4.54% and the issuance of $40 million of units to Parkit. The balance of the non-revolving credit facility was used to repay a portion of indebtedness outstanding under the REIT's existing credit facilities and for general business purposes.

ON BAYSTREET The TSX Venture Exchange slid 7.82 points, or 1.1%, to 720.97. Still, eight of the 12 TSX subgroups gained, with health-care ahead 2%, real-estate chugging 0.6%, and utilities better by 0.4%. The four laggards were weighed most by gold, duller by 3.6%, materials, off 2.8%, and consumer staples dipping 0.3%. ON WALLSTREET The S&P 500 rose to a new record on Friday, the culmination of an improbable turnaround for U.S. stocks this year as they overcame trade turmoil and geopolitics to reclaim the record set in February. Friday's gain was driven by hope that trade deals with China and other countries are coming soon. The Dow Jones Industrials zoomed 314.95 points to 43,701.79. After rising to a new high in February on hopes for business-friendly policies from Trump, stocks tumbled as the president decided to instead implement stiff tariffs first. At its low in April, the S&P 500 was down nearly 18% for 2025. The benchmark then began a stunning comeback after Trump walked back his stiffest tariff rates and the U.S. began negotiations for trade deals. Nvidia hit an all-time high again on Friday, up 0.9%. Microsoft notched a new record as well before hovering around the little-changed mark. Prices for the 10-year treasury dropped slightly, raising yields to 4.26% from Thursday's 4.24%. Treasury prices and yields move in opposite directions. Oil prices resurged 52 cents to $65.76 U.S. a barrel.

The Transaction was valued at USD 1.6 billion on a cash-free debt-free basis comprising approximately USD 1.3 billion of cash, and the issuance of 9.9 million common shares of Methanex ("Methanex Shares"), valued at USD 346 million. OCI intends to launch the tender offer for its USD 600 million 6.700 per cent Notes due 2033 within five business days of the closing of the Transaction. OCI intends to return a further up to USD 1 billion through multiple channels of distribution during 2025 and early 2026. Transaction Details The transaction was valued at USD 1.6 billion on a cash-free debt-free basis. The proceeds comprise of approximately USD 1.3 billion of cash (taking into account expected net indebtedness), subject to customary closing adjustments and the issuance of 9.9 million Methanex Shares, valued at USD 346 million. OCI becomes a 12.9 per cent shareholder and the second largest shareholder in Methanex following the closing of the Transaction. Pursuant to the successful resolution of the previously disclosed dispute between OCI and its Natgasoline joint venture partner, Proman, OCI's indirect 50% interest in the Natgasoline joint venture was included as part of Methanex's acquisition of OCI Methanol. For more information on the Transaction, reference is made to the press release published on 9 September 2024. 2033 Notes Tender Offer As previously announced, OCI is required to launch a tender offer for its USD 600,000,000 6.700 per cent Notes due 2033 (the "Bonds") within five business days of the successful closing of the Transaction, which closing has now occurred. OCI intends to launch the tender offer early next week, and holders of the Bonds should refer to the separate announcement that will be forthcoming, which will include details on the timetable for the offer, how to tender Bonds into the offer, and an accompanying consent solicitation. The tender offer will be on customary terms and offer a price of 110.75% of par, plus accrued and unpaid interest. USD 1.0 Billion Extraordinary Cash Distribution OCI announces today that it intends to return up to USD 1.0 billion through 2025 and early 2026 to its shareholders. The first tranche of approximately USD 700 million has been approved by the Board and is expected to be paid no later than 5 September 2025 through a mix of capital repayments and ordinary cash dividends, based on fiscal reserve capacity. A second tranche totaling up to USD 300 million is expected to be returned to shareholders in late 2025 or early 2026 through a mix of cash dividends and potentially share buybacks, subject to Board approval and strategic review deferred inflows. The closures come in response to prolonged weak market conditions and sustained financial losses that have rendered continued operations at the facilities unsustainable. Approximately 290 employees will be impacted by the closures, which will also reduce Canfor's US lumber production capacity by 350 million board feet annually. 'We understand the significant impact this difficult decision will have on our employees,' Lee Goodloe, Canfor Southern Pine's president admitted in a news release. 'This outcome is in no way a reflection of the dedication and hard work of our teams. We are committed to supporting our employees through this transition, including providing severance payments and exploring opportunities for redeployment within our other operations where possible.' The announcement follows Canfor's first-quarter 2025 financial results, reported in May, which exposed the company's ongoing struggles. Canfor posted an operating loss of C$29 million for Q1 2025, with a net loss attributable to shareholders of C$31 million, or $0.26 per share. Canfor also sustained an operating loss of C$46 million in Q4 2024. Despite an increase in North American lumber prices during the quarter—largely driven by supply constraints amid rising global economic and trade uncertainty—Canfor's US operations continued to face significant headwinds. In contrast, the company reported improved results from its Western Canadian operations, following a rationalization strategy implemented in 2024, and another quarter of solid earnings from its European segment. Canfor Pulp also saw modest improvement in Q1 2025, as global softwood pulp market fundamentals began to strengthen early in the quarter. Looking ahead to the second quarter of 2025, North American lumber markets are expected to remain volatile and uncertain. Persistent affordability issues and ongoing disruptions to traditional trade routes due to tariffs are likely to dampen near-term demand. The company has not yet disclosed details regarding severance or support for affected employees but stated it is committed to working with local officials and community partners to ease the transition. The Vancouver-based logging giant also closed two of its sawmills based in Northern British Columbia in late 2024, much to the chagrin of Fort St. John's Mayor. Canfor's decision is an engraved sign of the broader volatility in the lumber industry, which continues to grapple with fluctuating demand, trade tensions, and shifting global economic conditions.
