Companies can't claim tax deduction on regulatory settlements, says govt

Companies can no longer claim tax benefits for money spent on settling cases related to violations of key financial and competition laws, according to a notification issued by the Central Board of Direct Taxes (CBDT). The tax department clarified that any expenditure incurred to resolve proceedings under four specific laws will not be treated as a business expense. These laws are: the Securities and Exchange Board of India (Sebi) Act, 1992; the Securities Contracts (Regulation) Act, 1956; the Depositories Act, 1996; and the Competition Act, 2002. The change is effective immediately from April 23.
This means that fines, penalties, or settlement amounts paid under these laws cannot be deducted while calculating a company's income for tax purposes. The notification has been issued under Section 37 of the Income-tax Act, 1961, which deals with business expenditure. It makes clear that such payments, being related to legal violations, will not be considered as made for the purpose of business or profession.
"The government is making it clear that breaking rules won't just cost companies in fines, but also in higher taxes. This change stops companies from saving tax on money spent to settle cases where they've gone against the law. The government is sending a strong message that non-compliance will carry financial consequences—not just in fines but also in tax treatment,' said Abhishek Rastogi, founder of Rastogi Chambers.

Thane: Thane police have registered a case against eight individuals associated with an investment firm for allegedly cheating 78 investors of Rs 3.7 crore after promising them high returns, officials said on Thursday. The firm opened its office in Dombivli area of Maharashtra's Thane district some years back and began marketing various investment schemes which promised lucrative interest rates. The accused, including partners and employees of the firm, lured people to invest money for good returns, an official The victims invested money in the firm's schemes between 2021 and 2022. "The accused issued certificates to investors, acknowledging their investments and promising attractive returns. However, after receiving the funds, they failed to deliver the agreed interest and also did not return the principal amount to the investors," the official said. One of the 78 victims subsequently lodged a police complaint on behalf of the group. The police on Tuesday registered an FIR against eight persons associated with the firm under sections 420 (cheating), 406 (criminal breach of trust) and 34 (common intention) of the Indian Penal Code, and provisions of the Maharashtra Protection of Interest of Depositors (in Financial Establishments) Act, the official said. "We are currently probing the case. As of now, no arrest has been made, but all the accused have been identified and we are verifying the financial trail. Action will be taken as per law once we complete the preliminary inquiry," the official added.

How Sebi's new verified UPI IDs will safeguard investors from cyber frauds

To Securities and Exchange Board of India (SEBI) is set to introduce a structured unified payment interface (UPI) address mechanism for its registered intermediaries, to tackle the rising number of unregistered entities in the stock market that are misleading investors. Th move is expected ti streamline the collection of funds by intermediaries from investors. Through this process, investors will be able to identify legitimate Sebi-registered market intermediaries before making payments to them. The markets regulator is also developing a new tool called 'SEBI Check' to verify the veracity of UPI IDs or bank details of registered intermediaries. The regulator has set an October 1, 2025 deadline to introduce both facilities. What is the new verified UPI payment mechanism? With an aim to enhance investor protection and combat unauthorised money collection in the securities market, the Sebi has announced the introduction of a structured and validated UPI address mechanism, featuring the exclusive '@valid' handle for all its registered investor-facing intermediaries. The validated UPI handle will be exclusively allocated by the National Payments Corporation of India (NPCI) only for payment collection by Sebi-registered intermediaries. The NPCI is the umbrella organisation for operating retail payments and settlement systems in the country, that owns and operates the UPI platform. A mobile-based, 365x24x7 'fast payment' system, UPI enables users to send and receive money instantly using a Virtual Payment Address (VPA) set by the user itself. Under the new mechanism, the username will be a readable name chosen by the intermediary, followed by a mandatory suffix that clearly identifies their category, Sebi said. While the suffix would be '.brk' for a stock broker, it would be '.mf' for a mutual fund. The verified UPI handle will feature a unique and exclusive identifier, '@valid', combined with the name of the self-certified syndicate bank. For example, for a registered broker ABC Ltd, having an account with XYZ bank, the exclusive UPI ID would be: To ensure easy identification of legitimate transactions, investors will see a clear visual cue, a 'thumbs-up inside a green triangle' icon, when making a payment to a registered intermediary through the new UPI handle. What are the key benefits of the new UPI IDs? The Sebi said in recent years, unregistered entities have increasingly misled investors by collecting funds without authorisation, often siphoning off these amounts for personal gain. To address this growing issue of impersonation and to enhance investor confidence in the securities market, the markets regulator is launching a new UPI address structure for all its registered intermediaries who collect funds from investors. The new framework is designed to proactively curb such fraudulent activities, enabling investors to easily identify legitimate Sebi-registered market intermediaries and make payments to them securely and efficiently. 'This innovative mechanism is set to significantly improve the safety and accessibility of financial transactions within the securities market by providing a verified and secure payment channel,' Sebi Chairman Tuhin Kanta Pandey said. Will the new UPI ID be mandatory for all intermediaries? The regulator has made it mandatory for all intermediaries to obtain the new UPI IDs. The intermediaries are also required to make investors aware of the new handle and mandatorily offer it as one of the payment options to them. Is it compulsory for investors to use the new UPI handle only? For investors, the use of a structured UPI handle will remain optional. Investors can choose their preferred mode of payment, such as UPI, Immediate Payment Service (IMPS), National Electronic Funds Transfer (NEFT), Real Time Gross Settlement (RTGS), or cheques. If an investor opts to use UPI for the payment to registered intermediaries, then they have to do so using only the new UPI IDs allotted to registered intermediaries. What will happen to payments done through existing UPI IDs of the intermediaries? The intermediaries will have to stop accepting payments using the existing UPI IDs post October 1, 2025. To be sure, the existing mode of fund transfer for the ongoing mutual fund systematic investment plans (SIPs) will continue to remain in force to avoid any disruption. However, the new SIPs and renewal or extension of existing SIPs must be done using the new UPI IDs only. What is the new 'SEBI Check' tool? To provide an additional layer of security and help investors verify the authenticity of an entity before proceeding with any financial transaction, the Sebi is developing a functionality named 'SEBI Check'. This will allow investors to verify the authenticity of UPI IDs either by scanning a QR code or by entering the UPI ID manually. The tool will also include a feature to confirm the bank details such as bank account number and Indian Financial System Code (IFSC) of an intermediary. When will validated UPI IDs and 'SEBI Check' become available to users? The Sebi said the system is currently in development and will be available for use by common investors with effect from October 1, 2025.

A joint venture of Mukesh Ambani's Reliance has received second big good news in 15 days. Jio BlackRock Investment Advisers Pvt Ltd, a 50:50 joint venture between Jio Financial Services Ltd (JFSL) and US-based BlackRock Inc, announced on Wednesday that it has received regulatory approvals from the Securities and Exchange Board of India (SEBI) and the Bombay Stock Exchange (BSE) to begin operations as an investment adviser. This follows the announcement on May 27, 2025, of regulatory approval from Securities and Exchange Board of India (Sebi) for Jio BlackRock Asset Management Private Ltd to commence operations as an investment manager for its mutual fund business in India. With this license, Jio BlackRock Investment Advisers will now focus on developing a digital-first product designed to meet the evolving needs of investors, Jio BlackRock Investment Advisers said in a statement. Jio BlackRock Investment Advisers also announced the appointment of Marc Pilgrem as its Managing Director (MD) and Chief Executive Officer (CEO). As Indian investors increasingly seek personalized, insight-driven financial solutions, this joint venture is poised to democratize access to world-class advisory services, JFSL MD and CEO Hitesh Sethia said. 'We are confident that Jio BlackRock will redefine the future of wealth creation in India by empowering investors with global expertise and local relevance,' he said. Jio BlackRock Investment Advisers, in a statement, said that with this license, the firm is now focused on developing 'digital-first' products to meet the growing needs of investors.
