
Hall of Fame Resort to go private with acquisition by IRG affiliate

Hall of Fame Resort & Entertainment Co. in Canton, Ohio, has agreed to be acquired by an affiliate of the company's largest shareholder and director — Stuart Lichter, founder and president of Industrial Realty Group LLC in Los Angeles.
Upon completion of the acquisition, which has several conditions, Hall of Fame Resort would become a privately held company.

Under the acquisition agreement, a new Lichter-affiliated investment vehicle — HOFV Holdings LLC — would acquire the outstanding shares of Hall of Fame Resort that IRG and its affiliates don't already own for 90 cents per share, according to a Hall of Fame Resort statement.
Based on recent regulatory filings, the cost of buying the outstanding shares would be about $4 million.
The resort company also said it has signed a letter of intent for a new lease on the indoor waterpark on its 100-acre campus and to restructure the leases for its future on-site hotel and Tom Benson Hall of Fame Stadium properties there.
The resort company defaulted on the ground lease for its Gameday Bay waterpark in October and has yet to build an expected Hilton Tapestry hotel adjacent to it. Hall of Fame Village, the name of the resort property, includes a Center for Performance and Constellation Center for Excellence, as well as a retail strip and play-action plaza.
The parties involved are finalizing the terms for the lease restructuring, which Hall of Fame Resort calls "a big step toward restarting construction of the waterpark and the on-site hotel."
The vision for Hall of Fame Resort
"Our vision has always been to build a world-class sports and entertainment company, which includes our destination in the Hall of Fame Village, Hall of Fame Village Media and Gold Summit Gaming," Michael Crawford, Hall of Fame Resort's outgoing president and CEO, said in his company's statement. "This is an ambitious goal. It entails a continued focus on our strategic plan, and it requires investing in the critical areas that will help ensure long-term growth."
Crawford, whose resignation from the company takes effect May 18, continued, "We operate in a dynamic and sometimes challenging environment, and as a private company upon completion of the transaction, we believe that we will have strategic flexibility and additional working capital to invest in each of our business verticals and to continue to build the company as we have planned."
Acquisition subject to several IRG conditions
The acquisition is subject to approval by holders of a majority of the company's common stock and is conditioned on:
HOFV Holdings, the new Lichter-affiliated investor, obtaining $20 million in financing.
Consummation of the proposed lease restructuring.
Consummation of additional project-level financing of at least $125 million (likely to complete the waterpark and build the on-site hotel).
Obtaining third-party consents.
The acquisition also contemplates Hall of Fame Resort selling to and leasing back properties from IRG that are not included in the lease restructuring, the resort company said.
Lichter and IRG are longterm investors in the resort
Lichter and IRG, which operates one of the largest commercial real estate portfolios in the United States including several Northeast Ohio properties, began investing in Hall of Fame Resort before the company's going-public transaction in 2020. IRG also is the resort's master developer.
Since then, Lichter and his affiliated companies have invested tens of millions of dollars in the resort property through loans and purchases of securities. More recently, Lichter and his companies also have refinanced the resort's debt.
As of Jan. 15, Lichter and his affiliates owned 72.5% of the resort company's shares, including shares underlying convertible debt and warrants, according to a regulatory filing. That percentage likely is higher now because of recent amendments to a convertible debt agreement aimed at freeing up cash for the struggling resort company.
In June 2024, Lichter revealed in a regulatory filing that he was talking with financial advisors and stakeholders about taking the debt-heavy resort company private to help solve its "significant liquidity challenges," Lichter said in a preliminary nonbinding proposal to Hall of Fame Resort's board in October.
Shares of Hall of Fame Resort (Nasdaq: HOFV) were up more than 20% to 86 cents a share in noontime trading on Thursday as investors bought into the 90-cent-a-share acquisition price.

Georgia court determines DAT violated factoring non-compete with OTR Capital
Load board and data company DAT has been told to stop its factoring operations In a decision handed down Thursday afternoon. Introduction to the Case On June 10, 2025, the Superior Court of Cobb County, Georgia, granted emergency relief to OTR Capital, ordering DAT Solutions to suspend operations of its Outgo subsidiary and comply with a 2021 non-compete agreement. The court found that OTR was likely to succeed in its claims and faced 'a substantial threat of irreparable harm' without immediate judicial intervention. The dispute alleges that DAT Solutions breached non-compete and confidentiality provisions by acquiring Outgo, Inc., a factoring service provider competing directly with OTR in the transportation sector. The court's emergency order requires DAT to cease competitive actions through Outgo and stop using a 'blue checkmark' on its digital of the Relationship Between OTR and DAT Before the dispute, OTR and DAT maintained a cooperative business relationship. Founded in 2011, OTR, a Roswell, Georgia-based firm, provides factoring, banking, and payment services to the transportation industry, with factoring as a core operation. In February 2021, the parties signed a Non-Disclosure Agreement (NDA) to explore a referral partnership. DAT agreed to protect OTR's confidential data, acknowledging that any breach would cause 'irreparable harm' not quantifiable by financial damages. Their collaboration deepened in August 2021 with a 'Referral and Revenue Sharing Agreement,' including:A non-compete clause prohibiting DAT from directly competing with OTR's U.S. factoring business. Provisions barring DAT from using OTR's proprietary information to divert clients to competitors. A confidentiality agreement extending the NDA's terms, preventing DAT employees with access to OTR's confidential data from developing or supporting a DAT-affiliated accounts receivable financing service. Under this agreement, OTR became the preferred factoring provider on DAT's 'Load Board,' an online marketplace connecting trucking firms with freight clients. OTR paid DAT substantial referral fees, and the Load Board displayed a blue checkmark to indicate customer orders vetted by OTR for creditworthiness. DAT Solutions' Acquisition of Outgo, Inc. On May 15, 2025, DAT acquired Outgo, Inc., a financial technology and factoring service specializing in automated invoice payments. This acquisition shifted DAT into direct competition with OTR in the factoring services market. Post-acquisition, DAT integrated Outgo into its operations and marketed it aggressively. DAT's website promotes Outgo as 'Get smart factoring with Outgo, a DAT Product,' featuring a dedicated 'Freight Factoring' section. Outgo's CEO joined DAT's executive team, and Outgo's website emphasizes its status as a 'DAT Product.' Industry reports confirmed DAT's entry into factoring services, highlighting this competitive shift. Alleged Breaches of Agreements by DAT OTR alleges that DAT's acquisition and actions violated their agreements in several ways: Direct Competition Violating Non-Compete Clause: By acquiring and operating Outgo, DAT directly competes with OTR, breaching the non-compete agreement. Misuse of Confidential Information: OTR claims DAT exploited confidential client lists and pricing data, accessed under prior agreements, to compete against OTR. Consequences and Harm to OTR The court recognized DAT's actions as causing potential irreparable harm to OTR in several ways:Market Confusion: DAT's use of the blue checkmark misleads customers into associating DAT's services with OTR's credit evaluations, risking damage to OTR's reputation if services are inconsistent. Unfair Exploitation of Goodwill: DAT appears to capitalize on OTR's established market reputation by retaining similar markers while offering its own services, benefiting from OTR's brand without compensation. Ongoing Competitive Harm: Each day DAT competes directly with OTR results in lost client relationships, potentially causing permanent loss of current and future clients. This harm is exacerbated as OTR paid significant referral fees to DAT, assuming no competitive conflict. Unaware of DAT's plan to enter the factoring market, OTR inadvertently funded its own competitor. Legal Actions and Court Orders OTR filed a Verified Complaint for Injunctive Relief and Damages in Cobb County Superior Court, followed by a Motion for Emergency Hearing, which was granted. On June 10, 2025, Senior Judge Adele P. Grubbs issued an emergency order after the hearing, finding: OTR faced a significant threat of irreparable harm without immediate relief. The harm to OTR outweighed any potential harm to DAT from compliance. OTR was substantially likely to prevail on its claims. The order served the public interest. The emergency order mandates DAT to comply with the non-compete clause by: Refraining from competing with OTR's U.S. factoring business through Outgo. Ceasing all U.S.-based factoring services via Outgo. Discontinuing the use of the blue checkmark for factoring indications on DAT-controlled online platforms. This order remains in effect until a full hearing on OTR's request for an expedited interlocutory injunction. What a pastor's fight over financial transparency in SBC achieved despite his latest loss
DALLAS — South Carolina pastor Rhett Burns set out to change how the Southern Baptist Convention thinks about financial transparency, and the denomination's top policymaking body defeated many of his hopes. But Burns' advocacy didn't fall on deaf ears, as his congregation at First Baptist Church (FBC) Travelers Rest can attest to. 'It's God's money and we want to have an open hand and be up front with everybody,' Ron Tweedy, a deacon at FBC Travelers Rest, said in an interview. 'And at the end of the day, I just have the same expectation for our denomination as I do for our church.' Tweedy was one of five parishioners to accompany their pastor to Dallas this week as delegates, called messengers, on behalf of FBC Travelers Rest, a congregation of no more than 100. The FBC Travelers Rest delegation cheered on their pastor at the SBC annual meeting as Burns called for stronger requirements for SBC-affiliated agencies to publicly disclose more details about spending, including the salaries of top executives. Burns advocated for the same basic SBC policy changes at the 2023 and 2024 SBC annual meetings, and this year he yet again he faced resistance. Almost none of the legislative proposals that Burns and his allies pushed for moved forward in any meaningful way, and a June 11 floor debate highlighted the differing views among Southern Baptists about how to strengthen financial accountability. Though divided, messengers at the Dallas meeting displayed a greater interest in the denomination's financial health and how to best monitor that health going forward. These differing sentiments emerged when Burns brought a proposed measure that dealt with reporting requirements about executive pay. Burns argues that requiring SBC-affiliated agencies, called entities, to publish detailed financial information like executive pay helps promote trust between those entities and everyday Southern Baptists. The Nashville-based denomination's collective budget, called the Cooperative Program, receives income from church giving and supports 10 major entities. 'I wish we could get back to a point where we trust one another more,' Burns said in an interview. Burns believes having the right guardrails in place instills more confidence in Southern Baptists that entities are responsibly spending that income received from church giving. But a legislative debate dealing with one of Burns' proposals faced fierce opposition from other messengers. 'Is there anything significant to be gained by simply knowing how much money certain people make?" John Piwetz, pastor of Crossroads Baptist Church in Elizabethtown, Kentucky, said during a June 11 debate on the floor of the convention. "It would inevitably generate disagreements, envy and division.' 'I've learned that what matters more than transparency is integrity," Piwetz said. "Publishing salaries is not a solution, it only causes more issues.' Piwetz was speaking against a proposal from Burns to amend a new SBC Business and Financial Plan. The SBC Executive Committee, which is the denomination's administrative arm, put forward a new Business and Financial Plan this year for messengers to adopt. Executive Committee staff said this new version is a step toward greater transparency. But Burns saw the plan as a farce, and he tried to amend it. 'They did it in such a way to try to … take the bullet out of the chamber of those who are pushing for more transparency," Burns said in an interview prior to the June 11 floor debate. Ultimately, messengers strongly rejected Burns' proposed change and adopted the new Business and Financial Plan as presented by the Executive Committee. "I'm disappointed, but this isn't the end of the world," Burns said. "What I'm excited about is going back to Travelers Rest. … We have a lot of work to do at our church." Burns' motivation for his advocacy across the SBC started with his experience at his small-town church. Burns became the pastor at FBC Travelers Rest in 2023 after a ministry career that included seven years serving as a missionary in central Asia. But he long knew of FBC Travelers Rest from his grandparents, who had been longtime members there. There are two members at FBC Travelers Rest who have been there for 70 years, since their baptisms in May 1955. Other members are descendants of the forbearers who founded the church in 1913. 'They have been faithfully giving to this church and faithfully giving to the Cooperative Program,' Burns said. 'There's a gravity there for responsibility with our money. As pastor, I feel a sense of responsibility.' Since Burns' appointment and the addition at around the same time of members like Tweedy, the congregation has been more engaged with SBC news and governance concerns. For this year's convention in Dallas and last year's in Indianapolis, FBC Travelers Rest has sent more messengers than it typically has. Meanwhile, the same virtues have guided the congregation to re-examine its own financial practices. 'Some of the newer members were thinking, 'Hey, we need to be better stewards of what we're actually giving to the Cooperative Program, and making sure that money is being used properly,'' Tweedy said. The church formed a study group to review potential changes to the church's giving to national Southern Baptist ministries. That study group gave a report in April, and the congregation waited to make any final decisions until Burns and Tweedy report back from Dallas. Historically, 10% of FBC Travelers Rest's budget has gone toward the Cooperative Program, which in 2024 totaled $11,508. Now, the church is considering separating out that 10% share and selectively giving to some SBC entities and withholding from others. This model of targeted giving to certain entities is gaining popularity, and recent policy changes at the state level are allowing more churches to do that. There has been growing distrust toward certain entities in the wake of different controversies, causing churches to carefully consider whether their giving is consistent with their values. One example is that more churches are withholding giving to the SBC Executive Committee due to legal fees the committee is paying for abuse-related court battles. 'We're living in this moment where authority is being decentralized in some ways,' Burns said. 'The gatekeepers aren't gatekeeping in the same ways.' Related: What Southern Baptist budget debate says about denomination's precarious funding Elements of these deliberations in Dallas echo those of the 2019 and 2021 SBC annual meetings following a recommendation for financial accountability introduced by Morris Chapman, former chief executive for the SBC Executive Committee. 'It is our desire that we who are administrators and executives … be just as trustworthy and as honest as those serving in the field giving a report to us,' Chapman said at the 2019 meeting in Birmingham, Alabama. 'This year, the light has shined on our cooperative work in ways that revealed our need for reform.' Two years later, the SBC Executive Committee proposed changes to the Business and Financial Plan but faced fierce opposition, including from prominent Southern Baptists who today are top executives at SBC entities. Many were concerned that the proposal gave the SBC Executive Committee too much authority over other entities and their compliance with financial guidelines. The merit of that proposal aside, the fundamental concerns behind it are more prescient than ever. Cooperative Program giving has decreased by 6%, or $12.9 million, since the 2021-22 fiscal year, and many entities have reduced staffing totals since then. Also, the SBC Executive Committee, North American Mission Board, and Southwestern Baptist Theological Seminary have faced scrutiny for separation agreements between those entities and former executives who resigned, some in scandal. Southern Baptists have often wondered in those cases how much severance the entities paid those ousted executives. Amid this turmoil, Burns' congregation at FBC Travelers Rest has responded differently. Tweedy said some of his fellow parishioners think it's simplest for the church to leave the SBC altogether. Though sympathetic to that unease, Tweedy and Burns support a more balanced strategy. For example, the church can potentially change its giving practices to the national convention without jeopardizing its ability to send messengers to the SBC annual meetings and to continue to advocate for policy changes. To Tweedy, the best way to honor the church's legacy of financial support for the SBC is not to give up. 'Our folks have been giving faithfully for decades,' Tweedy said, 'and it would be irresponsible of us just to take our ball and go home.' Vox Media Union Members Vote to Authorize Strike With Midnight Deadline
Members of the Writers Guild East-affiliated Vox Media Union have voted to authorize its leaders to order a strike against the media company at 11:59 p.m. Eastern on Thursday if a deal on a new labor contract is not reached. Ninety percent of the 250-member bargaining unit voted in favor of the strike authorization. The unit includes editorial staffers at The Verge, Eater, SB Nation, Pop Sugar, Thrillist, Vox Media Podcast Network and The Dodo. If a strike is ordered, WGA East plans to hold picket lines outside Vox's Broad Street headquarters in New York. 'Writers Guild members at Vox Media would much rather end the week with a fair and equitable contract than with a strike,' WGAE President Lisa Takeuchi Cullen said in a statement. 'The union and our allies are ready to support the Vox Media Union should they be forced to strike because management refuses to reach an agreement that meets members' very reasonable demands.' While not providing specifics on contract language, the Vox Media Union says it seeks protection for its members against abuse of artificial intelligence, as well as minimum compensation and annual raises 'that reflect today's economy and cost of living,' improved severance benefits and layoff procedures. Various unions have voiced their support for Vox Media, including a joint statement signed by the players associations for a variety of sports leagues covered by Vox's websites, including those for MLB, NBA, NFL, NHL, MLS, WNBA, and NWSL, among others. The AFL-CIO and New York City Central Labor Council also supported a campaign that sent a letter to Vox's leadership with more than 3,000 union members signing.
