
Big Pay Packages Spark Growing Dissent Among UK Shareholders
Shareholder dissent over executive pay at British companies is rising just as firms seek to bolster pay packages to remain internationally competitive.
Three times as many companies faced opposition from more than 20% of shareholders so far this year compared with the same period in 2024, data from proxy-solicitation firm Georgeson Inc. shows.
With investors having already voted on remuneration reports from more than half of FTSE 350 companies, 16 faced dissent exceeding 20% between Jan. 1 and May 31 this year, up from five in 2024, the data shows.
'Last year, FTSE 350 companies were more conservative in recommending higher levels of pay, which led to high shareholder support and low levels of opposition,' said Daniel Veazey, Georgeson's corporate governance manager.
Pay packages of UK-based chief executive officers have grown faster this year than those of US rivals, with companies racing to close the gap to attract and retain top talent. The median FTSE 100 CEO package increased 7% to £4.79 million in 2024, according to Deloitte.
'UK Plcs are feeling freer to propose new remuneration policies designed to remain competitive with US and EU peers,' said Sonia Gilbert, Clifford Chance's incentives partner.
London Stock Exchange Group Plc came up against a shareholder revolt at its annual meeting on May 1, with 31% voting against the company's remuneration report, which saw CEO David Schwimmer take home £7.9 million in its latest financial year. Consumer giant Unilever Plc also faced close to 30% opposition against new boss Fernando Fernandez's base salary, which was just modestly short of his predecessor's.
UK companies are challenging the status quo a little more this year, encouraged by widespread shareholder support in 2024 and relaxed Investment Association guidelines on pay, Georgeson's Veazey said.
Of 55 FTSE 100 companies that had published their fiscal 2024 reports, 24 were seeking shareholder approval for new remuneration policies, compared with 16 at the same time last year, research by Deloitte in April shows. Of those proposing changes, more than 40% submitted their policies ahead of the usual three-year cycle.
British American Tobacco Plc CEO Tadeu Luiz Marroco could earn as much as £18.2 million this year under a performance-related policy, a jump from the £6 million he earned in 2024. Compass Group Plc's Dominic Blakemore also stands to benefit from a proposed maximum payout of £15.3 million in 2025, up from the £9.5 million he earned in total last year. Both maximum figures are based on a 50% increase in the stock awards from the date of grant to vesting.
These proposals highlight 'the need to attract top talent in a competitive global market and address pay compression challenges,' said Mitul Shah, a partner at Deloitte's executive remuneration and rewards practice.
The UK government's decision to maintain the removal of the cap on banker bonuses has gone some way to bridging the transatlantic gap. Bank of America Corp. is the latest to join a slew of rivals in scrapping the crisis-era limit. Some of the world's biggest banks are pushing UK regulators to accelerate plans to ease rules around deferred bonuses so they can apply the lighter regime to payouts for 2025.
This follows long-time calls by executives including London Stock Exchange CEO Julia Hoggett that restrictions on pay were hindering companies' efforts to attract game-changing candidates and undermining the attractiveness of the City of London.
Performance, especially in sectors with key competitors in the US and a tight market for talent, will ultimately steer how amenable shareholders are to boosting compensation.
'It comes down to the right shareholder engagement,' Clifford Chance's Gilbert said.

Capillary Technologies files IPO papers; aims to raise Rs 430 crore via fresh issue
ETtech Aneesh Reddy founder and MD Capillary Technologies Customer engagement and loyalty tech provider Capillary Technologies India Ltd has filed its draft red herring prospectus (DRHP) with Sebi for a public listing. The IPO will comprise a fresh issue of equity shares aggregating up to Rs 430 crore and an offer-for-sale (OFS) of up to 18.3 million shares by existing shareholders. This is Capillary Technologies' second attempt at going public after it shelved its initial plans in 2021. The company's Singapore-based promoter entity Capillary Technologies Pte, in which investors such as Peak XV Partners and Avataar Venture Partners, hold a stake, is selling 14.2 million shares in the OFS component. JM Financial, IIFL Capital, and Nomura are acting as the book-running lead managers to the issue. The company intends to use proceeds from the fresh issue to fund its cloud infrastructure cost, while also investing in research, design and development of its products and platform. ET had first reported in November that Capillary Technologies was reviving its IPO plans and was aiming to file this year.

TikTok ban delayed again as Donald Trump seeks US ownership deal
US President Donald Trump has once again signed an executive order granting TikTok a 90-day reprieve from a national ban, giving his administration more time to secure a deal that would place the Chinese-owned social media platform under American ownership. This marks the third such extension by the President since taking office. Trump's latest executive order, signed Thursday, follows two previous efforts to postpone the ban. The first came on January 20, his first day back in office, when TikTok briefly went dark after a national ban—enacted by Congress and upheld by the U.S. Supreme Court—took effect. A second extension was issued in April, when White House officials were reportedly close to finalizing a deal to spin off TikTok into a U.S.-owned company. That effort collapsed when Chinese regulators pulled out following Trump's announcement of new tariffs. Now, with another 90-day window open, the platform's fate remains in limbo. TikTok, owned by Beijing-based ByteDance, remains operational for its 170 million US users—thanks in part to assurances from the Trump Justice Department that tech firms like Apple, Google, and Oracle will not face enforcement actions for continuing to support the app. Despite national security concerns, Trump has expressed affection for TikTok, even crediting the platform with helping him connect with younger voters. Since joining the platform last year, Trump has gained over 15 million followers. In January, he described having a 'warm spot' for the app. Public support for banning TikTok has waned. A Pew Research Center survey found that only one-third of Americans now back a ban, compared to 50% in March 2023. Another third oppose a ban, while the rest remain undecided. A Delhi-based entrepreneur has stirred a heated conversation online after sharing a strongly worded LinkedIn post questioning the spending habits of high-earning professionals who claim even salaries as high as ₹75 lakh per annum are not enough to sustain their lifestyle. He began his post by saying, 'Been reading a lot of posts and articles by educated, high earning people who say 40 LPA, 50 LPA or even 75 LPA is not enough to survive because of 2 lakh home loan EMIs, 50K car loan EMIs, expensive lifestyle, etc etc. It makes me so angry. Who asked you to buy a home you cannot afford?' While Chakraborty expressed some understanding for those investing in property, calling it a 'saving on rent' and a 'positively appreciating asset,' he was less forgiving of the choice to take large car loans. 'How do you explain spending 50K EMI (or about 20 lakhs on the car, assuming a 4 year loan), when you don't have the means?' he asked. 'When did a Creta become so intrinsically linked to your existence?' Sharing his own experience, Chakraborty wrote, 'When I was at 30 LPA, I was still driving a 5 lakh rupee car. At 60 LPA, I decided to upgrade to a 10 lakh rupee car.' He emphasised that he never took a loan to buy his vehicles or property. 'Financial misery is often a result of poor decisions rather than actual constraints,' he said, adding, 'They trade ego for peace of mind.
