Coenda Clarifies Inaccuracies in Recent INEO Tech Corp. Disclosure

There was a need to strengthen INEO's board by bringing on new members who could play a proactive role in INEO's global growth, oversight of management, and adherence to good governance practices; INEO's management team would need to be strengthened by adding additional depth to grow in global markets; and, INEO would be fully transparent in the use of the proceeds of Coenda's investment.
Assurances Regarding Board Changes: Coenda never provided assurances that it would not seek changes to the board. On the contrary, pursuant to an investor's rights agreement approved by the shareholders of INEO, one condition of Coenda's investment was altering INEO's board composition to permit the appointment of Coenda's nominee, Mr. Kerem Akbas. Any representations made to the TSX by INEO were made without Coenda's consent.
Strategic Investment: Coenda's investment in INEO was intended to bolster INEO's finances and to strategically strengthen its competitiveness. At all times, Coenda has been actively involved in the governance and affairs of INEO, and it was a condition of Coenda's investment that it would be entitled to at least one board seat. Mr. Akbas, the primary shareholder of Coenda, has extensive global experience in INEO's industry. Mr. Akbas has offered his wealth of knowledge to INEO to maximize long-term shareholder value, including by bringing a significant contract, making introductions to a credible producer, and facilitating a world-class sales channel partnership. Regrettably, Mr. Akbas' queries, suggestions, and proposals have, to date, been met with significant resistance from INEO.
Incomplete Disclosure of Coenda's Requisition: The full text of Coenda's requisition, which provides context and the basis for the resolutions proposed by Coenda, has not been disclosed to shareholders by INEO. Coenda expects that the full text of its requisition will be provided to all shareholders in the company's information circular as required by Sections 167(5)(b) and 167(6)(b) of the British Columbia Business Corporations Act.
Coenda's Incorporation and History: Coenda was incorporated on January 11, 2022. Contrary to INEO's characterization, Coenda is not a recently formed investment company.
Disclosure Obligations on Director Resignation: INEO incorrectly characterized the resignation of Eugene Syho, a director and Chair of the Audit Committee, as non-material. Under TSX Venture Exchange policies 3.1 and 3.3, issuers must immediately disclose changes in directors. INEO first disclosed Mr. Syho's resignation in an unrelated press release on February 11, 2025, "INEO Announces Deployment of Retail Media Technology with Leading Turkish Retailer Bambi, via Partner Bon Intelligence." To date, no material change report regarding Mr. Syho's resignation has been filed, despite Coenda's repeated requests.
Unanimous Consent Required Under BC Business Corporations Act and INEO's Articles: Coenda clarifies that under the British Columbia Business Corporations Act and INEO's articles, for a written resolution to be effective in lieu of a meeting, directors must unanimously consent. The resolution approving INEO's interim financial reports and the related management discussion and analysis for the period ending December 31, 2024, and authorizing filing thereof, were not approved unanimously as required. Mr. Akbas, in his capacity as director of INEO, did not sign or assent to the proposed consent resolution because he was not provided with a copy of the audit committee's resolution recommending approval referred to in the proposed director resolution until April 21, 2025. The filing of INEO's interim financial statements and management discussion and analysis for the period ending December 31, 2024 were not properly authorized under INEO's articles or applicable law.
Correction of Ownership Percentage: INEO inaccurately reported Coenda's shareholding at the time Coenda's investment was completed as 49%. As of January 22, 2025, when the transaction closed, Coenda held 50.78% of the issued and outstanding shares of INEO. As required by applicable regulation, Coenda disclosed its acquisition of a controlling interest in INEO in the early warning report prepared and filed by McMillan LLP, the solicitors for INEO. Following the conversion of a debenture on February 21, 2025, Coenda's shareholdings were diluted to 48.85% of INEO's outstanding shares.

Coenda also gave notice of its desire to change the then-current board members except for Mr. Akbas (i.e. Greg Watkins, Kyle Hall, and Steve Matyas).On the date that Coenda's requisition was delivered, it had not, and as of the date of this press release, Coenda has not identified or proposed a slate of directors to replace Mssrs. Watkins, Hall, and Matyas. Coenda has not, and does not presently intend before the shareholder meeting scheduled for August 8, 2025, to acquire any additional securities in INEO. NEW YORK, June 7 — Major stock indexes pushed higher yesterday as data showed the US labour market is resilient despite uncertainty over President Donald Trump's tariffs, while upcoming US-China talks added to hopes of easing trade tensions. Tesla stocks regained some ground after plunging Thursday following a stunning public row between the company's billionaire boss Elon Musk and Trump. A below-par reading on private hiring this week raised worries about the labour market and the outlook for the US economy ahead of a Labour Department jobs report, a key piece of data used by the Federal Reserve as it decides whether to adjust interest rates. But the report showed hiring in the world's largest economy came in at 139,000 last month, above market expectations. The figure indicates that the US employment market is relatively healthy despite the jolts to financial markets, supply chains and consumer sentiment this year as Trump announced successive waves of tariffs. 'There was concern that the labour market was buckling under the pressure of tariffs and weaker economic growth. However, the May report suggests that the labour market is softening, not falling off a cliff,' said Kathleen Brooks, research director at trading platform XTB, in a note. 'The price action suggests that the market is not taking these risks too seriously, that they do not see a recession in the future and that investors still think that corporate earnings growth will be strong.' The state of the jobs market is critical given how important consumer spending is to the overall economy, said eToro US investment analyst Bret Kenwell. 'While it may not be firing on all cylinders, it's far from showing signs of a major breakdown.' Wall Street mounted a strong comeback, and Paris and London stocks closed higher. Frankfurt was near-flat after sentiment was knocked by the Bundesbank warning Germany could face two more years of recession if a trade war with the United States escalates sharply. For now, however, the eurozone economy is showing signs of resilience, with official data yesterday indicating it expanded at a significantly faster pace than previously estimated in the first three months of the year. The EU's data agency said the 20-country single currency area recorded growth of 0.6 per cent over the January-March period from the previous quarter, up from the 0.3-per cent figure published last month. US-China talks Equity markets were also buoyed as Trump announced US officials would meet a Chinese team in London on Monday to discuss a 'trade deal' on both sides. 'The meeting should go very well,' Trump added in a Truth Social post, a day after speaking with Chinese President Xi Jinping on the phone. Investors are hopeful that high-level engagements could bring an easing of tensions following Trump's 'Liberation Day' global tariff blitz that hit Beijing particularly hard. While a stunning public row between the US leader and his former adviser Musk sent Wall Street into the red Thursday, all three major US indexes closed higher yesterday. Shares in Musk's electric vehicle company Tesla rose 3.7 per cent after tanking a day prior. The president had threatened Musk's multibillion-dollar government contracts and Tesla shares plummeted — wiping more than S$100 billion (RM422.8 billion) from the company's value. Oil prices rose yesterday, driven by the jobs data and nevertheless by prospects for a US-China trade detente, said Mark Bowman, an analyst at ADM Investors Services. — AFP

US job market cools but resilient for now despite Trump tariffs

WASHINGTON, June 7 — US hiring eased in May but remained resilient, government data showed yesterday, in a gradual slowdown amid business uncertainty while scrutiny intensifies over the effects of President Donald Trump's widespread tariffs. Hiring in the world's largest economy came in at 139,000 last month, down from a revised 147,000 figure in April, said the Labor Department. The unemployment rate was unchanged at 4.2 per cent, while pay gains exceeded expectations at 0.4 per cent. The figures indicate that the employment market remains healthy despite jolts to financial markets, supply chains and consumer sentiment this year as Trump announced successive waves of tariffs. Trump touted the 'great job numbers' on his Truth Social platform. But there appears to be softening. Taken together, job growth in March and April was revised lower by 95,000, yesterday's report said. Shortly after its publication, Trump urged Federal Reserve Chair Jerome Powell to go for a 'full point' rate cut, calling Fed chief 'a disaster' and again applying political pressure on the independent central bank. But Fed officials are taking a cautious approach as they monitor the tariffs' impact on inflation. Trump has imposed a 10 per cent levy on most trading partners and unveiled higher rates for dozens of economies, but experts say their effects take time to filter through. This is partly because of the president's on-again, off-again approach to the trade war. His higher blanket tariff rates, although announced in April, were swiftly halted until early July, allowing room for negotiations. Trump's tit-for-tat escalation with China brought both sides' levies on each other's products to triple digits too in April, a level effectively acting as a trade embargo. But the countries reached a deal to temporarily lower duties in May. 'Tough summer' For now, economists are keeping tabs on signals that US employers might be pulling back on hiring. 'This is an 'abundance of caution economy' where businesses are only filling critical positions and job seekers, especially recent graduates, are struggling to find employment,' said Heather Long, chief economist at the Navy Federal Credit Union. She noted that nearly half the job gains were in health care, while the federal government continues to lose workers. Federal government employment was down by 59,000 since January. 'A recession does not look imminent, but it will be a tough summer for anyone looking for full-time work,' Long said in a note. Economist Samuel Tombs of Pantheon Macroeconomics said the labor market was 'cracking, but not crumbling yet.' While the market is slowing, the pace of cooling remains too gradual for the Fed to reduce interest rates at upcoming meetings. Officials have been awaiting more clarity on how much Trump's new tariffs might lift inflation. Tombs warned that revisions to May's employment data could 'reveal a sharper slowdown.' On Wednesday, data from payroll firm ADP showed that private sector employment cooled to 37,000 in May, down from 60,000 in the prior month and marking its slowest rate since 2023. Initial jobless claims picked up in the week ending May 31, with economists warning that this could be a sign of a weakening labor market in response to Trump's tariffs and the resulting uncertainty. Anecdotal data such as the Fed's beige book survey of economic conditions and recent surveys of businesses have also indicated the levies are causing many firms to pause investment and hiring. All these mean that such effects could soon show up in government employment numbers. 'Certainly, employment growth is going to slow down over the next few months,' said Dan North, senior economist at Allianz Trade North America. 'We just haven't seen the full effect of the tariffs, and we probably won't for a few more months, especially given that they're so choppy, on and off,' North told AFP. — AFP
