Palatin Technologies Announces Transition to OTC Pink Following NYSE American Delisting Notice

The Company Intends to Request a Review of the Delisting Determination
CRANBURY, N.J., May 7, 2025 /PRNewswire/ -- Palatin Technologies, Inc. ("Palatin" or the "Company"), a biopharmaceutical company developing first-in-class medicines targeting the melanocortin receptor system, today announced that it has received a notice from the NYSE American LLC ("NYSE American") stating that the NYSE Regulation has determined to commence proceedings to delist Palatin's common stock. The notice, issued under Section 1003(f)(v) of the NYSE American Company Guide, cites the low selling price of Palatin's common stock as the basis for delisting.

As a result, trading of Palatin's common stock on the NYSE American has been immediately suspended, and the shares will transition to the OTC Pink Market under the ticker symbol "PTNT" beginning on May 8, 2025.
Palatin intends to appeal the delisting decision, although there can be no assurance that any such appeal will be successful. The Company has until May 14, 2025 to appeal the NYSE American's decision.

(the Company) successfully priced the issuance of €750 million undated deeply subordinated fixed to reset rate notes with a first call date as of 24 March 2032 and with a fixed coupon of 3.875% until the first reset date (the New Notes). The New Notes are intended to be admitted to trading on Euronext Paris. It is also expected that the rating agencies will assign the New Notes a rating of BBB-/Baa3/BBB- (S&P / Moody's / Fitch) and an equity content of 50%. The Company also launched today a tender offer (the Tender Offer) to repurchase: its €1.25 billion Undated 12 Year Non-Call Deeply Subordinated Fixed to Reset Rate Notes with first reset date on 1st October 2026 and admitted to trading on Euronext Paris (ISIN XS1115498260) (of which €1.1 billion is currently outstanding) (the NC 2026 Existing Notes); and its €500 million Undated 7.5 Year Non-Call Deeply Subordinated Fixed to Reset Rate Notes with first reset date on 19th March 2027 and admitted to trading on Euronext Paris (ISIN FR0013447877) (of which €500 million is currently outstanding) (the NC 2027 Existing Notes and, together with the NC 2026 Existing Notes, the Existing Notes), up to a maximum acceptance amount which will not exceed €750 million. ('Scotiabank') acting as sole bookrunner, which together with Clarus Securities Inc. ('Clarus') acting as co-lead underwriter, on behalf of a syndicate of underwriters (collectively, with Scotiabank and Clarus, the 'Underwriters') in connection with an underwritten offering of approximately C$20 million (the 'Offering'). As per the Company's press release April 22, 2025, Centerra Gold Inc. ('Centerra') has certain investor rights including the right to participate in financings to enable Centerra to maintain its shareholding interest in the Company.
