Evergreen acquires REDD, celebrates $1 billion revenue milestone

Evergreen has reached its 100th managed IT services provider acquisition milestone with the addition of REDD, an Australia-based business, to its Lyra Technology Group portfolio.
REDD, headquartered in Brisbane, will continue to operate independently as part of Lyra Technology Group, Evergreen's collection of managed IT services providers. The company was established in 2016 by Nigel Heyn, and under the leadership of Heyn and Chief Executive Officer Brad Ferris, REDD has grown through a focus on technical expertise and business management.
Brad Ferris will remain CEO, and the business will retain its existing operations, following the model Evergreen applies in its portfolio which prioritises decentralisation.
Global expansion
Evergreen currently operates in the United States, Canada, United Kingdom, Australia, and New Zealand. The company is exploring expansion into Ireland as well as the Nordic and Benelux regions.
Details of the acquisition were not disclosed by either party.
Craig Fulton, M&A Advisor at Evergreen, commented: "Nigel and Brad's leadership and values align closely with Evergreen's long-term vision. In becoming part of the Evergreen network, REDD is positioning itself for continued success while contributing valuable insights to peers across the portfolio."

Financial milestone and recognition
Evergreen has also been recognised as the first Pax8 partner to generate over $1 billion in IT services revenue. In addition, last month Evergreen Vice President Sydney Hockett was named to CRN's Women of the Channel list.
The company recently hosted its first Evergreen Elevate event, designed as a free opportunity for managed service providers to obtain strategic insights relating to exit strategies.

Stakeholder and partner perspectives
Lloyd Wolf, Founder and former CEO of Wolf Consulting, which was the first managed IT services provider acquired by Evergreen in December 2017, commented on his experience: "Selling the ownership of my business was one of the biggest decisions of my life. How times have changed. When Kirsten (KP) Patterson was appointed chief executive of the Institute of Directors (IoD) eight years ago, one of the very first issues she encountered was a conversation around whether climate change was a governance issue. Now the IoD-hosted initiative Chapter Zero NZ — which is part of a global climate governance initiative that spans 50 countries and is focused on supporting directors to take action on climate change at a board level — has nearly 3000 members. Ms Patterson was in Dunedin this week to speak about ethics at an IoD Otago-Southland branch event, and to attend its annual chartered member and fellows dinner where — alongside Ranfurly-based director Dawn Sangster — she spoke about governance and leadership. Both women were made Members of the New Zealand Order of Merit in this year's New Year's Honours for their services to governance and women. The level of change happening in the world — which was impacting all organisations, whether not-for-profits or listed companies — was so broad, and boards had to be across that complexity and breadth of issues, Ms Patterson said. As chairwoman of the Global Network of Directors Institutes, she had the opportunity to see the global trends via the more than 20 countries represented in that organisation. Not surprisingly, the big issues at present included geopolitics, trade and globalisation, but the approaches to those challenges from different countries and industry groups was quite different. Cybersecurity was the number one issue keeping directors awake at night but, in New Zealand, where IoD members were surveyed each year, that was not in the top three. The big issue coming through very clearly here was economic conditions, then there was also climate change and culture. New Zealand was the first country in the world to introduce laws around climate-related financial reporting and a lot of focus and attention had been put into the issue. While cybersecurity was not hitting that top three of major issues — although it would be for some boards and industries — she would like to see more focus from boards on it. Boards also needed to lean into the conversation around ethical use of artificial intelligence (AI) and the IoD had developed nine principles to help boards to ethically adopt and effectively use AI. Ms Patterson is chairwoman of the Brian Picot Ethical Leadership advisory board at Victoria University. There was specific research in ethics, particularly in the business space, and it was great to have snapshots of what was happening, she said. While there were lots of conversations about purpose and values, there were still not enough organisations having conversations about ethics, she believed. Governance was critical, whether it was for sports clubs or corporates, involving people being relied on to come together and make judgements and choices. The space had changed. For things that were known and certain, for which there were answers, then management would take care of that. Boards were left with the "tricky stuff". Governance provided intellectual stimulation. It required curiosity and a lot of different skills to bring diversity of thought. That was what she loved about IoD communities which were diverse — much more than what people might think — and there were some great people coming through the governance pipeline, she said. "I genuinely believe the difference between whether you're building yourself a job as business owner or building something you could sell is about governance. The business needs to be able to live after you and continue after you," she said. Workload for directors was surveyed by the IoD, and that had peaked around the Covid-19 pandemic. There had been an increase in the hours involved which included work outside board meetings, whether that was the likes of site visits and engaging with staff, or engaging with stakeholders. Boards were much more visible now and, because of the complexity of issues, the amount of learning and thinking and preparation required was greater. It was not about just reading the board papers on the plane on the way to a meeting, she said. Using a sporting analogy, Ms Patterson said boards were a team sport. Directors like Dunedin's Trish Oakley, recently elected national president of IoD, were individual high performing athletes who were training at home. Then those athletes came together to perform as a team. It was an exciting time to be involved in with governance. While directors needed to be comfortable with risk and responsibility, there was an opportunity to see inside so many different organisations and help shape their strategy, culture and framework — "and New Zealand's better off for it", she said.

Mill sale awaits Commerce Commission approval

The sale of a farmer-owned flour mill in South Canterbury's Washdyke must get Commerce Commission clearance to go ahead. The commission has received an application from George Weston Foods, trading as Mauri New Zealand, to buy the wheat milling and storage assets, including land, used by Farmers Mill. A purchase price was undisclosed with the sale subject to conditions including regulatory approval from the commission. The mill was opened at Washdyke in 2013 as New Zealand's only independent grower-owned and operated flour producer. Farmers Mill supplies bulk and bagged flour to industrial food manufacturers, bakeries, and some retailers. The mill is owned by Grainstor, South Island's largest grain storage facility. Directors for both companies are listed as Ashley Biggs, Raymond Bowan, Antony Howey and Murray Turley. A Commerce Commission spokeswoman said in a statement the commission could only give clearance to a proposed merger if it was satisfied it was unlikely to have the effect of substantially lessening competition in a market. Mauri operates flour mills in Auckland, Wellington and Christchurch, supplying flour in bulk to large users of flour such as industrial food manufacturers and bagged flour to wholesalers, bakeries and supermarkets. Mauri flour is also used by George Weston Foods' bakery division to produce breads and bakery goods under brands including Tip Top bread and Big Ben pies. Australian-based George Weston Foods is owned by Associated British Foods Plc, a company listed on the London Stock Exchange. Both Mauri and Farmers Mill also supply broll, which is a by-product of the wheat milling process and most commonly used as an input for animal feed. Farmers Mill bought its wheat milling plant from a company in Italy in 2012 for about $12 million. When the mill was launched the following year with former prime minister John Key cutting the ribbon, Mr Turley, as chairman, said South Canterbury arable farmers had teamed up to mill their own grain to gain more control of their grain production and create a homegrown product. "We have harnessed our own resources to secure the industry's future investing more than $10m to get Farmers Mill up and running," he said. Initially 12 local farmers were involved in the ground-up building of the mill. The commission expects to make a decision by early August.
