Pune-based manufacturer of magnet winding wires KSH International has filed its Draft Red Herring Prospectus (DRHP) with the capital markets regulator, Securities and Exchange Board of India (SEBI), to raise Rs 745 crore through Initial Public Offering (IPO).The IPO is a mix of fresh issue of shares worth up to Rs 420 crore and an offer-for-sale (OFS) up to Rs 325 crore, where promoter shareholders will offload their shares in the company.The offer is being made through the book-building process, wherein not more than 50% of the net offer is allocated to qualified institutional buyers, and not less than 15% and 35% of the net offer is assigned to non-institutional and retail individual bidders, respectively.The equity shares of KSH International are proposed to be listed on the NSE and BSE.The proceeds from the fresh issue to the extent of Rs 225.98 crores will be used for prepayment and/or repayment of all or a portion of certain outstanding borrowings availed by the company.Moreover, Rs 90.06 crore will be utilised towards funding the capital expenditure requirements of the company which is purchasing and setting up of new machinery for expansion at its Supa Facility and purchasing and setting up of new machinery at Unit 2 in Chakan, Pune in Maharashtra.The company will use Rs 10.41 crore for purchasing and setting up of a rooftop solar power plant for power generation at its Supa Facility and general corporate purposes.KSH International is part of the KSH group and commenced its operations in 1981 by manufacturing magnet winding wires in Taloja, Raigad, in Maharashtra. In the last four decades, it has diversified operations to manufacturing various types of standard and specialized magnet winding wires. It markets and sells its products through its brand 'KSH', which has a strong brand recall and reputation in the industry over the years.Its key products include round enamelled copper/ aluminium magnet winding wires, paper insulated rectangular copper/ aluminium magnet winding wires, continuously transposed conductors, rectangular enamelled copper/aluminium magnet winding wires and bunched paper insulated copper magnet winding wires.The products are critical components of capital goods such as transformers, motors, alternators and generators.The company had 112 customers as on December 31, 2024 which includes the likes of Bharat Bijlee Limited , Virginia Transformer Corporation, Bharat Heavy Electricals Limited , Georgia Transformer Corporation, Hitachi Energy India Limited , Siemens Energy India Limited and GE Vernova T&D India Limited among others.KSH International has a significant global footprint, and exports its products to 24 countries as of December 31, 2024, including, USA, UAE, Kuwait, Romania, Saudi Arabia, Germany, Oman, Spain, Bangladesh and Japan, amongst others.KSH International revenue from operations increased by 32% from Rs 1,049 crore in fiscal 2023 to Rs 1,383 crore in fiscal 2024, primarily on account of the increase in volume and metal prices in Fiscal 2024.Its EBITDA has increased from Rs 50 crore in FY23 to Rs 71 crore in FY24, while the profit after tax (PAT) grew from Rs 27 crore in FY23 to Rs 37 crore in FY24.For the nine months ended December 31, 2024, revenue from operations stood at Rs 1420 crore, EBITDA was Rs 87 crore and PAT stood at Rs 50 crore.However, KSH International Limited has shown notable progress, increasing its market share from 11.19% to 13.70%, signalling a steady upward trajectory. Vedanta Resources eyes invest grade rating, plans to cut debt
New Delhi: London-based Vedanta Resources Ltd (VRL) is targeting an investment grade credit rating on the back of its sustained deleveraging, the proposed demerger at its Indian subsidiary, Vedanta Ltd, and its robust growth, operational efficiencies and strong financial performance. VRL is committed to reducing its total debt from the current $5 billion to $3 billion by FY27 while strengthening its critical minerals, transition metals, energy and technology portfolio. A person aware of the matter said that VRL, at a recently held investor conferences in Hong Kong and Singapore, shared that the company is looking for an immediate credit rating upgrade to BB levels by proactively refinancing and prepaying its high-interest cost $550 million private credit facility due in August 2026. In the medium term, the company plans to achieve an investment grade rating on the back of its improved debt profile, financial and operational performance. Vedanta highlighted its robust earnings, healthy free cash flows, ongoing growth projects, strengthened balance sheet, and future deleveraging plans to the investors, the source said. An investment-grade credit rating signifies a company's strong capacity to meet its financial obligations and is considered a safe investment for institutional investors. It also allows a company to borrow money at lower interest rates, attracting a broader range of investors and gaining easier access to global debt markets. At present, VRL has a credit rating of B+ by S&P, Fitch & Moody's, with S&P giving a 3-notch upgrade to the company in FY25. The investment grade rating is linked to VRL's debt reduction target (to $3 billion) by FY27, so they are looking for an investment grade in about two years from now. Sources indicate that VRL is currently working with banks to refinance and pre-pay a $550 million private credit facility that will expire in August 2026. It is likely to use a bank loan with single-digit interest rates to refinance the facility, with savings of 800-900 basis points, resulting in interest cost savings of $47 million, said the person quoted above.

Benchmarks close mixed in a volatile session
Mumbai: Benchmark BSE Sensex closed lower by 53 points in a volatile trade on Tuesday, snapping its four-day winning run due to profit-taking in banking and energy shares. The 30-share Sensex declined by 53.49 points or 0.06 per cent to settle at 82,391.72 with 14 of its constituents closing lower, 15 with gains and one remaining unchanged. The index opened higher and climbed further 235.58 points or 0.28 per cent to 82,680.79 in morning trade. However, the barometer pared gains later due to profit-taking in index major Reliance Industries, HDFC Bank and ICICI Bank. It dropped by 204.81 points or 0.24 per cent to hit a low of 82,240.40 during the day. The 50-share NSE Nifty eked out gains of 1.05 points to end at 25,104.25, marking its fifth straight day of gains on the back of gains in IT and pharma shares. In the past four days, the Nifty has jumped over 560 points or 2.27 per cent while the Sensex rallied 1,707.7 points or 2.11 per cent. Foreign Institutional Investors (FIIs) bought equities worth Rs 1,992.87 crore on Monday, according to exchange data. 'Markets traded in a lacklustre manner and ended almost unchanged, taking a breather after the recent surge. Participants remain slightly cautious amid mixed global cues, and the divergent trend among index heavyweights continues to weigh on overall sentiment,' Ajit Mishra – SVP, Research, Religare Broking Ltd, said. Among Sensex firms, Asian Paints, Bajaj Finance, Tata Steel, Bajaj Finserv, ICICI Bank, Maruti, Reliance Industries, HDFC Bank and Mahindra & Mahindra declined. Tech Mahindra, Tata Motors, Infosys, HCL Tech, IndusInd Bank and UltraTech Cement were among the gainers. Investors await the outcome of the US-China trade talks being held in London. The BSE smallcap gauge climbed 0.33 per cent and midcap index went up 0.04 per cent. Among sectoral indices, BSE Focused IT surged the most by 1.63 per cent, followed by IT (1.58 per cent), utilities (1.11 per cent), power (0.95 per cent), teck (0.87 per cent), healthcare (0.45 per cent) and commodities (0.40 per cent). Realty dropped 1.18 per cent, telecommunication (0.55 per cent), financial services (0.46 per cent), services (0.21 per cent) and consumer discretionary (0.16 per cent). Overall market breadth was positive with 2,232 stocks advancing, 1,805 scrips declining and 135 stocks settling unchanged on BSE. Meanwhile, the Association of Mutual Funds in India (AMFI) data showed that net inflows into equity mutual funds declined by 21.66 per cent to hit a 12-month low of Rs 19,013.12 crore in May.

Oswal Pumps IPO on June 13 at Rs 584-614/share
New Delhi: Oswal Pumps on Tuesday said it has fixed a price band of Rs 584 to Rs 614 per share for its Rs 1,387-crore initial public offering (IPO). The initial share-sale will open public subscription on June 13 and conclude on June 17, the company said in a statement. The IPO is a combination of fresh issue of shares valued Rs 890 crore and an offer-for-sale (OFS) of 81 lakh stocks worth Rs 497.34 crore, at the upper end of the price band, by promoter Vivek Gupta. This aggregates the issue size at Rs 1,387.34 crore. Proceeds from the fresh issue will be used for funding certain capital expenditures of the company; investment in wholly owned subsidiary Oswal Solar in the form of debt or equity, setting up new manufacturing units at Karnal, Haryana, payment of debt, and for general corporate purposes. Oswal Pumps commenced operations in 2003 by manufacturing low-speedmonoblock pumps and over the years, it expanded operations to manufacture grid connected submersible pumps, and electric motors.
