Telenor's and Orion's acquisition: CCP decision delay threatens pact: PTCL chief

ISLAMABAD: President and Group CEO of Pakistan Telecommunication Company Limited (PTCL) Hatem Bamatraf has warned that further delay in Competition Commission of Pakistan's decision regarding acquisition of Telenor Pakistan (Pvt) Ltd and Orion Towers may impact the agreement between the two companies, as the deadline is approaching nearer.
This he stated while announcing the PTCL group financial results for first quarter (Q1), 2025, ending March 31, 2025, which achieved double-digit revenue growth of 22 percent.
'We have submitted all the required documents and information to CCP, however the delay in announcing the decision regarding acquisition of Telenor Pakistan (Pvt) Ltd and Orion Towers is unusual', said Group CEO, while urging for earlier decision to remove confusion and move forward.

According to the agreement the transactions regarding the acquisition were earlier set for December 2024, but due to delay, a new deadline of end June 2025 was set. Group CEO said that further delay in CCP decision may impact the agreement. Group CEO and Chief Financial Officer (CFO) Nadeem Khan briefed the media, who claimed that the group's robust performance solidifies its position as Pakistan's top integrated telecom service provider.
PTCL group's revenue grew by 22 per cent year on year (YoY) to Rs61.8 billion, enabled by robust growth in consumer segments, notably fixed broadband, and mobile data, complemented by significant contributions from enterprise and carrier wholesale services.
They further stated that PTCL continued its upward growth trend, posting a 14 per cent YoY increase in revenue to Rs29.6 billion, contributed primarily by 70 per cent revenue growth in Flash Fiber and 23 per cent revenue growth in Business Solutions versus the same quarter last year.
PTCL's Enterprise Business grew by 23 per cent as compared to same period last year, while Carrier and Wholesale business continued its growth momentum and achieved 24 per cent overall revenue growth. International segment revenue has increased by eightper cent as compared to same period last year.
PTCL reported an operating profit of Rs4.1 billion, representing a 40 percent increase compared to the same quarter of 2024 and net profit reached Rs1.2 billion in Q1 2025 PTML's (Ufone 4G's) revenue grew by 21 per cent compared to Q1, 2024. PTML posted an increase in operating profit by 11 per cent during the quarter as compared to last quarter of 2024 driven by an enhanced customer experience and increased digital engagement through a range of data-centric products and strategic partnerships.
U Microfinance Bank (UBank) recorded a 77 per cent YoY increase in revenue.
They further said that PTCL Group is taking the lead in bringing the vision of a 'Digital Pakistan' to reality. PTCL and Ufone 4G is providing critical infrastructures and connectivity to initiate this movement. PTCL Group is at forefront of providing innovative services and solutions, through a rich array of offerings. PTCL's aggressive FTTH expansion has fueled its remarkable topline growth. The Punjab government will present its annual budget for the fiscal year 2025-26 on June 16, following a short delay from the previously announced date of June 13. Finance Minister Mujtaba Shujaur Rehman confirmed the change, citing the need for additional preparation. He reiterated that no new tax will be introduced in the budget. Estimated at over Rs1.2 trillion, the fiscal plan is expected to feature a record-breaking development outlay, with strong emphasis on health, education, infrastructure and tourism. According to official sources, the finalised draft includes more than 850 development schemes, with a total allocation exceeding Rs353 billion. This includes approximately Rs161 billion for 520 ongoing projects, around Rs135 billion for 333 new schemes, and over Rs57 billion allocated to six major development projects. The Punjab Planning and Development Department has outlined a wide distribution of funds across key sectors. Urban development is expected to receive Rs145 billion, while the local government and community development department is proposed to receive Rs142 billion. The road sector is set to receive Rs120 billion, with Rs90 billion earmarked for health and population welfare. The school education department is likely to receive Rs100 billion, while agriculture is expected to get Rs80 billion. Transport and specialised healthcare are set to be allocated Rs70 billion each. Planning and development, and governance and IT are each proposed to receive Rs40 billion. Additional allocations include Rs40 billion for irrigation, Rs25 billion each for public buildings and higher education, and Rs30 billion for tourism - a 600 per cent increase over the previous year. The industries sector is proposed to receive Rs12 billion and fisheries Rs10 billion, while wildlife would also be allocated Rs10 billion. The environment sector is expected to receive Rs15 billion, skill development Rs12 billion, sports Rs7.6 billion, energy Rs7.5 billion, water supply and sanitation Rs6 billion, and price control and commodities management Rs5.51 billion. Forestry and livestock are each proposed to receive Rs5 billion, while human rights, minority affairs, and literacy are each set to receive Rs4 billion. Social welfare is allocated Rs3 billion, special education Rs2 billion, and information and culture Rs5 billion. The development budget includes Rs893 billion in local funding and Rs184 billion in foreign assistance. An additional Rs125 billion is reserved for development initiatives of the chief minister. Key projects under the upcoming budget include the expansion of Nawaz Sharif Medical City in Lahore, where new hospitals will be constructed under a public-private partnership model. The government also plans to roll out extensive sanitation and drinking water programmes across the province. Infrastructure development remains a central priority. The provincial transport network will be expanded to additional cities, while road and urban infrastructure projects are planned in 66 cities. The sources confirmed that proposals for new taxes, submitted by the Board of Revenue and the Punjab Revenue Authority, had been rejected by Chief Minister Maryam Nawaz Sharif. Instead, the government is reviewing the current tax structure to assess possible adjustments in existing rates. The Punjab Assembly is scheduled to convene on June 16 for the presentation of the budget.

ISLAMABAD: Federal Board of Revenue (FBR) Chairman Rashid Mahmood Langrial Wednesday said tax has been imposed on digital platforms after serious concerns of formal retail sector paying sales tax as well as income tax on sales of goods. During post-budget press conference held on Wednesday, the FBR chairman clarified that 2.5 per cent tax would be applicable on income slab between Rs600,000 and Rs1.2 million under revised salary slabs. The tax rate of one per cent has been mentioned in the Finance Bill 2025-26. Sales through digital invoicing needs strong deterrence under self-assessment scheme. The integration of sales tax registered persons has been started through authorised integrators including Pakistan Revenue Automation Limited (PRAL). The FBR chairman stated that the country is moving towards digital economy. Formal retail sector is paying all kinds of taxes as compared to undocumented online companies engaged in selling of goods and paying no taxes. All Pakistan Retail Association has complaint to the FBR that the market of the documented sector has been at the verge of collapse due to informal sector. They are at a disadvantage of paying 18 per cent sales tax as compared to informal sector. The level playing field has been restored through the Finance Bill. Two percent tax of gross value of supplies would be applicable on persons supplying digitally ordered goods from within Pakistan through online market place, website and software applications. The FBR chairman stated that the board has included all taxable activities to incorporate digitally ordered taxable goods into the e-commerce sales tax framework. Presently, online marketplaces are required to withhold one percent sales tax on local supplies made by non-active taxpayer vendors. However, this does not fully capture the growing e-commerce sector, especially businesses using websites, apps, etc, for online sales to consumers. To address this, the withholding tax scope has been expanded to cover transactions settled via online payment or CoD. Under the proposed regime, payment intermediaries (banks, financial institutions, exchange companies, and payment gateways) will collect sales tax on digital payments, while couriers will handle tax collection for CoD transactions. Additionally, the withholding tax rate is set to increase from one per cent to two per cent. Under the Finance Bill 2025, in the case of supply of digitally ordered goods by online market place, website and software application from within Pakistan during the course of e-commerce, the liability tocollect and pay tax shall be of payment intermediary including a banking company, a financial institution, licensed exchange company or payment gateway in case the payment is made digitally and of the courier delivering the goods where those are supplied on Cash on Delivery (CoD) basis at the rates provided in the Eleventh Schedule. The FBR chairman also stated that sales tax has been imposed on the import of solar panels to create an enabling environment for domestic manufacturing industry. The FBR Member Inland Revenue (Policy) stated that domestic e-commerce covers a number of e-stores operating outside the formal banking system. They sell goods through Bykea and websites. The FBR has chalked out a domestic e-commerce framework for small and medium businesses selling goods through websites or online. A simple regime has been introduced for payment of tax through couriers and banks with final discharge of tax liability. The FBR Member said that four items have been included in the Third Schedule of the Sales Tax Act to check under-invoicing on the import of chocolates, pet food and imported cereal bars in retail packing. The FBR chairman stated that the non-profit organisations would go through strict scrutiny under the Finance Bill 2025-26. The FBR has laid down very strict conditions for the NPOs for availing exemption. Now the NPOs have to prove that they are not engaged in commercial activities. In future, we would review performance and scrutinise NPOs. Pointing out that globally non-profit organisations were not subjected to tax measures, Langrial said, 'No organisation will be exempt from scrutiny in the future.' Under the Finance Bill 2025-26, the FBR has listed entities granted complete exemption on any income and exemption subject to Section 100C provision respectively have been merged. Federal Minister for Finance and Revenue Muhammad Aurangzeb on Wednesday addressed the concerns of stakeholders regarding the budget for fiscal year 2025-26 presented before the National Assembly (NA) a day ago. Addressing the media persons, Aurangzeb maintained that the income tax levy for the salaried persons earning between Rs600,000 and Rs1.2 million annually is 2.5%. 'Because every number is locked, so we have to get money from somewhere to provide relief somewhere,' he said. 'This is a work in progress.' During the budget speech, Aurangzeb proposed halving the income tax rate to 2.5% for the salaried persons earning between Rs600,000 and Rs1.2 million annually. However, it is important to note that there was a discrepancy between the rate announced during the speech and the rate stated in the Finance Bill — the latter sets the tax at an even lower 1% for this income bracket. The finance minister reiterated that the government remains committed to issuing the inaugural Panda bond during this calendar year. 'We do want to access the euro and US dollar market, we anticipate entering these markets in 2026, certainly not during this calendar year, as we need to achieve a certain rating,' he said. Aurangzeb said that the tariff reform mentioned during the budget speech 'is very significant' for the country and will enhance the country's exports. 'Out of a total of 7,000 tariff lines, the government has decided to eliminate additional customs duty on 4,000 of them,' he said. Fiscal space limited Aurangzeb said that the government wanted to provide maximum relief to the salaried class, but added, 'The reality is that we can only offer as much relief as our fiscal space permits.' The country's tax-to-GDP ratio has reached 10.3% in the current fiscal year. 'In FY26 we intend to increase it to 10.9%,' he said. 'We need enabling amendments and legislation to plug leakages in the system, so the government doesn't have to resort to additional taxation measures of around Rs400-500 billion,' Aurangzeb said. The finance minister noted that the government expenditure has increased by 1.9% this fiscal year. 'We have not imposed any additional tax on the agriculture sector,' he said. The government will provide soft-term loans to small farmers. The finance minister noted that the government expenditure has increased by 1.9%. Meanwhile, Finance Secretary Imdadullah Bosal clarified that the increase is limited to critical needs. Surcharge on Electricity Bills On reports regarding the imposition of a 10% surcharge on electricity bills, Chairman FBR, Rashid Mehmood Langrial, clarified that no additional surcharge has been imposed. Responding to a query on how the federal government could delink population from the National Finance Commission (NFC) award, Auranzgeb maintained, 'Everything will be done in consultation with provinces.' Responding to a query on why the government maintained the minimum wage at Rs37,000, Aurangzeb said the decision was made in consideration of industrial growth. On the imposition of 18% tax on solar panels, Langrial explained that the GST of around 16-18% was imposed on less assembled solar panels, whereas there was no GST on imported fully assembled solar panels. 'The local manufacturing was at a disadvantage. We want to create an enabling environment for the local sector,' the FBR chief said. Responding to a query, Imdadullah Bosal informed that the budget figures are 'locked with the International Monetary Fund (IMF)'. Govt salary increase Bosal stated that the budgeted increase in government salaries—from 6% to 10%—would have a fiscal impact of approximately Rs28–30 billion. He informed that the Ministry of Finance will hold consultations with the defence ministry regarding the introduction of a contributory pension scheme. Earlier, reporters staged a boycott of the press conference after the government failed to hold a scheduled technical briefing on the Finance Bill. Ruckus ahead of post-budget press conference Prime Minister Shehbaz Sharif-led coalition government's Finance Minister Muhammad Aurangzeb on Tuesday presented the federal budget 2025-26 to the parliament, with a total outlay of Rs17.573 trillion, targeting a GDP growth target of 4.2% against 2.7% in the outgoing year. Aurangzeb termed the budget the start of a strategy to create a competitive economy and economic productivity to increase exports and fundamentally change the economy's DNA. The government has set an inflation target of 7.5% for the next fiscal year. Regarding the fiscal deficit, the government projected a target of 3.9% of the GDP — or Rs5,037 billion — from the outgoing fiscal year's target of 5.9%.
