NCLAT Upholds Insolvency: NCLAT Affirms Insolvency Proceedings Against Jaypee Cement Corp Amid Debt Crisis, ET LegalWorld

The insolvency appellate tribunal has approved the insolvency proceedings against the debt-ridden Jaypee Cement, upholding an earlier order passed by the National Company Law Tribunal (NCLT).
A two-member bench of the NCLAT rejected the appeal filed by Alok Gaur against the NCLT order, saying the debt and default matter is proved, and it did not find any error in the order directing the initiation of insolvency proceedings.
The National Company Law Appellate Tribunal (NCLAT) rejected Gaur's submission that its parent firm Jaiprakash Associates Ltd (JAL) has signed an MRA (Master Restructuring Agreement) with lenders, undertaken to discharge its liabilities.

As all debt stood transferred to JAL, now facing CIRP ( Corporate Insolvency Resolution Process ) for failure to implement MRA, and the debt of both JAL and JCCL can be considered, an appropriate resolution can be done.However, rejecting it, the NCLAT said the debt, which was owned by JCCL, to the lenders "shall not be evaporated" merely by the fact that JAL has taken the liability to discharge its debts of JCCL and it does not prohibit the lenders to file insolvency proceedings against it under Section 7 of the IBC, due to the failure of the restructuring proposal."The submission of the appellant that JAL having undertaken the liability to clear the debts and defaults of JCCL, hence, JCCL has no liability and no application was maintainable against JCCL, also does not commend us," said the NCLAT bench, comprising Chairperson Justice Ashok Bhushan and Member Barun Mitra.The appellate tribunal further said initiation of CIRP proceedings against JAL cannot be a ground to contend that no proceedings can be initiated against JCCL."JCCL has also given its securities for obtaining the various facilities from the SBI between 2012 and 2015. The Financial Creditor can always invoke the securities given by JCCL to realise the debt," it said.The Financial Creditor has never shown the debt of JCCL to be transferred to the JAL in its Financial Statements, and the fact that JAL and JCCL in their financial statements have treated the debt to be discharged is not binding on the Financial Creditors.Moreover, the NCLAT in its 26-page-long order pointed out that JCCL was not even the party of MRA, which was not even fulfilled."The Adjudicating Authority (NCLT), after considering all the relevant facts and circumstances, has come to the conclusion that debt and default on the part of the CD - JCCL is proved. When the debt and default are proved, the admission of the Section 7 Application against JCCL cannot be faulted."We, thus, do not find any error in the order of the Adjudicating Authority admitting Section 7 Application," the NCLAT said, dismissing Gaur's petition.On July 22, the Allahabad bench of NCLT admitted a petition filed by India's leading public sector lender State Bank of India (SBI), which had provided credit facilities to Jaypee Cement Corporation Ltd (JCCL) between 2012-15.Both JAL and JCCL had defaulted in payment of loans and lenders, including SBI. Later, a composite Scheme of Debt Realignment Plan for the debt of JAL and JCCL was proposed.As per the MRA executed on October 31, 2017, it was divided into three different buckets.Under Bucket 1, the divestment of a substantial part of its cement business along with debt of Rs 11,689 crore to UltraTech Cements was approved. The residual debt of JAL and JCCL was bifurcated into two different buckets.Bucket 2A has a sustainable debt of Rs 5,072 crore, which was to be retained under the residual business of JAL to be serviced from the cash flow from the operations of the residual business of JAL. It also envisaged the shifting of JCCL's Shahabad Cement Plant exposure of Rs 778.10 crore to JAL.While Bucket 2B has an unsustainable debt of Rs 13,590 crore, and it was proposed to be transferred to a separate Real Estate SPV for 20 years, backed by land of 1039 acres (already mortgaged to lenders) of the company, having the value of Rs 14,156 crore.The debt of Bucket 2B has not been resolved and remains outstanding.

The Yamuna Expressway Industrial Development Authority (Yeida) on Thursday said it will execute fresh sublease agreements directly with developers whose projects fall within the Special Development Zone (SDZ) originally allotted to Jaiprakash Associates Limited (JAL). The announcement follows a March 10 ruling by the Allahabad High Court that upheld Yeida's 2020 decision to cancel JAL's 1,000-hectare land allotment but protected the legal rights of sub-lessees — developers who had acquired portions of the Sports City land for housing projects. 'We have decided to execute the fresh lease after the high court's decision… These developers can now apply through Yeida's online portal to execute new leases with us,' said Arun Vir Singh, CEO of Yeida. 'The court directed us to do so on the same terms and conditions as earlier agreements with JAL, but subject to recovery of any outstanding dues.' The order, issued by a bench of justices Manoj Kumar Gupta and Kshitij Shailendra, also mandated that Yeida issue individual notices to all sub-lessees within four weeks, publish a public notice, and complete lease formalities within 12 weeks. Developers will then have eight more weeks to sign the new sub-lease deeds. To protect buyers, the court further ruled that Yeida must bear the cost of stamp duty and registration. A total of 13 projects fall under this directive, comprising 10,134 approved flats and 3,230 residential plots across Sectors 19 and 25 — affecting an estimated 13,364 homebuyers. 'The online portal for sub-lessees to upload documents is live, and the deadline for submissions is June 21 — the same as that for individual homebuyers,' Singh added. Among the developers impacted, Gaur Sons' two high-rise projects in Sector 19 account for 3,104 flats, and its plotted project in the same sector includes 3,230 plots — more than 2,200 of which have already been sold. Other affected builders include Imperia Homes Planners (629 flats), and Royal Hometown Planners (480 flats). The dispute dates back to February 2020, when Yeida cancelled JAL's allotment over unpaid development charges dues. JAL had won the SDZ land in 2008 to develop a sports and education hub centred around the Buddh International Circuit but failed to deliver. After years of litigation, the high court upheld the cancellation while safeguarding the interests of sub-lessees. The court also directed Yeida to complete 12 partially built JAL housing projects under staggered timelines based on their stage of completion. While Yeida has formed a monitoring committee and is preparing a revival plan, the appointment of a new construction partner remains on hold pending a Supreme Court hearing on July 19.

Noida: Yamuna Expressway Industrial Development Authority (YEIDA) is set to execute fresh lease deeds with third-party developers of 13 Sports City projects, following an Allahabad High Court decision allowing it to cancel the allotment of 1,000 hectares to Jaiprakash Associates Ltd in March this year. Officials said these 13 projects involved 13,132 buyers across sectors 25 and 19. According to them, executing the fresh deeds had become mandatory following the HC's decision, which nullified every reference to JAL in previous agreements. Apart from these lease deeds, a new tripartite agreement will be signed between the developers, homebuyers and YEIDA. While cancelling the allotment of land and upholding the interest of third-party developers (sub-lessees), a division bench of Justices Manoj Kumar Gupta and Kshitij Shailendra had on March 10 set a strict timeline for implementation. "Undoubtedly, the terms and conditions should be the same, as between JAL and the sub-lessees subject to the right of YEIDA to recover its dues. Upon execution of the lease-deed, YEIDA will stand substituted in place of JAL on the same terms and conditions as contained in sub-lease deeds between JAL and sub-lessees," the court said. YEIDA was asked to issue individual notices to the third-party developers within four weeks and complete all documentation in 12 weeks. Its CEO Arun Vir Singh said developers could upload their documents on the Authority's portal by June 21, the same deadline that applies to homebuyers. The developments in these 13 projects range from high-rise towers to villa plots. While Imperia Homes Planners has approvals for 629 flats in Sector 25, Royal Hometown Planners has 480 flats, of which 224 have been sold. Pyramid Townships' two parcels together make up 615 units. Gaur Sons' twin high-rise parcels in Sector 19 account for 3,104 units, followed by Solitaire Real Infra's tower cluster, which has 2,250 sanctioned flats. Gaur Sons' colony in Sector 19 has 3,230 plots, with 2,210 of them already sold. Presidency Infra Heights, MSA Developers, VGA Buildtech, Homes & Soul Infratech, and Imperia Structure add 2,824 more units between them. The March 10 ruling ended a five-year legal battle in the Allahabad HC. The case began after YEIDA cancelled JAL's Sports City allotment on Feb 12, 2020, over mounting dues. JAL, which was allotted the land parcel in a special development zone (SDZ) in 2008, had promised an international sports, education, and healthcare hub anchored by the Buddh International Circuit. It launched 12 housing schemes on its own and sub-leased the additional land for 13 more projects by third-party developers. JAL challenged the cancellation of land, and initially secured a stay order. But after multiple hearings, the HC upheld YEIDA's right to reclaim the land. On March 10, the court also asked YEIDA to complete JAL's 12 partially built housing projects with staggered deadlines — one year for projects 75% complete, 18 months for those at 50%, 30 months for 25% ready projects, and three years for the rest. A monitoring committee comprising govt officials, YEIDA executives, Rera representatives, and homebuyers' nominees will oversee the implementation. While YEIDA was preparing to bring in a construction partner, an interim order by the Supreme Court last month — restraining the Authority from appointing new developers without its permission — has temporarily halted the process. The matter will be heard again on July 19.
