Proposed Acquisition Drives Innovation for Customer Solutions, Enhances an Already Competitive Market, and Fortifies U.S. National Security and the American "Core Tech" Sector
Companies Plan to Vigorously Defend the Transaction in Court
HOUSTON & SUNNYVALE, Calif., January 30, 2025--(BUSINESS WIRE)--Hewlett Packard Enterprise (NYSE:HPE) and Juniper Networks, Inc. (NYSE:JNPR) today responded to the filing of a complaint by the U.S. Department of Justice seeking to prohibit closing of HPE's proposed acquisition of Juniper:
"We believe the Department of Justice's analysis of this acquisition is fundamentally flawed and we are disappointed in its decision to file a suit attempting to prohibit the closing of the transaction. We will vigorously defend against the Department of Justice's overreaching interpretation of antitrust laws and will demonstrate how this transaction will provide customers with greater innovation and choice, positively change the dynamics in the networking market by enhancing competition, and strengthen the backbone of U.S. networking infrastructure. Consistent with the conclusions reached by all other major antitrust regulators who have reviewed the deal, this transaction brings together two complementary networking offerings and will create a networking player with the scope and scale to more effectively compete with global incumbents. This proposed acquisition will provide customers of all sizes with a modern, secure network built with AI and for AI to ensure a better user and operator experience, and will create more competition, not less."
The facts in support of this transaction are clear:
There is extensive evidence that shows this acquisition is pro-competitive and the product area that is the focus of the DOJ's suit – Wireless Local Area Network (WLAN) – is characterized by robust competition, with at least eight alternatives to HPE and Juniper.
The DOJ's claim that the WLAN market is composed of three primary players is substantially disconnected from market realities. As customers shift to AI and cloud-driven business strategies for secure, unified technology solutions to protect their data, barriers to entry have decreased and expansion and competition for WLAN has intensified. As such, WLAN is an extremely competitive market with a broad set of players, all of whom are fighting for business and winning bids in competitive RFP processes. The transaction will not impede the ability of other WLAN vendors to vigorously compete.
These allegations ignore well capitalized competitors in the U.S. – several of which hold market shares comparable to Juniper and one of which holds more than 50% market share. These competitors generate business across all customer sizes and industry verticals, including large enterprise customers, who often solicit bids from five competitors for each opportunity.
The transaction has been approved by antitrust regulators in 14 jurisdictions, including the European Commission and the U.K. CMA, each of which unconditionally cleared the transaction and acknowledged the pro-competitive benefits of this transaction. Other than Israel, the U.S. is the only jurisdiction to not have cleared this deal.
Customers support this transaction, and the Department of Justice has not provided any evidence of customer complaints.
The combination creates unparalleled opportunity to better serve both HPE and Juniper customers and acts as an innovation catalyst for the industry.
This transaction will benefit customers who gain a comprehensive AI-driven and cloud-native IT portfolio including the networking architecture necessary to manage and simplify their expanding and increasingly complex connectivity needs.
Following the completion of the transaction, the combined company expects to accelerate innovation across the entire networking stack by investing in various R&D initiatives. This innovation will create more compelling solutions for customers and partners.
HPE and Juniper's complementary combination will create a compelling, U.S.-based alternative globally to incumbents, fortifying the American "core tech" sector that serves as the backbone of U.S. networking infrastructure.
"Core tech" companies build and maintain the critical infrastructure that enables our entire modern economy and includes essential technologies like large-scale compute, semiconductors, and networking. These are essential to safeguarding national security.
The networking space has become a critical arena of vulnerability, particularly as the industry looks toward 6G development and quantum-secure communications.
The transaction will create a robust U.S.-based provider of core technology infrastructure that can help to protect against national security risks in the global technology market.
HPE and Juniper remain fully committed to the transaction and believe we will prevail in litigation and close the transaction so we can deliver the benefits of this acquisition to our customers.

BBAI vs. CRWV vs. APP: Which Growth Stock Is the Best Pick, According to Wall Street Analysts?

Macro uncertainties, geopolitical tensions, and news on the tariff front have kept the stock market volatile. Despite ongoing uncertainties, analysts remain optimistic about several growth stocks and their potential to generate attractive returns over the long term. Using TipRanks' Stock Comparison Tool, we placed BigBear. ai Holdings (BBAI), CoreWeave (CRWV), and AppLovin (APP) against each other to find the best growth stock, according to Wall Street analysts. Confident Investing Starts Here: Holdings (NYSE:BBAI) Stock Holdings stock has risen more than 31% so far in 2025 and 292% over the past year, as investors are optimistic about the prospects of the data analytics company. BBAI offers artificial intelligence (AI)-powered decision intelligence solutions, mainly focused on national security, defense, and critical infrastructure. The company ended Q1 2025 with a backlog of $385 million, reflecting 30% year-over-year growth. However, there have been concerns about low revenue growth rate and high levels of debt. Looking ahead, the company is pursuing further growth through international expansion and strategic partnerships, while continuing to secure attractive government business. What Is the Price Target for BBAI Stock? Last month, Northland Securities analyst Michael Latimore reaffirmed a Hold rating on BBAI stock but lowered his price target to $3.50 from $4 after the company missed Q1 estimates due to further delays in government contracts. On the positive side, the 4-star analyst noted the solid growth in backlog and management's statement that their strategy is 'beginning to resonate.' On TipRanks, Holdings stock is assigned a Moderate Buy consensus rating, backed by two Buys and two Holds. The average BBAI stock price target of $4.83 indicates a possible downside of 17.3% from current levels. CoreWeave (NASDAQ:CRWV) Stock CoreWeave, a cloud provider specializing in AI infrastructure, is seeing robust adoption for its products. The company, which provides customers access to Nvidia's (NVDA) GPUs (graphics processing units), went public in March. CRWV stock has risen about 300% to $159.99, compared to its IPO (initial public offering) price of $40. Remarkably, CoreWeave delivered a 420% jump in its Q1 2025 revenue to $981.6 million. Moreover, the company ended the first quarter of 2025 with a robust backlog of $25.9 billion. Meanwhile, CoreWeave has entered into lucrative deals, including an expanded agreement of up to $4 billion with ChatGPT-maker OpenAI and a collaboration to power the recently announced cloud deal between Alphabet's Google (GOOGL) and OpenAI. Is CRWV a Good Stock to Buy? Recently, Bank of America analyst Bradley Sills downgraded CoreWeave stock to Hold from Buy, citing valuation concerns following the strong rally after the company's Q1 results. Also, the 4-star analyst expects $21 billion of negative free cash flow through 2027, due to elevated capital expenditure ($46.1 billion through 2027). However, Sills raised the price target for CRWV stock to $185 from $76, noting several positives, including the OpenAI deal and strong revenue momentum. Overall, Wall Street has a Moderate Buy consensus rating on CoreWeave stock based on six Buys, 11 Holds, and one Sell recommendation. At $78.53, the average CRWV stock price target indicates a substantial downside risk of about 51%. AppLovin (NASDAQ:APP) Stock Adtech company AppLovin has witnessed a 301% jump in its stock price over the past year. The company provides end-to-end software and AI solutions for businesses to reach, monetize, and grow their global audiences. Notably, AppLovin's strong growth rates have impressed investors. In Q1 2025, AppLovin's revenue grew 40% and earnings per share (EPS) surged by 149%. Investors have also welcomed the company's decision to sell its mobile gaming business to Tripledot Studios. The move is expected to enable AppLovin to focus more on its AI-powered ad business. However, APP stock has declined more than 12% over the past month due to the disappointment related to its non-inclusion in the S&P 500 Index (SPX) and accusations by short-seller Casper Research. Nonetheless, most analysts remain bullish on AppLovin due to its strong fundamentals and demand for the AXON ad platform. Is APP a Good Stock to Buy Recently, Piper Sandler analyst James Callahan increased the price target for AppLovin stock to $470 from $455 and reaffirmed a Buy rating. While Piper Sandler's checks suggest some weakness in AppLovin's supply-side trends, it remains a buyer of APP stock, with the tech company growing well above its digital ad peers and expanding into new verticals. With 16 Buys and three Holds, AppLovin stock scores a Strong Buy consensus rating. The average APP stock price target of $504.18 indicates 51% upside potential from current levels. Conclusion Wall Street is sidelined on stock, cautiously optimistic on CoreWeave, and highly bullish on AppLovin stock. Analysts see higher upside potential in APP stock than in the other two growth stocks. Wall Street's bullish stance on AppLovin stock is backed by solid fundamentals and strong momentum in its AI-powered ad business. According to TipRanks' Smart Score System, APP stock scores a 'Perfect 10,' indicating that it has the ability to outperform the broader market over the long run.

HP Enterprise, Juniper announce settlement with Department of Justice

Hewlett Packard Enterprise (HPE) and Juniper Networks (JNPR) announced they have reached an agreement with the U.S. Department of Justice that, subject to court approval, resolves the DOJ's lawsuit challenging HPE's acquisition of Juniper and clears the way for the transaction to close. 'Upon close of the deal, the combined resources of HPE and Juniper are expected to drive faster innovation across networking silicon, systems, and software to meet customers' increasingly complex connectivity needs. This new alternative to legacy incumbent networking solutions positively changes the competitive dynamics in the networking market and provides customers with greater innovation, choice and faster time to value. Combined with the innovation from HPE in hybrid cloud, storage, compute and software, networking customers will now have an even stronger path to accelerate and simplify their AI transformations. On January 9, 2024, HPE announced its agreement to acquire Juniper in an all-cash transaction for $40.00 per share, representing an equity value of approximately $14B. The agreement satisfies the Department of Justice's concerns while maintaining the overall value of the transaction to HPE customers, partners, and shareholders. As part of the settlement, HPE has agreed to divest its global Instant On campus and branch business. After close, HPE will facilitate limited access to Juniper's advanced Mist AIOps technology,' the companies stated. 'Our agreement with the DOJ paves the way to close HPE's acquisition of Juniper Networks and preserves the intended benefits of this deal for our customers and shareholders, while creating greater competition in the global networking market. For the first time, customers will now have a modern network architecture alternative that can best support the demands of AI workloads. The combination of HPE Aruba Networking and Juniper Networks will provide customers with a comprehensive portfolio of secure, AI-native networking solutions, and accelerate HPE's ability to grow in the AI data center, service provider and cloud segments,' said Antonio Neri, president and CEO of HPE.

LNN Q2 Deep Dive: International Irrigation and Infrastructure Fuel Growth Amid Mixed U.S. Outlook

Agricultural and farm machinery company Lindsay (NYSE:LNN) reported revenue ahead of Wall Street's expectations in Q2 CY2025, with sales up 21.7% year on year to $169.5 million. Its non-GAAP profit of $1.78 per share was 26.7% above analysts' consensus estimates. Is now the time to buy LNN? Find out in our full research report (it's free). Revenue: $169.5 million vs analyst estimates of $162 million (21.7% year-on-year growth, 4.6% beat) Adjusted EPS: $1.78 vs analyst estimates of $1.41 (26.7% beat) Adjusted EBITDA: $28.89 million vs analyst estimates of $23.89 million (17% margin, 20.9% beat) Operating Margin: 14%, in line with the same quarter last year Organic Revenue rose 23.5% year on year (-16.4% in the same quarter last year) Market Capitalization: $1.56 billion Lindsay's second quarter results saw a strong positive market reaction, with revenue and profit both exceeding Wall Street expectations. Management attributed the robust performance to significant growth in international irrigation markets—particularly in Latin America and the Middle East and North Africa—while U.S. irrigation demand remained steady. CEO Randy Wood highlighted ongoing execution on large projects overseas and noted that infrastructure segment growth was driven by increased sales of road safety products as the North American construction season began. Wood also pointed to operational efficiencies and favorable pricing actions in the U.S. irrigation business as contributing factors. Looking ahead, Lindsay's management focused on the continued expansion of international projects, particularly in Brazil and the Middle East, as well as growth opportunities in road safety and Road Zipper leasing. Wood noted that the company's outlook for North American irrigation is tempered by softer demand expectations, driven by weather and crop revenue uncertainties, despite a projected increase in net farm income. Management remains optimistic about the long-term potential in Brazil, contingent on credit availability and energy infrastructure improvements, while acknowledging that project timing and external factors such as tariffs and government funding will influence future results. Management emphasized that international irrigation demand, successful execution of large projects, and infrastructure sales were key to the quarter's performance, while also outlining ongoing supply chain and tariff management strategies. International irrigation momentum: Management noted substantial growth in Latin America and the Middle East, driven by a large ongoing project in the MENA region and improving market conditions in Brazil. CEO Randy Wood stated, 'We continue to see a strong project funnel in The Middle East and North Africa.' Stable U.S. irrigation demand: Domestic irrigation volumes were comparable to the prior year. Demand was supported by specialty crop markets in the Pacific Northwest, offsetting softness in corn and soybean markets and lower storm replacement activity. Infrastructure segment growth: The infrastructure business benefited from higher road safety product sales as the construction season progressed in North America. Management reiterated that growth in Road Zipper leasing supports stable revenue but noted that project sales timing remains uncertain. Tariff and supply chain management: Lindsay navigated evolving tariffs through proactive supplier collaboration, strategic inventory placement, and targeted pricing actions. CFO Brian Ketcham emphasized that recent steel tariffs had a limited impact on costs so far, stating, 'We have had little to no impact from the steel cost.' Operational improvements: Modernization of the Nebraska manufacturing facility and efficiency gains in Brazil and Turkey contributed to margin stability. Management highlighted that volume leverage in international operations and growth in recurring subscription revenue also supported profitability. Management's guidance centers on international project execution, infrastructure sales, and navigating variable demand in the U.S. irrigation market. International project pipeline: Lindsay's outlook depends on continued execution of large and mid-sized projects in the Middle East and Brazil. Management sees sustained demand for irrigation driven by food security and water conservation initiatives, though project timing remains unpredictable due to external factors like government funding and credit conditions. U.S. irrigation headwinds: The company expects North American irrigation demand to remain soft, shaped by weather, crop prices, and the nature of government support payments. CEO Randy Wood cautioned that while net farm income is projected to rise, most growth is from direct government support, not crop revenue, which may not translate to higher equipment spending. Tariff and cost management: Tariffs on steel and aluminum remain a risk, but Lindsay's global footprint and supply chain flexibility are designed to mitigate cost pressures. Management plans to continue pricing actions and supplier collaboration to help offset potential margin headwinds. Looking forward, our team will monitor (1) the pace and profitability of project execution in the Middle East and Brazil, (2) the trajectory of U.S. irrigation demand as weather and crop prices fluctuate, and (3) progress in infrastructure sales, especially in Road Zipper system leasing. Ongoing tariff impacts and supply chain strategies will also remain key watchpoints. Lindsay currently trades at $142.75, up from $137.29 just before the earnings.
