Hindalco to acquire US-based AluChem for $125 mn

Hindalco Industries Limited, the metals flagship of the Aditya Birla Group, has announced the acquisition of a 100% equity stake in US-based AluChem Companies, Inc., a prominent manufacturer of Specialty Alumina, for an enterprise value of $125 million (around Rs 1,050 crore), the company said in a statement. The acquisition will be carried out through Aditya Holdings LLC, a stepdown wholly owned subsidiary of Hindalco.
'This strategic acquisition marks a significant investment in specialty alumina, a key step in scaling its high-value, technology-led materials portfolio,' the company said on Tuesday.
The transaction is expected to close in the upcoming quarter, subject to customary closing conditions and regulatory approvals.
The company said that Hindalco's Specialty Alumina business, a key pillar of its value-added strategy, has delivered consistent double-digit growth in recent years and emerged as a high-growth, high-margin vertical within the company's portfolio.
As specialty alumina finds newer applications across cutting-edge sectors such as electric mobility, semiconductors, and precision ceramics, this acquisition, according to the company, propels Hindalco up the innovation curve -- enabling access to next-generation alumina applications and driving value-accretive growth.

BENGALURU/BAGALKOT: A tongue-in-cheek remark by Karnataka home minister G Parameshwara about shortage of funds in the state govt has triggered a political firestorm and social-media frenzy, after a video of his speech in North Karnataka's Badami went viral. This prompted Parameshwara to issue a clarification on Tuesday, insisting his comments in jest had been misconstrued as a suggestion that the Congress govt was facing a financial crunch. Speaking at the inauguration of a fire station in Badami Monday evening, Parameshwara urged local Congress MLA BB Chimmankatti to think big and push for a Rs 1,000-crore development plan for the region, once the capital of the Chalukya dynasty. The minister said on Tuesday: "I have not said like that, who said there is no money? I have defended the govt, saying we have presented a record budget... as someone said things jokingly during the speech, I reacted in a similar fashion, that's all." Reiterating the fiscal strength of the state, the minister said, "A sum of Rs 22,000 crore has been allocated for irrigation in the budget. Allocations have been made for the five guarantee schemes, and instructions have been made to prepare an action plan for Rs 50 crore in every constituency." He added, "I'm now saying officially that there is no financial distress in our govt. I'm saying it very clearly. Sometimes, there may be a delay in the release of funds, as DPR and estimates have to be prepared before releasing money. There may be some delay in that; other than that, there is nothing else." The initial public offering (IPO) of HDB Financial Services, a non-banking financial company (NBFC) promoted by HDFC Bank , will open for subscription on Wednesday, aiming to raise Rs 12,500 crore. This marks one of the largest public issues in 2025 so far, and comes amid renewed interest in India's financial sector IPOs. The IPO will remain open till Thursday, June 27. The price band has been set between Rs 700 and Rs 740 per share. Ahead of the issue opening, the GMP is around Rs 74, which is 10% premium over the issue price. The offering consists of a fresh issue worth Rs 2,500 crore and an offer for sale (OFS) of Rs 10,000 crore by parent HDFC Bank, which currently holds 95.5% in the company. The company reported a net profit of Rs 2,176 crore for FY25, a significant rise from Rs 1,359 crore a year earlier. Its gross non-performing assets (GNPA) stood at 2.49%, while net NPA came in at 1.38%, showing healthy asset quality for a retail-focused NBFC. The company has a pan-India presence with over 1,700 branches across 1,200 cities and towns, and serves over 1.9 crore customers. Its business spans secured and unsecured personal loans, gold loans, and lending to small and medium enterprises (SMEs). Valuation and Recommendations At the upper end of the price band, the IPO values HDB Financial at a post-issue price-to-book value of 3.7 times FY25 estimates. Analysts view this as reasonable, considering its performance and HDFC Bank's brand backing. Brokerage houses have given a thumbs up to the IPO. SBI Securities, Ventura Securities, and Anand Rathi all issued 'Subscribe' calls, citing strong fundamentals, stable asset quality, and long-term growth prospects. 'We believe the IPO is fairly priced given the company's improving profitability, robust risk management and capital adequacy,' Ventura said in its report. Anand Rathi added, 'The IPO offers an opportunity to invest in a high-quality, retail-focused NBFC that benefits from HDFC Bank's reach, reputation and systems. The improving return ratios and earnings visibility make it a compelling long-term bet.' Use of proceeds and listing The proceeds from the fresh issue will be used to augment HDB Financial's capital base and support its future lending activities. The OFS component will go to the selling shareholder, HDFC Bank. Post the IPO, the parent bank's stake will reduce significantly, aligning with regulatory norms.
