International Resources Holding Enters into Agreement to Acquire Majority Interest in Alphamin Resources Corp. from Tremont Master Holdings

ABU DHABI, UAE, June 3, 2025 /CNW/ - International Resources Holding ("IRH") and Tremont Master Holdings ("Tremont") are pleased to announce that they have entered into a definitive agreement for IRH to acquire Tremont's majority interest in Alphamin Resources Corp. (TSXV: AFM) (JSE: APH) ("Alphamin") (the "Transaction"). Under the terms of the Transaction, IRH will, through a wholly-owned subsidiary, acquire 718,990,967 common shares (the "Acquired Shares") of Alphamin (the "Common Shares") owned by Tremont, representing approximately 56% of the outstanding Common Shares, at a price of C$0.70 per share, for a total consideration of C$503,293,677 (US$367,001,749), subject to completion adjustments which may decrease total consideration in certain circumstances set out in the definitive agreement, including as a result of distributions, dividends and payments made to Tremont by Alphamin in Tremont's capacity as a shareholder of Alphamin or otherwise, or related to the Transaction which arise from September 30, 2024 to the date of closing of the Transaction, other than the dividend paid by Alphamin on November 4, 2024. IRH Strategic Rationale for the Acquisition This acquisition strengthens IRH's position in the global industrial metals sector, adding a majority interest in a highly productive and strategically important tin asset to its portfolio. Alphamin is one of the world's largest and highest-grade tin producers, playing a key role in supplying a critical raw material used in electronics, manufacturing, and industrial applications. Required Early Warning Disclosure Immediately prior to entering into the definitive agreement regarding the Transaction, IRH did not own any Common Shares and, upon completion of the Transaction, IRH will own 718,990,967 Common Shares, representing approximately 56% of the outstanding Common Shares. Tremont currently owns 729,124,559 Common Shares, representing approximately 57% of the outstanding Common Shares, and upon completion of the Transaction will continue to hold 10,133,592 Common Shares, representing approximately 0.8% of the outstanding Common Shares. IRH entered into the definitive agreement to acquire the Common Shares for investment purposes. IRH intends to review its investment in Alphamin on a continuing basis and depending upon various factors, including without limitation, the price and availability of Alphamin's securities, subsequent developments affecting Alphamin, its business and prospects, other investment and business opportunities available to IRH, general industry and economic conditions, the securities markets in general, tax considerations and other factors deemed relevant by IRH, IRH may (i) change its beneficial ownership of the Common Shares, whether through transactions effected in the open market, by privately negotiated agreements, or otherwise, or (ii) consider or propose, develop plans or take action which relate to or would result in, one or more of the actions described in subparagraphs (a) - (k) of Item 5 of Form 62-103F1 - Required Disclosure Under the Early Warning Requirements. Tennis fans are crying foul over an incident involving Lorenzo Musetti at the French Open that has been compared to Novak Djokovic's infamous disqualification at the 2020 US Open. Musetti reached his first semi-final at Roland Garros with a 6-2 4-6 7-5 6-2 win over American Frances Tiafoe, but the victory was overshadowed by drama after he kicked a ball that hit a female line judge in the chest. The Italian took out the opening set but cut a frustrated figure in the second stanza and lashed out by kicking a ball towards the line judge between points. The female official was only standing about three metres away when the ball struck her in the chest, leaving Tiafoe stunned at the other end of the court. The American gestured towards the chair umpire to take action against Musetti, who was eventually issued a code violation over the incident. But many thought the Italian should have been disqualified, with Tiafoe making his feelings clear about the ruling after the match. "I mean, obviously he did that and nothing happened. I think that's comical, but it is what it is," the American said. "Nothing happened, so there's nothing really to talk about. Obviously it's not consistent, so it is what it is." The incident had more than a few similarities to the one at the 2020 US Open that saw Djokovic disqualified after he hit a ball that struck a female line judge in the throat. Unlike Djokovic though, Musetti avoided being defaulted, with angry fans taking to social media to accuse tennis officials of double standards. In Djokovic's infamous case though, the official was in clear discomfort after the ball struck her throat and required fairly lengthy medical attention. Even still, the rule around disqualifications is far from clear. Musetti admitted that he feared being defaulted but was quick to apologise for what he described as an unfortunate accident. "Honestly, it was a really unlucky coincidence. I was a little bit, honestly, scared, because I really didn't want to harm (anybody), of course," he said. "So I immediately went to the line umpire, and I of course said, 'Sorry, I apologise to everyone. It was right to have a warning, but I think the umpire saw that there was no intention about that, and that's why probably (he) let me continue." Musetti didn't let the incident derail him as he regrouped from losing the second set to take the next two and extend his French Open record to 13-4. Two of those losses on the Roland Garros clay have come against former champion Novak Djokovic, with one against reigning champ, Carlos Alcaraz, who he meets in the semi-final. Alcaraz powered his way past American 12th seed Tommy Paul in a completely dominant win in their quarter-final. The Spanish World No.2 lost just five games in another one-sided 6-0 6-1 6-4 victory against Paul, who was unable to produce his best tennis with a heavily strapped right thigh. When selecting investments, it is easy to get hung up on a particular metric, such as a dividend yield or a price ratio, but investors need to look deeper or they might miss opportunities. Inc. AMZN provides an example: Its stock has typically traded at a high price-to-earnings ratio. Investors tend to look at a stock's forward P/E ratio, which is the price divided by analysts' consensus estimate for earnings per share over the following 12 months. Over the past 10 years, Amazon's stock has traded at an average forward P/E of 79.5, while the S&P 500 SPX has traded at an average forward P/E of 18.7, according to FactSet. But Amazon's stock was up 855% for 10 years through Friday, while the S&P 500 returned 235% with dividends reinvested. The emphasis was on reinvesting most of the cash being generated to expand the business in multiple directions. So the Amazon story was about revenue growth, rather than EPS growth. And that brings us to Nvidia Corp. NVDA. Last week Laila Maidan looked into Nvidia's relatively high forward P/E and explained why the stock might still be considered a bargain for long-term investors, based on analysts' expectations for the company's revenue growth. Nvidia's stock traded at a forward P/E of 28.1 at Friday's close, while the S&P 500 traded at a weighted forward P/E of 21.4. It is not a surprise to see Nvidia trading at a P/E valuation that is 31% higher than that of the index. But based on consensus estimates among analysts polled by FactSet, Nvidia is expected to increase its sales per share at a compound annual growth rate of 41.7% through 2026, versus an expected sales-per-share CAGR of 5.5% for the S&P 500. All such estimates in this article are adjusted by FactSet to match calendar years; about 20% of companies in the S&P 500 have fiscal reporting periods that don't match the calendar. For Nvidia, investors pay a premium for the higher expected growth rate. And that sets the stage for a stock screen. Which companies trading at low P/E multiples are also expected to increase revenue quickly? For this screen we are looking at revenue growth projections — specifically sales per share. We are using the per-share numbers because they reflect expected dilution to a company's share count if it issues new shares to help fund an acquisition. Merging with a competitor will obviously make revenue increase. But if the share count rises significantly, sales per share will be lower. The per-share numbers help investors to understand whether or not a company might have overpaid for an acquisition. Starting with the S&P 500, we narrowed the list to companies trading at forward P/E ratios of 14 or less — half Nvidia's valuation. Actually, we rounded down, so the list was confined to stocks trading at a forward P/E of less than 14.5. Then we sorted the list by expected sales-per-share CAGR from calendar 2024 through 2026, based on consensus estimates among analysts polled by FactSet. The stock soared last month after President Donald Trump announced investment agreements with Saudi Arabia to build data centers in the U.S., which lifted suppliers of related equipment. Read: Super Micro's stock keeps surging. Here's what might come next. It might surprise you to see UnitedHealth Group UNH on the list, in light of the company's numerous difficulties. These have included higher-than-expected costs in its Medicare Advantage business, reports of a government investigation into possible healthcare fraud and the departure of Chief Executive Andrew Witty. But with the stock having tumbled 40% this year through Friday, with dividends reinvested, analysts working for brokerage and research firms believe the worst is over, with 21 out of 29 analysts polled by FactSet rating UnitedHealth a buy or the equivalent. Only three of the analysts rate the stock a sell or the equivalent.
