Strathcona Resources Ltd. Commences Offer to Acquire MEG Energy Corp.

CALGARY, AB, May 30, 2025 /CNW/ - Strathcona Resources Ltd. (" Strathcona") announced today that it has formally commenced its offer (the " Offer") to acquire all of the issued and outstanding common shares of MEG Energy Corp. (TSX: MEG) (" MEG") not already owned by Strathcona or its affiliates for 0.62 of a common share of Strathcona (" Strathcona Share") and $4.10 in cash per common share of MEG (" MEG Share").
The notice and advertisement of the Offer has been placed for publishing in The Globe and Mail and Le Devoir, and the Offer is contained in the Offer to Purchase and Bid Circular (the " Offer and Circular") and related documents, which will be filed today with the Canadian securities regulators on SEDAR+ under MEG's profile at www.sedarplus.ca and posted on Strathcona's website. The Offer and Circular will be made available to all MEG shareholders in accordance with applicable securities laws. The Offer is open for acceptance until 5 p.m. (Mountain Time) on Monday, September 15, 2025.
Strathcona also announced the execution of an equity commitment letter with Waterous Energy Fund (" WEF"), the holder of 79.6% of the outstanding Strathcona Shares, through certain limited partnerships comprising Waterous Energy Fund III (" WEF III"), pursuant to which WEF III has committed to purchase an additional 21.4 million Strathcona Shares through subscription receipts, conditional upon completion of the Offer.
Pursuant to the terms of the equity commitment letter, the investment will be completed at a subscription price of $30.92 per subscription receipt, being equivalent to the price of the Strathcona Shares on May 15, 2025 prior to Strathcona announcing its intention to make the Offer, equating to an incremental investment by WEF in Strathcona of approximately $662 million. To Strathcona's knowledge, this represents the largest investment at one time by a single shareholder, public or private, in the Canadian upstream oil and gas sector since 2014.
Adam Waterous, Executive Chairman of Strathcona and CEO of WEF commented, "WEF's major further investment in Strathcona reflects our view that more than eight years into building Strathcona our best years are in front of us. We firmly believe Strathcona represents compelling value at this price with a large margin of safety, and that we and the partners in our fund will do very well over the long run."
Offer Details
The Offer is subject to the satisfaction or, where permitted, waiver of certain conditions, including, without limitation: (a) there having been validly deposited under the Offer and not withdrawn more than 50% of the outstanding MEG Shares (and associated rights under MEG's shareholder rights plan), excluding any MEG Shares beneficially owned, or over which control or direction is exercised, by Strathcona or by any person acting jointly or in concert with Strathcona, which condition cannot be waived by Strathcona; (b) there having been validly deposited under the Offer and not withdrawn MEG Shares (and associated rights under MEG's shareholder rights plan) which represent, together with the MEG Shares held by Strathcona, at least 66⅔% of the outstanding MEG Shares (on a fully-diluted basis); (c) no material adverse change having occurred in respect of the business, affairs, assets, operations or prospects of MEG; (d) all required governmental, regulatory and stock exchange approvals, or expiry, waiver or termination of any waiting or suspension period imposed, with respect to the Offer, including, without limitation, pursuant to the Competition Act (Canada) and the United States Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, and the approval of the TSX with respect to the issuance and listing of the Strathcona Shares issuable pursuant to the Offer, having been obtained; (e) the Registration Statement (as defined below) having become effective under the U.S. Securities Act (as defined below), and not becoming subject to a stop order or a proceeding seeking a stop order; (f) MEG not having taken certain actions that could reasonably be expected to reduce the anticipated economic value to Strathcona of the Offer or impair the ability of Strathcona to proceed with the Offer; (g) Strathcona having obtained the requisite approval of the Strathcona shareholders with respect to the issuance of the Strathcona Shares under the Offer pursuant to the rules of the TSX; and (h) other customary conditions.
The Offer is not subject to any due diligence or financing condition, with the cash consideration payable under the Offer to be funded pursuant to a bridge financing commitment from a syndicate of lenders (the " Bridge Financing Commitment"), subject to the terms and conditions of such financing.
If the conditions of the Offer are satisfied or, where permitted, waived at the expiry time of the Offer and Strathcona takes up and pays for the MEG Shares validly deposited under the Offer, Strathcona intends to acquire any MEG Shares not deposited under the Offer through a compulsory acquisition pursuant to the Business Corporations Act (Alberta), if available, or to propose an amalgamation, statutory arrangement or other transaction for the purpose of MEG becoming, directly or indirectly, a wholly-owned subsidiary or affiliate of Strathcona, in each case for consideration per MEG Share at least equal in value to and in the same form as the consideration paid by Strathcona per MEG Share under the Offer. The exact timing and details of any such transaction will depend upon a number of factors, including, without limitation, the number of MEG Shares acquired pursuant to the Offer.

WEF III Equity Investment Details
Pursuant to an equity commitment letter dated May 29, 2025, WEF III has committed to subscribe for and purchase 21.4 million subscription receipts of Strathcona (" Strathcona Subscription Receipts") at a price of $30.92 per Strathcona Subscription Receipt for aggregate proceeds to Strathcona of approximately $662 million (the " WEF III Equity Investment").
Each Strathcona Subscription Receipt will entitle WEF III to receive, automatically upon, among other specified circumstances, the take-up of MEG Shares deposited under the initial deposit period for the Offer, one Strathcona Share. The Strathcona Shares issuable upon conversion of the Strathcona Subscription Receipts represent approximately 9.99% of the Strathcona Shares issued and outstanding as of May 29, 2025.
The subscription price of the Strathcona Subscription Receipts and other terms and conditions of the WEF III Equity Investment were determined in accordance with the rules of the TSX with reference to the five-day volume weighted average price of the Strathcona Shares on the TSX immediately prior to and including May 29, 2025 and through negotiations between WEF III and a special committee comprised of independent directors of Strathcona (the " Special Committee") that was established in connection with the WEF III Equity Investment. The subscription price of $30.92 per Strathcona Subscription Receipt is equal to the closing price of the Strathcona Shares on the TSX on May 15, 2025, prior to Strathcona announcing its intention to make the Offer, and reflects a 7% premium to the five-day volume weighted average price of the Strathcona Shares on the TSX immediately prior to and including May 29, 2025.
The proceeds of the WEF III Equity Investment will be held in escrow by a subscription receipt agent and released to, or at the direction of, Strathcona concurrently upon Strathcona taking up MEG Shares at the expiration of the initial deposit period for the Offer, and will be used by Strathcona to reduce a portion of the amount funded under the Bridge Financing Commitment and pay a portion of the cash consideration payable under the Offer. In the event that Strathcona withdraws or terminates the Offer, and has not substantially concurrently entered into a definitive agreement to acquire MEG, the proceeds of the WEF III Equity Investment will be returned to WEF III.
The completion of the WEF III Equity Investment is subject to the satisfaction or waiver of certain customary conditions and is expected to be completed no later than July 13, 2025, being the date that is 45 days from the date of the equity commitment letter. The Offer is not conditional on the closing of the WEF III Equity Investment.
Strathcona Shareholder Approval
Strathcona expects to issue up to an aggregate of approximately 145 million Strathcona Shares pursuant to the Offer, consisting of 143 million Strathcona Shares issuable for MEG Shares deposited pursuant to the Offer and 2 million Strathcona Shares issuable for the MEG Shares issued upon settlement of certain security-based compensation awards of MEG, representing, in the aggregate, approximately 68% of the 214,235,608 Strathcona Shares issued and outstanding as at the date hereof. Strathcona expects to issue an additional 21.4 million Strathcona Shares upon conversion of the Strathcona Subscription Receipts issued pursuant to the WEF III Equity Investment.
Under Section 611 of the TSX Company Manual, the issuance of approximately 169.3 million Strathcona Shares (the " Strathcona Share Issuance"), comprised of 145 million Strathcona Shares issuable in respect of the Offer, 21.4 million Strathcona Shares issuable in respect of the WEF III Equity Investment and 2.9 million Strathcona Shares to account for clerical and administrative matters as permitted under the rules of the TSX, requires the approval of Strathcona shareholders, as the maximum number of Strathcona Shares issuable pursuant to the Offer exceeds 25% of the total number of outstanding Strathcona Shares.
Pursuant to Section 604(d) of the TSX Company Manual, WEF, as the holder of more than 50% of the votes attached to the outstanding Strathcona Shares, has delivered to the TSX its written consent for the issuance of up to 169.3 million Strathcona Shares in respect of the Strathcona Share Issuance in satisfaction of such shareholder approval requirement, in lieu of a duly called meeting of security holders. The TSX will generally not require further security holder approval for the issuance of up to, approximately, an additional 36.975 million Strathcona Shares, such number being 25% of the number of Strathcona Shares approved by security holders in connection with the Offer. The Offer is being effected at arm's length and the issuance of Strathcona Shares is not expected to materially affect control of Strathcona.
Assuming acquisition of all MEG Shares under the Offer and any second stage transaction, and upon completion of the WEF III Equity Investment, WEF is expected to own approximately 51% of the then issued and outstanding Strathcona Shares. The WEF III Equity Investment and the Offer are expected to close not earlier than five business days after dissemination of this press release.

U.S. President Donald Trump's heightened tariffs on steel and aluminum coming into his country will 'create mass disruption and negative consequences,' Canada's steel industry warns. Trump said on Friday that he will double the tariffs on steel and aluminum imports to 50 per cent. Catherine Cobden, president and CEO of the Canadian Steel Producers Association (CSPA), said the steel industry in Canada and the U.S. were highly integrated and tariffs would hit steel producers on both sides. 'Steel tariffs at this level will create mass disruption and negative consequences across our highly integrated steel supply chains and customers on both sides of the border,' Cobden said in a statement Saturday. As 2026 FIFA World Cup looms, CRTC dispute between OneSoccer and Rogers drags on

As the one-year countdown to the 2026 FIFA World Cup looms, a fight to open the door to a wider TV audience for Canadian soccer drags on. On one side is OneSoccer, the subscription streaming service that carries Canadian national team games as well as the Canadian Premier League and Canadian Championship. On the other is telecom giant Rogers Communications Canada Inc., which has refused to carry OneSoccer. In March 2023, the Canadian Radio-television and Telecommunication Commission (CRTC) ruled in favour of OneSoccer, saying that Rogers, by refusing to carry OneSoccer, 'has given an undue preference to itself and to other services comparable to OneSoccer, and has subjected OneSoccer to a disadvantage.' The CRTC directed the two parties to submit 'by no later than 11 April 2023, proposed remedies for resolving the finding of undue preference and disadvantage.' Two years later, nothing has changed other than the case's paper trail has grown exponentially. 'Delays such as these are devastating for new independent programming services, such as ours,' OneSoccer said in a February submission to the CRTC. 'OneSoccer is spending millions of dollars this year to produce our channel, and we have very little revenue coming in.' OneSoccer remains available as a streaming service and as one of the channels provided by Fubo, also a subscription service. Telus cable subscribers in the West can also access it. Scott Mitchell, owner of OneSoccer's parent company Timeless Inc., as well as chairman of both the Canadian Premier League and Canadian Soccer Business, is 'perplexed' at the delay, saying the ruling was 'very clear.' 'Clearly Rogers has being doing what they can to delay that … It's been with the CRTC for several years now and clearly it's taken far too long,' he said in an interview. 'We have a home World Cup on the horizon and we clearly have a growing soccer audience and ecosystem. And this issue should be dealt with quickly.' Rogers declined to make a spokesperson available, issuing a brief statement while referring a reporter to past company filings. 'We offer our customers a wide variety of popular and premium sports programming from multiple leading content providers,' the statement said. 'For those who want even more soccer content, they have the option to subscribe to OneSoccer as a stand-alone streaming service.' As a result, Sunday's high-profile CONCACAF Champions Cup final between the Vancouver Whitecaps and Mexican powerhouse Cruz Azul is available only to OneSoccer and Fubo subscribers in Canada. 'It's disappointing that not as many Canadians are going to be able to watch the match as there should be,' said Mitchell. 'Because clearly there is an audience for it.' Mitchell reports OneSoccer subscriptions are up 40 per cent this year. But a larger audience is out there. Rogers, in the wake of its merger with Shaw, controls about half the linear TV audience in Canada, Mitchell points out. Rogers says there are 'valid commercial reasons' for refusing to distribute OneSoccer, saying the channel has 'limited appeal to Canadian consumers.' OneSoccer's audience is small other than for Canadian national team games, it argues. Rogers also notes that other major cable providers — including Bell, Cogeco, Videotron, Eastlink, and Sasktel — do not currently carry OneSoccer's linear television channel. Rogers has offered to show some of OneSoccer's programming on Rogers On Demand and on the OneSoccer app on Ignite TV. The two have partnered in the past. In 2021, Rogers Sportsnet carried OneSoccer's broadcasts of Canadian men's World Cup qualifying games, agreeing to split advertising revenue with the proviso there be no OneSoccer branding on the programming. In its submissions, Rogers has also argued that Timeless was 'under the control of a non-Canadian entity' when it filed its CRTC complaint, referencing foreign-owned Mediapro. It argues 'Canadian ownership and control' is a 'foundational tenet of the Canadian broadcasting system.' Mediapro was OneSoccer's production partner until the two parted in a legal dispute, since resolved. OneSoccer argues that while Mediapro 'ran day-to-day operations and provided other services for OneSoccer, this was done on behalf of and under the direction of Timeless. 'At all times Timeless retained the authority to make strategic or organizational changes. Therefore, the service was always controlled by Timeless.' Canada's upcoming games at the Canadian Shield Tournament are being shown on TSN as well as OneSoccer. While Mitchell's group owns the rights, he said it was happy to work with Maple Leaf Sports and Entertainment, which organized the event. But such deals are rare. 'To this day, we've not been offered a single penny of investment for any of the media companies in Canada to carry any of the matches,' said Mitchell. Canada's games in March at the CONCACAF Nations League Finals were carried by both TSN and OneSoccer. Michell said OneSoccer, which produced the games itself, did not get a rights fee. 'Unfortunately we've been pushed into, at times, doing deals that are very economically harmful to us. But we do feel a responsibility, particularly on the national team games, to get the games distributed as far and as wide as we can. Unfortunately giving away the content for free is just not economically feasible in the long term.' 'We appreciate TSN's willing to work with us on it but those arrangements are economically not feasible in the least.' While companies like Rogers don't like being told what to do, OneSoccer consultant Laura Mellanby believes Rogers' resistance is down to the bottom line. Cable providers are primarily willing to launch their own channels and work with inexpensive options, she argues. In contrast, One Soccer is a live sports channel with an expensive production budget. Mellanby, who has worked for both Rogers and Bell, points to Willow, a cricket-themed channel carried by Rogers, that takes feeds from others rather than produce games themselves. 'Production is very expensive, especially sports production. And you can only simplify it so much. You can't do a single-camera coverage of a soccer game.' If Rogers were to carry OneSoccer, it would pay the service a monthly fee negotiated on the basis of the number of subscribers. Rogers would then mark their fees up, to recover its investment. 'Cost is always a problem,' said Mellanby. But she argues that the shared risk of carrying a sports channel with high production costs also comes with a shared reward — especially with a channel featuring a sport 'that is in a pivotal moment in its history in this country.' There has been a Hudson's Bay store in downtown Vancouver since Jan., 17, 1887, when the city was less than a year old. But it will end June 1, when the landmark Bay store at Granville and Georgia will close. The masses flooded into the store for The Bay's bankruptcy sale in recent weeks, either to hunt for bargains or just to take a look around at the last days of a Canadian institution. 'It's sad, honestly,' said shopper Niels Billou. 'It's an iconic part of Canadian history, part of the founding of this country. Sharon Best remembered getting her picture taken with Santa at The Bay when she was a child. 'It's such a shame,' she said. 'It's the last of the department stores, but it's also the oldest of the department stores.' 'The High Street is dying,' said Sarah Bromfield. 'Retail is kind of dying and the internet taking over.' Bromfield picked up a bust of a female mannequin at the sale for $100. She had a lot to choose from: there were hundreds of mannequins left all over the store, with or without faces, heads, arms or legs. A quartet of male mannequins were doing handstands on the sixth floor, near a quintet of mannequins arranged like the famous photo of construction workers having lunch on a steel beam high above the streets of New York in 1932. The sixth floor was officially closed when a reporter visited Wednesday, which made it a bit eerie. The floorplates are 75,000 sq. ft., and the virtually empty space made the large building seem even more vast. The sixth floor holds one of the building's coolest features: an arched steel and glass skylight that was constructed for a restaurant in the 1920s. The skylight is above a wooden floor where tables could be removed for dancing. The chandeliers for the skylight resemble antlers, a play on The Bay's coat of arms, which features a pair of elks flanking a crest with a red cross, four beavers and a fox on top. The company motto at the bottom is 'Pro Pelle Cutem,' which translates as 'a pelt for a skin' which points to the company's fur trading roots in 1670. Alas, a trio of white moose mannequins were already sold Wednesday and awaiting pickup. There didn't seem to be any Bay blankets left, either. In fact, most of the store's stock was already sold this week — only three floors and the basement were still open. But the clothes that were left were doing a brisk business, and the jewelry department was positively rockin'. The current Bay store was developed in four stages, in 1913-14, 1925-26, 1926, and 1949-50. The distinctive cream terra cotta on the exterior was used in several Bay stores, including Winnipeg and Victoria, and became identified with the company. The first Vancouver Hudson's Bay was a small wooden building at 150 Cordova St. in Gastown. The company moved to a four-storey red brick building at 698 Granville in 1893. The Seymour and Georgia side was the first part of the current building constructed. The address is now 674 Granville. The current building is about 648,000 square feet, and has six storeys above ground, two basement levels and an attic. The main floor is 21 feet (6.4 metres) high, the second floor is 16 feet, 3 inches (5 metres) high, and the remaining floors and basement are 15 feet, 2 inches (4.6 metres). In 1946, the downtown Vancouver store employed 1,300 people in 95 departments. In recent times about 500 people were working in the store. The store sits on prime real estate, and in 2022 The Bay announced a plan to build a 12-storey glass office tower atop the current six-storey store, which would have more than doubled the building size to 1.4 million square feet. The facade of the building would have been saved in the new development, but most of the interior would have been demolished and rebuilt in the project. The glass skylight on the sixth floor was to have been taken apart and reconstructed in the new structure. But demand for office space has slumped, and the 2022 plan seems to be dead. jmackie@
