NCLAT scraps audit, reinstates Resolution Professional at Golden Tobacco

The Insolvency appellate tribunal NCLAT has set aside the directions of the NCLT for a forensic audit of Golden Tobacco, and a change in the resolution professional of the debt-ridden cigarette maker.
Passing an order over a batch of petitions filed against the NCLT order, the National Company Law Appellate Tribunal also extended the timeline for completing the CIRP (Corporate Insolvency Resolution Process) of Golden Tobacco till October 17, 2025.
Besides, the appellate tribunal has also directed the NCLT to decide over the claims of financial creditors -- Central Bank of India, Arrow Engineering and others and then to reconstitute the lenders' body -- Committee of Creditors (CoC).
"The direction of the Adjudicating Authority to conduct a forensic audit by KPMG is set aside," said a two-member bench comprising Chairperson Justice Ashok Bhushan and Member Barun Mitra.
Vadodara-based Golden Tobacco owns cigarette brands such as Panama, Chancellor, Golden's Gold Flake and Taj Chhap. It is a Dalmia Group-owned firm.
The appellate tribunal also set aside the direction of the NCLT, directing a change in the resolution professional of the company.
"Direction contained in the impugned order replacing the Appellant (RP) is set aside. Consequently, the direction to appoint a New Resolution Professional Sanjay Borad shall come to an end," it said, directing the new Resolution Professional who was allowed to function during the pendency of these appeals shall hand over all the records within seven days.
NCLAT was hearing a batch of petitions filed against an order passed by the Ahmedabad bench of the National Company Law Tribunal (NCLT) on May 13, 2024 in which the tribunal had passed several directions.
NCLAT in its 86-page-long order also dismissed the petition filed by Suraksha Realty and Sheth Developers, which were seeking the status of a 'secured' Financial Creditor of Golden Tobacco.
Both had challenged the order of NCLT passed on May 13, 2024 in this regard.
However, it also partially provided relief to Arrow Engineering, another Financial Creditor of the company, whose claim was restricted to Rs 40.75 crore.
Suraksha Realty and Sheth Developers have also filed another application seeking direction to remove and reject the claims filed by the Central Bank of India, Arrow Engineering and other Financial Creditors.
Moreover, over the Central Bank of India's plea, NCLAT "partly allowed deleting the observation made in the impugned order that the Resolution Professional has inflated the claim of the Central Bank of India." It also dismissed the plea of Shree Ram Vessel Scrap, who could not submit a Resolution Plan by March 2, 2024, which was the last date for submitting a Resolution Plan. NCLAT granted liberty to it "to pursue its pending applications" before the NCLT there.
Moreover, the appellate tribunal has also directed to complete the CIRP (Corporate Insolvency Resolution Process) within a period of two months after the decision on the claims filed by its financial creditors - Central Bank of India, Arrow Engineering and others Financial creditors.
"The Resolution Professional after the decision of the Adjudicating Authority... shall reconstitute the CoC and convene a meeting for consideration of the Resolution Plans, in accordance with law," said a two-member bench.
NLCAT further extended the period for completion of CIRP till October 17, 2025.
"The period from 21.05.2024 till date is excluded from the CIRP process, during which period the interim order passed in the appeal has operated. CIRP period is extended till 17.10.2025 during which the entire CIRP process shall be completed," it said.
CIRP was commenced against Golden Tobacco on June 7, 2022, by NCLT after admitting the Section 7 application filed by Arrow Engineering.

US President Donald Trump's tariff blitz, persistent growth worries and slowing inflation are expected to prompt eurozone rate-setters to lower borrowing costs again on Thursday. It would be the European Central Bank's seventh consecutive interest rate cut, with officials having shifted focus from taming consumer price rises to easing pressure on the sluggish eurozone economy. Trump's tariffs have added to an already uncertain outlook for the single-currency area, with Europe firmly in his crosshairs, fuelling fears about a heavy hit to the continent's exporters. Expectations that the Frankfurt-based institution will deliver a fresh rate cut were strengthened this week when data showed eurozone inflation eased to 1.9 percent in May, faster than expected and below its two-percent target. "Any doubts about an ECB interest rate cut this week have now been eliminated," said Dirk Schumacher, chief economist at German public lender KfW. Analysts expect another quarter-point reduction that would take the central bank's key deposit rate to two percent. Observers will be on the lookout for any hints from ECB President Christine Lagarde at her press conference that policymakers could hit pause at their next meeting in July, as some expect. The ECB's series of cuts stands in contrast to the US Federal Reserve, which has kept rates on hold recently amid fears that Trump's levies could stoke inflation in the world's top economy. Lagarde may also face questions on her own future after the Financial Times last week reported she had discussed leaving the ECB early to take the helm of the World Economic Forum, which organises the annual Davos gathering. The ECB has however insisted that Lagarde is "determined" to finish her term, which ends in 2027. Trump, who argues his tariffs will bring manufacturing jobs back to the United States, has already hit the EU with multiple waves of levies. The bloc currently faces a 10-percent "baseline" levy as well as higher duties on specific sectors. He has paused even higher rates on the EU and other trading partners to allow for talks, but he continues to launch fresh salvos that are keeping the world on edge. This week he doubled tariffs on aluminium and steel from 25 to 50 percent and last month threatened the EU with an escalation if it did not negotiate a swift deal. For the ECB, it is a tricky task to protect the eurozone from the mercurial US president's trade policies while keeping inflation stable. The ECB is expected to cut its inflation predictions when it releases its own new economic forecasts Thursday, with most observers now believing that Trump's tariffs will add to downward pressure. This is due to factors including tariff-hit China redirecting inexpensive manufactured goods to Europe, recent strengthening of the euro and potentially lower energy prices. The ECB is also likely to cut its growth estimates Thursday due to the impact of the trade war, after the EU slashed its forecasts last month. Lower inflation and slower growth should push the ECB to make further rate cuts, but there are some factors making this uncertain. These include signs of resilience in the eurozone economy at the start of the year and a a potentially inflationary spending blitz planned by the new German government. Given the lack of clarity, ING bank analyst Carsten Brzeski said he believes the ECB would like to take a breather at its next meeting in July. Last Updated: New Delhi, Jun 5 (PTI) Ports-to-energy conglomerate Adani Group saw a 29 per cent rise in tax outgo across portfolio companies to nearly Rs 75,000 crore, it said on Thursday. This includes both direct and indirect taxes paid, as well as payments towards employee social security. 'For fiscal year 2025 (April 2024 to March 2025 financial year), the Adani Group's total contribution to the exchequer increased by 29 per cent to Rs 74,945 crore, from Rs 58,104 crore in FY 2023-24, through its portfolio of listed entities," it said in a statement. The Rs 74,945 crore tax outgo in FY25 is roughly the cost of building the entire Mumbai Metro network – an infrastructure lifeline for millions of people. It's also nearly enough to host a modern-day Olympics. Of the total contribution of Rs 74,945 crore, direct contributions stood at Rs 28,720 crore, indirect contributions stood at Rs 45,407 crore, while other contributions added at Rs 818 crore. The conglomerate said that among its publicly listed entities, the leading contributors include Adani Enterprises Limited (AEL), Adani Cement Limited (ACL), Adani Ports and Special Economic Zone (APSEZ), and Adani Green Energy Limited (AGEL). 'The details are covered in the independent annual reports published by seven of the group's listed entities – Adani Enterprises Limited, Adani Ports and Special Economic Zone Limited, Adani Green Energy Limited, Adani Energy Solutions Limited, Adani Power Limited, Adani Total Gas Limited, and Ambuja Cements Limited," the statement said. The figure also includes the tax paid by three other listed companies – NDTV, ACC and Sanghi Industries – that are held by the seven companies. The group has also published a document titled 'Basis of Preparation and Approach to Tax' on the websites of its seven entities, which provides a complete breakdown of Adani Group's global tax and other contributions, it said. It includes direct contributions like global taxes, duties, and other charges borne by Adani's portfolio of companies, indirect contributions like global taxes and duties collected and paid on behalf of other stakeholders, and other contributions like social security, contributed for the benefit of the employees. 'Adani Group considers tax transparency as an integral part of its broader ESG framework. Through this voluntary initiative, the Group aims to demonstrate its commitment to transparency, foster stakeholder trust, and contribute to a more accountable global tax environment. The group strives to harmonise growth with social responsibility, aiming to transform India's infrastructure landscape while promoting innovation and creating long-term value for stakeholders," the statement added.
