Sebi bars Paytm's Vijay Shekhar Sharma from accepting Esops for 3 years

Paytm founder and CEO Vijay Shekhar Sharma has been barred from accepting any fresh employee stock options (Esops) from any listed company for the next three years, according to a settlement order by the Securities and Exchange Board of India (Sebi).
Paytm parent One97 Communications, Vijay Shekhar Sharma, and the company's chief business officer (CBO) Ajay Shekhar Sharma have settled a matter with Sebi related to alleged lapses in Esop issuances.
One97 had given 21 million Esops to Vijay in October 2021 and 262,000 Esops to Ajay in May 2022, which Sebi found to be in violation of regulations.
Under the terms of settlement, One97 cancelled the Esops issued to the Sharma brothers and paid a settlement amount of ₹1.11 crore to Sebi.
Further, the settlement order details payment of ₹1.11 crore by Vijay and ₹57,11,000 by Ajay. Additionally, Sebi directed disgorgement of ₹35,86,000 from Ajay for the sale of around 3,720 shares of One97 obtained upon the exercise of the Esops.
The market regulator had alleged that as the founder and managing director of One97, Vijay was in a position to influence the decision of the Nomination and Remuneration Committee (NRC) while approving grant of Esops to himself and his brother.
Sebi's allegations also say that the company made incorrect disclosures in the offer documents by disclosing Vijay as a non-promoter public shareholder.
The regulator added that Vijay created a scheme through arrangement of transfer of a portion of his equity in the company to a family trust controlled by him to continue to exercise control over more than 10 per cent equity and circumvent the Sebi regulations.
The family trust was created only a few days prior to the filing of the offer documents for the company's IPO.
The market regulator had sent show-cause notices to the company and Sharma brothers in February 2024 to which they filed separate settlement applications.

Mumbai: Markets regulator Securities and Exchange Board of India (Sebi) on Friday issued a corrigendum to its 28 May order in the alleged insider trading case involving IndusInd Bank, clarifying that the words 'board note' should be read as an 'engagement note signed by the chief financial officer and noticee numbers one and two.' 'Noticee numbers one and two' are former deputy chief executive Arun Khurana and former chief executive officer (CEO) Sumant Kathpalia. On 28 May, Sebi cracked the whip on former top executives of the bank for alleged insider trading. It barred former managing director and CEO Kathpalia, along with four other senior executives from the market and impounded gains of ₹19.78 crore, alleging they sold shares while in possession of unpublished price-sensitive information (UPSI). A week before the order, IndusInd Bank chairman Sunil Mehta said the board was not informed of the derivatives discrepancies and that it took swift measures when it came to know. However, Sebi had said in its 28 May order that the bank had hired KPMG as early as on 29 January 2024 through a 'board note', to review the discrepancies revealed by an internal team, implying that the board was aware before the issue came to light on 10 March. On Friday, Sebi replaced the words board note with the term engagement note, thus distancing the board from the decision to hire KPMG in 2024. What RBI said Meanwhile, the Reserve Bank of India (RBI) on Friday said IndusInd Bank has taken sufficient steps to improve its accounting practices, with governor Sanjay Malhotra noting that the bank is doing well overall. The remarks signalled regulatory comfort with the lender's actions so far, and pushed its shares up over 5%. The RBI's comments come nearly three months after IndusInd Bank disclosed issues in its derivatives book, which triggered a 27% crash in its shares. Since then, the bank has seen the exit of top executives and faced scrutiny from both the central bank and Sebi. 'The MD and CEO has resigned and it says for taking moral responsibility. So, I thought that should be good enough,' Malhotra said at the post-policy conference.

Markets regulator Sebi has ordered the attachment of bank accounts and shares and mutual fund holdings of absconding diamantaire Mehul Choksi to recover dues totalling Rs 2.1 crore in a case of violation of insider trading rules in the shares of Gitanjali Gems. The latest move followed a demand notice issued to Choksi on May 15, warning attachment of assets as well as bank accounts if he failed to make the payment within 15 days. The demand notice came after Choksi failed to pay the fine imposed by the Securities and Exchange Board of India (Sebi) in January 2022 in a case of violation of insider trading rules in the shares of Gitanjali Gems Ltd. Choksi, who was the chairman and managing director as well as part of promoter group of Gitanjali Gems, is the maternal uncle of Nirav Modi. Both are facing charges of defrauding state-owned Punjab National Bank (PNB) of more than Rs 14,000 crore. Both Choksi and Modi fled India after the PNB scam came to light in early 2018. In April, Choksi was arrested in Belgium following an extradition request by Indian probe agencies. He was located in Belgium last year when he went there for getting medical treatment. He had been staying in Antigua since 2018 after leaving India. Modi was arrested by the Scotland Yard Police in March 2019 and is currently in jail in that country. In an attachment notice dated June 4, Sebi said the pending dues of Rs 2.1 crore include the initial fine of Rs 1.5 crore and interest of Rs 60 lakh. To recover the dues, Sebi asked all the banks, depositories -- CDSL and NSDL -- and mutual funds not to allow any debit from the accounts of Choksi. However, credits have been permitted. Further, Sebi has directed the banks to attach all accounts, including lockers, held by the defaulter. Initiating the recovery proceedings, Sebi said there is sufficient reason to believe that Choksi may dispose of the amounts in the bank accounts, mutual fund folios and securities in the demat accounts held with the depositories and "realisation of the amount due under the certificate would, in consequence, be delayed or obstructed". In its order passed in January 2022, the regulator imposed a penalty of Rs 1.5 crore on Choksi and restrained him from the securities market for one year. Sebi had found that Choksi communicated unpublished price sensitive information to one Rakesh Girdharlal Gajera, who sold his entire shareholding of 5.75 per cent in Gitanjali Gems in December 2017 with the intention of avoiding loss ahead of any event which may lead to disclosure of fraudulent issuance of LoUs (letter of undertaking) to Gitanjali Group and magnitude in public domain. It was noted that fraudulent LoUs were issued on behalf of entities belonging to the Gitanjali Group, including GGL. "Noticee no. 1 (Choksi) was found to have communicated UPSI (unpublished price sensitive information) to Noticee no. 2 (Gajera) without any underlying legal obligation or any legitimate purpose," Sebi had said in its final order. Through such activities, the two persons had violated the provisions of the PIT (Prohibition of Insider Trading) rules. In May 2023, Sebi sent a notice to Choksi directing him to pay Rs 5.35 crore in a case pertaining to fraudulent trading in the shares of Gitanjali Gems.
