Hexagon Purus ASA: Proposed change of board chair, notice of extraordinary general meeting

To establish a better distribution of the workload in the board of Hexagon Purus ASA ("Purus" or the 'Company'), Mr. Espen Gundersen has requested to step down as chair of the Purus board. Mr. Gundersen intends to continue to serve as a board member and chair of the audit committee of the Company.
The nomination committee has considered the request and proposes that current board member Jon Erik Engeset takes over the role as board chair. The recommendation letter can be found on the company's webpage.
Mr. Engeset has served on the Purus board since the Company listed on the Oslo Stock Exchange in 2020 and held the role as chair from 2020 to 2023.
The board has called for an extraordinary general meeting to be held on 2 July 2025 to consider the proposed change of chair, and the notice document is attached to this announcement.

CALGARY, Alberta, June 27, 2025 (GLOBE NEWSWIRE) — News Release – TC Energy Corporation (TSX, NYSE: TRP) (TC Energy or the Company) today announced that it has commenced the collection of tolls from the Comisión Federal de Electricidad (CFE) for the Southeast Gateway pipeline and has been paid by the CFE for the month of May, on time in accordance with our contract. We continue to work with the newly constituted Comisión Nacional de Energía (CNE) to obtain the approval of our regulated rates as soon as possible, which is required to provide service to potential future interruptible service users on Southeast Gateway other than the CFE. The Southeast Gateway pipeline, a 1.3 Bcf/d, 715-kilometre natural gas pipeline, was constructed approximately 13 per cent under the original cost estimate in less than three years from the project's final investment decision. Southeast Gateway was the first significant energy infrastructure project constructed under our successful public-private partnership with the CFE. ANNAPOLIS, Md.--(BUSINESS WIRE)--HA Sustainable Infrastructure Capital, Inc. ('HASI') (NYSE: HASI), a leading investor in sustainable infrastructure assets, today announced the early results of the previously announced tender offer (the 'Tender Offer') by its indirect subsidiaries, HAT Holdings I LLC, a Maryland limited liability company ('HAT I') and HAT Holdings II LLC, a Maryland limited liability company ('HAT II,' and together with HAT I, the 'Company'), to purchase the outstanding notes listed in the table below (collectively, the 'Notes' and each a 'Series' of Notes). Additionally, the Company announced the increase of the Maximum Aggregate Principal Amount from $500,000,000 to an amount sufficient to accept up to $700,000,000 aggregate principal amount of the Notes (the 'Maximum Aggregate Principal Amount'). The Company has also increased the series cap on the 3.375% Senior Notes due 2026 from $250,000,000 to $400,000,000 (as amended, the 'Series Cap').
