Tata's Trent trims stake in Zara, Massimo Dutti JVs with Inditex

New Delhi: Tata Group's retail arm Trent Ltd has pared its stake in its joint ventures with Spanish fashion giant Inditex, which operate the Zara and Massimo Dutti brands in India, according to its latest annual filings.
Trent has two separate JVs with the Inditex Group. The first, Inditex Trent Retail India Private Limited (ITRIPL), runs Zara stores; the second, Massimo Dutti India Private Limited (MDIPL), operates the Massimo Dutti brand.
In its FY25 annual report, Trent said it reduced its holding in ITRIPL from 49% to 34.94% by selling 1,40,000 equity shares through a buyback offer made by ITRIPL. Similarly, it cut its stake in MDIPL from 49% to 20% by selling 1,75,450 equity shares to Grupo Massimo Dutti, Spain, effective 25 March 2025.
'ITRIPL, an associate of the company, is engaged in operation of Zara stores in India… the company holds 34.94% of the equity shareholding (earlier 49%) in ITRIPL with effect from 30 August 2024,' Trent's annual report dated 11 June noted.
Zara currently operates 22 stores in 13 cities across India, while Massimo Dutti has just three.
In FY25, Zara reported total income of ₹2,839.5 crore, up 2.26% from ₹2,776.67 crore in the previous year. Massimo Dutti reported ₹101.23 crore in revenue, marginally down from ₹101.79 crore in FY24.
Financial, not strategic
Trent has consistently maintained that its Inditex partnerships are financial in nature and not long-term strategic bets.
'Including in the context of brand ownership and the arrangements for merchandise supply (with the majority partner entirely controlling these core customer propositions and the terms thereto), the company views its related commitments as a financial investment,' the report said.
It added that these ventures are limited to product distribution in India, which affects the economic value attributable to them.
The joint venture with Inditex was established in 2009 to launch Zara in India. The original terms gave Inditex a 51% stake and Trent the remaining 49%.
Notably, Inditex recently launched its third brand, Bershka, in India through a wholly owned entity—Bershka Retail India Pvt. Ltd—without any local partner. It has also set up Zara Home Retail India Private Ltd as a 100% subsidiary.
Inditex's 2024 annual report stated that it holds call options on Trent's remaining shareholding—35% in ITRIPL and 49% in MDIPL. Trent, in turn, holds put options to sell its stake to Industria de Diseño Textil S.A., with the strike price based on pre-defined terms.
Focus shifts to Zudio and Westside
While scaling down its Inditex JVs, Trent continues to aggressively expand its own brands, especially Westside and value-fashion chain Zudio. The two formats now operate over 1,000 large-format stores, with Zudio accounting for 765 of them.

This is the second consecutive year when Rahm has topped the World's Highest-Paid Golfers list by Forbes. It states that the 30-year-old's idea to switch tours is helping him with massive dividends, even as he bagged only two LIV Golf events in the last year. Here's taking a look at the top-earning golfers over the past year: The Spanish player has on-course earnings of $92 million, while the remaining $10 million came in from off-course. Notably, his total earnings include the nearly $50 million annual payment that he received from the Saudi-backed LIV. It was part of the $300 million guarantee, which Rahm reportedly got to move out of the PGA Tour. In his maiden year with LIV, Rahm got the tour's season-long individual title along with the $18 million bonus that came with it. With three top-five finishes in eight tournaments, he stands in third position in the individual rankings. The American professional golfer holds on-course earnings of $67 million and $30 million from off-course. He won six tournaments in the first half of 2024, which includes the Masters. Also, he added Olympic gold in Paris as well as titles at the Tour Championship and the Hero World Challenge to end the year on a high note. So far, he has won three events this year. The 36-year-old from Northern Ireland has on-course earnings of $39 million and $45 million from off-course. He was in the spotlight when he bagged his maiden green jacket in April, defeating Justin Rose in a playoff to secure a victory in the Masters. The golf legend has on-course earnings of $10 million and has made $45 million from off-course. In the past year, he remained available for just two events. In March, he announced that he had ruptured his left Achilles tendon. This means he is not expected to return to the course for some time. The 28-year-old American player minted $33 million from on-course and $17 million from off-course. At present, he is ranked fourth in the world and has remained consistent. Poland's biggest fashion retailer LPP reported on Thursday a better-than-expected first-quarter net profit but lowered its sales forecast for the 2025/26 financial year, blaming sluggish market conditions due to unseasonably cold weather. LPP, owner of fashion chain Reserved and other brands located mostly in central Europe, said net profit for the first quarter totalled 334 million zlotys ($90.49 million), above analysts' forecast of 246 million zlotys. However, LPP reduced its revenue forecast for the 2025/26 financial year to about 23-24 billion zlotys from the previously projected 25-26 billion zlotys, saying exceptionally cold weather in May had reduced demand for spring-summer collections. "This year's start of the second quarter for us was recorded as a quarter influenced by the weather, a historically cold May," Chief Financial Officer Marcin Bojko said during a conference call. "At that time, our stores were offering the summer collection. Customer purchasing motivations for this type of clothing were low due to the cold weather and low temperatures(...) however in June we are already seeing a significant improvement", he added. A sluggish spring has also impacted other European fashion retailers. H&M's sales grew by just 1% in March compared to 4% in the same period a year earlier. Inditex, owner of Zara, reported weaker-than-expected results on Wednesday as tariff fallout and unfavourable weather conditions weighed on sales across the sector, complicating the fast-fashion retailer's efforts to maintain strong growth. EXPANSION PLANS As of April 30, LPP had 2,959 stores, 1,611 of which are Sinsay stores, its budget brand which aims to compete with fast fashion retailers like Inditex's Bershka. In 2025, LPP plans to expand its retail space by about 25-30%, focusing mainly on the development of the Sinsay brand and aiming for around 1,100 stores. Under its three-year strategy announced in April, LPP aims to double its annual revenue to 40 billion zlotys by 2027, with Sinsay set to account for 75% of the group's total sales. The company also plans to expand its store network to around 7,500 outlets by the end of 2027.

Multibagger stock Wanbury has emerged as one of the most astonishing success stories on Dalal Street, transforming itself from an obscure penny stock into a headline-maker in five years. From trading at just ₹ 19 in June 2020, the stock has surged more than 1,475 percent to hover around ₹ 299.35 in recent sessions. This translates to a remarkable ₹ 1 lakh investment growing to over ₹ 15.75 lakh. Over the past year alone, Wanbury has rallied nearly 93 percent, delivering impressive returns to investors in a staggered but consistent manner. The multibagger stock has climbed 4 percent in June so far, following a 25.5 percent gain in May, a 1 percent rise in April, and an eye-catching 37 percent surge in March. Despite facing setbacks earlier this year—dropping 25 percent in January and 21 percent in February—Wanbury has bounced back strongly, showcasing persistent buying interest. The stock hit its 52-week high of ₹ 330 last month and its 52-week low of ₹ 151.10 in July 2024. From its Covid-era lows of ₹ 18 per share, the stock has multiplied nearly 1,565 percent — cementing its multibagger credentials. Domestic brokerage Ventura Securities has initiated coverage on Wanbury Ltd with a bullish 'buy' rating, setting a price target of ₹ 458 over the next 24 months. With the stock currently around ₹ 299.35, this target implies a potential upside of 53 percent. Ventura sees robust earnings potential, backed by strong growth in both its API and branded formulations segments. According to the brokerage, Wanbury's revenue is projected to grow at a CAGR of 20 percent from FY25 to FY28, reaching ₹ 1,046 crore. EBITDA and net profit are expected to post even sharper growth at 33 percent and 51 percent CAGR, respectively. By FY28, the company's EBITDA is expected to touch ₹ 177 crore, with net profit at ₹ 104 crore. Margins, too, are set to expand — EBITDA margin is seen improving by 310 basis points to 15.5 percent, while net margin may increase by 290 basis points to 10 percent. As per the brokerage, Wanbury's strength lies in its leadership in Active Pharmaceutical Ingredients (APIs), with a global market share of 10 percent in Metformin and 30 percent in Sertraline. The API division, which largely caters to export markets, is expected to grow at a 16 percent CAGR, reaching ₹ 819 crore by FY28. Its domestic branded formulations business is growing at an even faster clip. Focused on high-margin chronic therapies, this segment is projected to expand at a 47 percent CAGR to ₹ 227 crore by FY28, driven by new product launches and broader customer outreach, it further stated. The company is also recovering from past setbacks, particularly its troubled Spanish formulations venture. A return to profitability in FY24 and positive net worth indicate a successful turnaround. Ventura attributes Wanbury's revival to operational efficiencies and strategic debt refinancing. Looking ahead, Ventura pointed out that the company has allocated ₹ 165 crore for a brownfield expansion at its Tanuku plant, expected to be implemented between FY26 and FY28. This aligns with its strategy of maintaining an asset-light model while scaling up production capabilities.
