MakeMyTrip to raise up to $3 billion to buy back Trip.com's stake in company

Online travel agency MakeMyTrip has said that it plans to raise up to $3 billion to repurchase shares from one of its key stakeholders, China-based Trip.com, according to a filing with the New York's Nasdaq stock exchange.
The funds will be raised through a combination of equity and convertible senior notes, the company said.
'We are offering 14,000,000 ordinary shares, par value $0.0005 per share in this offering. Our ordinary shares are listed on the Nasdaq Global Market under the symbol 'MMYT.' We will receive all of the net proceeds from this offering,' the 16 June filing stated.
The issue of 14 million shares could also be increased to 16.1 million shares, the company added.
The shares were trading at $92-100 apiece over the past two trading days before publishing, which could bring in over $1.2-1.6 billion in proceeds. 'Concurrently with this offering, we are offering, US $1.25 billion aggregate principal amount of convertible senior notes, plus up to US $187.5 million aggregate principal amount of our convertible senior notes…'
MakeMyTrip did not respond to a request for comment.
The company will use all proceeds from the equity and notes offering to repurchase Class B shares from Trip.com, with the goal of reducing the Chinese company's voting power from 45.34% to 19.99%.
'On June 16, 2025, we entered into a share repurchase agreement with Trip.com pursuant to which Trip.com has agreed to sell, and we have agreed to purchase, a portion of the Class B Shares at a price per share equal to the Repurchase Price. Although we and Trip.com intend to reduce Trip.com's total voting power in our company to 19.99% following our purchase of Class B Shares from Trip.com pursuant to the terms of the share repurchase agreement, there is no assurance that Trip.com's voting power will be reduced in such manner,' the company said.
MakeMyTrip (MMT) is an online travel company that was founded in 2000 by Deep Kalra. It provides various travel-related services such as flight bookings, hotel reservations, holiday packages, and more, with the goal of simplifying travel planning for consumers.

Arisinfra Solutions IPO: Mumbai-based construction materials provider Arisinfra Solutions Limited completed its anchor investor round on Tuesday, 17 June 2025. The company raised ₹ 224.8 crore from its anchor investors ahead of the public issue, according to the exchange filing. According to BSE data, the company allocated 1,01,26,946 or more than 1.01 crore equity shares to anchor investors at an allocation price of ₹ 222 per share, with a face value of ₹ 2 apiece. Citigroup Global, Astorne Capital, Necta Bloom, Nexus Global, Zeal Global, Saint Capital, Winro Commercial, and Sunrise Investment Trust are among the top investors who invested in the public issue ahead of the public subscription. Out of the 15 anchor investors, Necta Bloom VCC—Regal Fund has the largest allocation, at 16.24 per cent of the total anchor allocation. Astorne Capital came in second, with a 13.34 per cent allocation of the total anchor issue. There were no domestic mutual funds that applied for the anchor investor issue on Tuesday, according to the BSE filing. As of Tuesday, 17 June 2025, the grey market premium (GMP) for Arisinfra Solutions IPO stood at ₹ 25 per share. With the upper price band at ₹ 222 per share, the shares are expected to be listed at ₹ 247, a premium of 11.26 per cent, according to The Grey Market Premium (GMP) is an indicator of investors' willingness to subscribe to a primary issue. As of the end of the anchor day, the GMP is flat at ₹ 25 apiece. Arisinfra Solutions IPO is an entirely fresh issue of 2,25,04,324 or over 2.25 crore equity shares as the company aims to raise nearly ₹ 499.60 crore from the book-built issue. However, there is no offer-for-sale (OFS) component for this public issue. The company seeks to use the proceeds from the IPO to repay or prepay loans, support its working capital requirements, and invest in a subsidiary. It also disclosed plans for a potential unidentified acquisition, while the remaining funds will be used for general corporate needs. The company has fixed the price band for the public issue in the range of ₹ 210 to ₹ 222 per equity share with a lot size of 67 shares per lot. The IPO will open on Wednesday, 18 June 2025, and is scheduled to close on Friday, 20 June 2025. JM Financial Limited, IIFL Capital Services Limited, and Nuvama Wealth Management Limited are the book-running lead managers for the Arisinfra Solutions IPO, while MUFG Intime India Private Limited (Link Intime) is the registrar for the issue. HC Plea Seeks Resumption Of Non-Parking Works At Deekshabhoomi

Nagpur: Amid a state-imposed stay on the controversial underground parking project at Deekshabhoomi, a fresh plea was filed in Nagpur bench of Bombay high court urging the govt to resume other halted works unrelated to the parking structure. The application was submitted during the hearing of a pending PIL concerning Deekshabhoomi's overall development. Advocate Shailesh Narnaware argued that while the parking component remains contested, several crucial elements of the master plan were also stalled unnecessarily. "Only the parking facility has been stayed. The govt must proceed with other planned works by holding cabinet meetings, completing procedural approvals, and releasing necessary funds," he urged. The plea also sheds light for the first time on a previously undisclosed land-use proposal. According to documents now on record, the master plan developed by Noida-based Design Associates Incorporated was based on a total of 37.84 acres. This includes the existing 22.80 acres with Deekshabhoomi, along with 11 acres from the health department and 3.84 acres from the Cotton Research Institute. Nagpur Improvement Trust (NIT) has been identified as the implementing agency. A Deekshabhoomi Smarak Samiti member earlier wrote to the district collector seeking formal transfer of the additional land and administrative approval for the Rs325.86 crore master plan. The court is expected to consider the plea in upcoming hearings.
