Markets regulator Sebi has barred Bollywood actor Arshad Warsi, his wife Maria Goretti, and 57 other entities from the securities markets for 1-5 years in a case related to misleading videos on YouTube channels recommending investors to buy shares of Sadhna Broadcast.
The regulator imposed a fine of ₹5 lakh each on Warsi and his wife Maria. The couple were restrained by the markets watchdog from the securities market for 1 year, as per an order passed by Sebi on Thursday.

Sebi has also levied penalties of ₹5 lakh to ₹5 crore on 57 other entities, including promoters of Sadhna Broadcast (now Crystal Business System Ltd).
Apart from the debarment, Sebi directed these 59 entities to disgorge total unlawful gains worth ₹58.01 crore along with 12 per cent interest per annum jointly and severally from the end of the investigation period till the date of actual payment.
Sebi noted that Arshad had made a profit of ₹41.70 lakh and his wife earned a profit of ₹50.35 lakh.
In the final order, Sebi found that the masterminds behind this whole operation were Gaurav Gupta, Rakesh Kumar Gupta and Manish Mishra. Subhash Aggarwal, who also happened to be a director of the RTA of Sadhna Broadcast Ltd (SBL), acted as the go between Manish Mishra and the promoters, the order stated.
These individuals were the central characters who planned and executed the manipulative scheme, Sebi said.
Further, the regulator observed that Peeyush Agarwal and Lokesh Shah facilitated accounts controlled by them to be used for the manipulative designs of Manish Mishra and the promoters of SBL.
The former was a dealer at Choice and the latter the owner of the Delhi franchise of the stockbroker. They were both vital cogs who facilitated large scale manipulation in the scrip.
Similarly, Jatin Shah played a leading role in operationalising the scheme, while other entities facilitated the manipulative designs or were in it to make a quick buck, the order said.

As per the 109-page order, Sebi said the noticees (entities) have acted as information carriers or assisted in placing the manipulative trades, but not traded in the scrip from their own accounts.
Sebi said the structured scheme executed in two coordinated phases. In the first phase, connected and promoter-linked entities executed trades among themselves to steadily inflate the price of the scrip and create a false appearance of market interest.
These trades though often small in volume had a disproportionate impact on price due to low liquidity, allowing the perpetrators to push the scrip upward with relatively minimal trading outlay.
In the second phase of the scheme, misleading and promotional videos were disseminated across YouTube channels such as Moneywise, The Advisor, and Profit Yatra, all operated by Manish Mishra, the order said.
These videos presented SBL as a promising investment opportunity and were timed to coincide with and amplify artificial market activity, it added.
'The overall conduct of the noticees has revealed a classic pump-and-dump scheme. The price was systematically pushed upward through collusive trading, followed by aggressive promotional activity to draw in retail investors, and finally, a coordinated sell-off by the promoters,' Sebi's whole time member Ashwani Bhatia said in the order.

Accordingly, these 59 entities violated the provisions of PFUTP (Prohibition of Fraudulent and Unfair Trade Practices) rules.
In addition, Sebi said that no monetary penalty is being imposed on Varun Media Pvt Ltd, a promoter entity, due to pending insolvency proceedings. However, the direction for disgorgement will remain applicable and proceedings against the company will be decided through a separate order.
The order came after the Securities and Exchange Board of India (Sebi) received complaints during the period July-September 2022, alleging that there was price manipulation and subsequent offloading of shares in the scrip of television channel SBL.
The complaints alleged that misleading YouTube videos with false content about the company were uploaded to lure investors.
Thereafter, Sebi conducted a detailed investigation into the alleged manipulation in the scrip of SBL for the period March 8, 2022 to November 30, 2022.
Sebi said that an interim order was passed by the regulator in March 2, 2023 against 31 entities, including promoters of SBL.

MSEI investors uncertain about their bet after Sebi expiry day rule
Broking firms and their founders who backed Metropolitan Stock Exchange of India (MSEI) are uncertain about the fate of their investments after the market regulator limited the weekly expiry of index options to two days, according to executives at two of the four companies. However, these investors have no immediate plan to divest their stakes in MSEI, the executives said on the condition of anonymity. Groww's parent Billionbrains Garage Ventures Pvt; Rainmatter Investments, backed by the Kamath brothers of Zerodha; Share India Securities Ltd; and Securocorp Securities India Pvt Ltd had purchased a combined 19.84% stake in the exchange for ₹238 crore on 24 December last year. The investments were made before Sebi's consultation paper of 27 March seeking public comments on its proposal to limit the weekly option expiry days. On 26 May, Sebi's circular–titled Final Settlement Day (Expiry Day) for Equity Derivatives Contracts–curtailed the expiries for hugely popular index options to Tuesday and Thursday every week. Read more: A loophole lets retail investors bid for some small-business IPOs The investors purchased the stake assuming that Sebi would let each exchange launch index options on one day of their choice every week, per a 1 October circular last year mandating a single expiry per exchange per week, among other things, the executives quoted earlier said. However, Sebi's circular last month mandating two days of expiry for multiple exchanges means that MSEI will be locked in a fight for market share with either BSE Ltd or the National Stock Exchange when Sebi approves a weekly expiry for the bourse. NSE had a three-month rolling market share of 80% in equity options (index plus stock options' premium turnover) as on 30 April, with BSE accounting for the rest, according to NSE data. 'The latest regulation on final expiry day will impact the MSEI plan to gain traction through the weekly expiry option, given the competition the bourse will face from the established exchanges as and when it gets regulatory approval for such a contract," said the first executive quoted earlier. 'This, in turn, will make the fate of our investment uncertain. But, we will not sell our stake because of this new rule as we typically invest for the long term. We will wait and see." 'We are staring at uncertainty over our investment in the exchange," said the second executive. 'When we invested, the idea was that we could have our tailored contracts traded on days there are no expiry from BSE or NSE to differentiate ourselves. But, if our contracts are forced to have expiry on the same day as any of the big exchanges, our derivative products will be a non-starter. It's kind of unfair for Sebi to leave us with little option." Queries emailed to the four investors and MSEI on their plans ahead went unanswered. A Sebi official, too, was unavailable for comment until press time. Renewal of recognition The problems of revival for MSEI come ahead of the exchange's renewal of its recognition by Sebi on 15 September this year. The exchange gets a renewal every year. Of the six Sebi-recognised exchanges, MSEI is the only one that hasn't received permanent recognition from the regulator. The ones permanently recognized by Sebi are NSE, BSE, NCDEX, MCX and the Calcutta Stock Exchange. Queries emailed to Sebi and MSEI on the reason for its annual renewal went unanswered. MSEI has Sebi permission to offer equity, equity derivatives, currency derivatives (including interest rate futures) and debt. Every exchange requires what's known as a segment approval from Sebi to offer products to investors and traders. Other shareholders of MSEI include 10 trading member banks, which held a combined 10.49% as of 31 March 2025. These include Union Bank of India, State Bank of India, Bank of Baroda, HDFC Bank and Axis Bank. Other well-known shareholders include commodity derivatives bourse MCX (5.53%) and co-founder of Enam Holdings Nemish Shah (1.62%). There was no trading in equity, equity derivatives and interest derivatives. Shares of MSEI in the unlisted market soared from around ₹2 apiece prior to the stake purchase by the four investors in December to as much as ₹14 in the following weeks before cooling to around ₹8-8.50 currently, according to Narinder Wadhwa, co-founder of SKI Capital Services Ltd.

HDB Financial Services IPO: Sebi gives nod for HDFC Bank unit's Rs 12,500 crore fundraise
HDFC Bank subsidiary HDB Financial Services Ltd has received regulatory approval from the Securities and Exchange Board of India (Sebi) for its much-anticipated Rs 12,500 crore initial public offering (IPO). The regulator also approved the IPOs of five other companies. The six IPOs together are slated to raise over Rs 20,000 crore. HDB Financial had earlier filed its draft red herring prospectus (DRHP), aiming to raise Rs 2,500 crore through a fresh issue and Rs 10,000 crore via offer for sale (OFS) by parent company HDFC Bank. This makes it one of the largest IPOs by a non-banking entity in the Indian capital market. HDFC Bank holds 94.36 per cent stake in HDB Financial Services, a non-banking financial company (NBFC). The company proposes to utilise the proceeds from the fresh issue to strengthen its Tier-I capital base. This will support future capital needs, including additional lending, to support business growth. Incorporated in 2007, HDB Financial Services provides secured and unsecured loans and has more than 1,680 branches across India. It closed the June quarter with a net worth of about Rs 13,300 crore. The decision to list HDB Financial Services follows the Reserve Bank of India (RBI)'s mandate in October 2022, requiring NBFCs in the upper layer to list on the stock exchanges. Sebi nod to 5 more IPOs Apart from HDB Financial, five more companies have received Sebi's go ahead to raise funds through IPOs. These include Vikram Solar, A-One Steels India, Shanti Gold International, Dorf-Ketal Chemicals, and Shreeji Shipping Global Ltd. These six firms, which filed their preliminary IPO papers with the markets regulator between October 2024 and January 25, 2025, obtained their observations during May 27-30, the Sebi update showed. Vikram Solar's IPO is a mix of fresh issue of shares up to Rs 1,500 crore and an OFS of up to 17.45 million shares by promoter and promoter group selling shareholders. Mumbai-based Dorf-Ketal Chemicals India has proposed to raise Rs 5,000 crore via IPO, which will be a combination of fresh issue of shares worth Rs 1,500 crore, and an OFS of Rs 3,500 crore worth shares by Menon Family Holdings, the promoter. It had filed draft red herring prospectus for its IPO on January 23 this year.
