NCLT allows govt to attach Gensol's accounts, lockers

New Delhi: A company court has allowed the central government to attach the bank accounts and lockers of Gensol Engineering Ltd, its 10 subsidiaries and several individuals after investigations by multiple agencies and regulators revealed systemic fraud.
'The funds, raised for specified purposes by the companies, were illicitly transferred to various related parties, in gross violation of the provisions of the Companies Act, 2013,' the National Company Law Tribunal (NCLT) said in its order on Wednesday. 'The pattern of illegal fund diversion, asset misstatement, and share price manipulation has caused irreparable harm to public shareholders, creditors, and other stakeholders.'
The order was based on the findings of probes conducted by the ministry of corporate affairs (MCA), Securities and Exchange Board of India (Sebi), and the Serious Fraud Investigation Office (SFIO). The MCA had moved the tribunal for 10 interim measures in the case. The NCLT took note of the government's submission that Gensol Engineering, along with other respondent companies and associated individuals, 'have committed grave violations of corporate governance norms'.
Queries emailed to Gensol, and its founders Anmol Singh Jaggi and Puneet Singh Jaggi on Wednesday remained unanswered at the time of publishing.
The tribunal took note of 'serious allegations of fraudulent conduct, including diversion of company funds by the promoters of Gensol Engineering and related entities' as well as allegations of violation of corporate governance norms, manipulation of financial statements and illegal alienation of company assets, according to the order.
'The investigation reports and regulatory findings from the ministry of corporate affairs, Sebi and SFIO prima facie support the petitioner's claims of systemic fraud involving substantial public interest,' NCLT said, granting the interim reliefs sought by the government. The tribunal will hear the matter next on 3 June.
One of the provisions of the Companies Act that the ministry has invoked is section 339, which allows holding certain persons like directors, managers or other officers, who are party to a fraud, to be personally responsible, without any limitation of liability, for all or any of the debts or other liabilities of the company.
The ministry had also sought a direction to the Reserve Bank of India (RBI) and the Indian Banks Association to freeze bank accounts and lockers owned by the respondents and attach the same on behalf of the government, which has been granted, showed the order.
The interim relief secured by the government includes restraining the respondent individuals and companies from mortgaging, alienating or creating a lien or third-party interest on their movable or immovable properties, lockers and securities.
The state-run Indian Renewable Energy Development Agency (Ireda) earlier this month filed an insolvency application against Gensol Engineering Ltd for a default of ₹ 510 crore. Ireda has also approached the Economic Offences Wing (EoW) of the Delhi Police.
The matter came to limelight after the market regulator Sebi on 15 April in an interim order barred Gensol's promoters—Anmol Singh Jaggi and Puneet Singh Jaggi—from trading in the securities market, and from holding any key managerial post in Gensol or any other listed company and a forensic audit was ordered.
Sebi's investigation found that the founders of the cleantech company had allegedly siphoned off loans from state-run lenders Power Finance Corp. (PFC) and Ireda for non-related and personal expenses.
PFC has declared its loan exposure to Gensol Engineering as fraud after its preliminary findings and has approached the EoW.
The lender has realized ₹ 44 crore by way of security encashment of fixed deposits and the trust and retention account (TRA), in which the loan was deposited, in the fourth quarter of FY25, taking the outstanding loan amount to ₹ 263 crore, PFC chairman and managing director Parminder Chopra said in a recent briefing.
She said that PFC will consider recovery options through the insolvency process if it falls short of recovery through other methods, while adding that all options, including recovering through the debt recovery tribunal (DRT), are on the table.

The move follows a demand notice issued to Choksi on May 15, warning of asset seizure if the penalty remained unpaid within 15 days. Choksi, a key accused in the ₹13,500 crore PNB scam was fined by Sebi in January 2022 for insider trading violations but has failed to comply. STORY CONTINUES BELOW THIS AD The demand notice came after Choksi failed to pay the fine imposed by the Securities and Exchange Board of India (Sebi) in January 2022 in a case of violation of insider trading rules in the shares of Gitanjali Gems Ltd. Choksi, the maternal uncle of Nirav Modi, is a key accused in the ₹14,000 crore Punjab National Bank fraud. Both fled India in early 2018 after the scam surfaced. While Modi has been jailed in the UK since his 2019 arrest, Choksi was detained in Belgium in April this year following an extradition request from India. According to Sebi, all banks, depositories (NSDL and CDSL), and mutual fund houses have been directed to block any debits from Choksi's accounts while permitting credits. The order also covers any lockers or other holdings in his name. Modi was arrested by the Scotland Yard Police in March 2019 and is currently in jail in that country. In an attachment notice dated June 4, Sebi said the pending dues of Rs 2.1 crore include the initial fine of Rs 1.5 crore and interest of Rs 60 lakh. To recover the dues, Sebi asked all the banks, depositories — CDSL and NSDL — and mutual funds not to allow any debit from the accounts of Choksi. However, credits have been permitted. Further, Sebi has directed the banks to attach all accounts, including lockers, held by the defaulter. STORY CONTINUES BELOW THIS AD Initiating the recovery proceedings, Sebi said there is sufficient reason to believe that Choksi may dispose of the amounts in the bank accounts, mutual fund folios and securities in the demat accounts held with the depositories and 'realisation of the amount due under the certificate would, in consequence, be delayed or obstructed'. In its order passed in January 2022, the regulator imposed a penalty of Rs 1.5 crore on Choksi and restrained him from the securities market for one year. Sebi had found that Choksi communicated unpublished price sensitive information to one Rakesh Girdharlal Gajera, who sold his entire shareholding of 5.75 per cent in Gitanjali Gems in December 2017 with the intention of avoiding loss ahead of any event which may lead to disclosure of fraudulent issuance of LoUs (letter of undertaking) to Gitanjali Group and magnitude in public domain. It was noted that fraudulent LoUs were issued on behalf of entities belonging to the Gitanjali Group, including GGL. 'Noticee no. 1 (Choksi) was found to have communicated UPSI (unpublished price sensitive information) to Noticee no. 2 (Gajera) without any underlying legal obligation or any legitimate purpose,' Sebi had said in its final order. Navi Mumbai: A 53-year-old woman from Kharghar lost her house and her retired father's savings to a cyber fraud where she was lured into investing in cryptocurrency with the promises of high lost around ₹1.03 crore, and the police have arrested a Mumbra resident in connection with the case. According to the police, the accused, Zuber Shamshad Khan, 34, came into contact with the victim, Dipali Patil, through a facebook advertisement in 2020 where he told her that she could earn a lot from cryptocurrency. Khan told her to download two mobile applications and guided her to invest in crypto tokens through those fraudulent apps, said the police. Patil, looking to make high profits, sold her house and even invested her father's savings and retirement benefits starting from October 3, 2020, to March 25, 2025. When she realised she had been duped, she asked for the money back but Khan returned only ₹3.51 lakh, and for returning the remaining amount, she was asked to pay up an additional ₹26.70 lakh, said the police. Police received a tip off that the fraudster was in Mumbra and arrested him on Wednesday. The police added, 'We have also recovered a mobile phone that has evidence of the chats the woman had with him.' Based on Patil's complaint, the police registered an FIR and booked the accused under sections 66(C) (punishment for identity theft) and 66(D) (punishment for cheating by impersonation) of the Information Technology Act, along with sections 319(2) (cheating by personation), 318(4) (cheating and dishonestly inducing the delivery of property) , 336(3) (liability under the BNS), and 3(5) (application of the BNS to offenses committed abroad) of the Bharatiya Nyaya Sanhita (BNS). In a similar case, a retired engineer from Nerul lost ₹2.2 crore to an online trading fraud where fraudsters posing as representatives of a reputed financial firm lured him into investing in the share market through the firms. A woman claiming to be a financial mentor even produced a SEBI registration certificate to assure him of the firm's credibility, said the police. He invested a large amount of money through a fraudulent app, based on tips received on WhatsApp groups. He realised he had been duped when he tried to withdraw his ₹15.6 crore profit but was asked for a platform fee of ₹2.2 crore, the police said. Based on the victim's complaint, Navi Mumbai cyber police registered a complaint on June 4 under various sections of the Information Technology Act, and the Bharatiya Nyaya Sanhita (BNS) and are trying to trace the fraudsters involved.

Mumbai (Maharashtra) [India], June 06, (ANI): Larsen & Toubro (L&T) has announced a Rs 500 crore ESG bond issuance deal, becoming the first Indian corporate to do so under the Securities and Exchange Board of India's (SEBI) newly introduced ESG and sustainability-linked bond framework. HSBC is acting as the sole lead arranger in this transaction. The issuance is compliant with SEBI's regulatory framework announced on Thursday (5 June), which is designed to promote transparency, accountability, and alignment with international ESG standards. The framework outlines key requirements for issuers, including the disclosure of sustainability objectives, mandatory external assessments such as Second-Party Opinions (SPOs), and post-issuance reporting. It also mandates clear Key Performance Indicators (KPIs) and targets to measure ESG outcomes, crucial steps in supporting India's Net-Zero and climate-resilient growth agenda.
