Marelli Initiates Voluntary U.S. Chapter 11 Proceedings to Strengthen Financial Position and Facilitate a Value-Maximizing Restructuring

TOKYO, June 11, 2025 /PRNewswire/ -- Marelli Holdings Co. Ltd. ("Marelli" or the "Company"), a global technology partner to the automotive industry, today announced that it has commenced voluntary chapter 11 cases in the United States Bankruptcy Court for the District of Delaware in order to comprehensively restructure its long‑term debt obligations. Approximately 80% of the Company's lenders have signed an agreement to support the restructuring (the "Restructuring Support Agreement"), which will deleverage Marelli's balance sheet and strengthen its liquidity position.
Throughout this process and moving forward, Marelli does not expect any operational impact from the chapter 11 process, and the Company will continue to work closely with its customers, suppliers, and partners to innovate and invest in its portfolio of advanced technologies that will differentiate the vehicles of the future and transform mobility. To support the Company during this process, Marelli has received a significant commitment for $1.1 billion in debtor-in-possession financing ("DIP Financing") from its lenders. This additional capital underscores lenders' continued support and confidence in the Company's underlying business and its long-term potential. Upon Court approval, the DIP Financing, coupled with cash generated from the Company's ongoing operations, is expected to provide sufficient liquidity to support the Company through the chapter 11 process. In addition to the DIP Financing, the Restructuring Support Agreement provides for a comprehensive deleveraging transaction through which the DIP Lenders will take ownership of the business upon emergence from chapter 11, subject to a 45-day overbid process.
Marelli filed a number of customary first day motions seeking Court approval to continue its operations throughout the chapter 11 process, including, among other things, payment of employee wages and benefits without interruption and continuation of programs that are integral to customer relationships. The Company anticipates receiving Court approval for these requests and intends to continue honoring its obligations to key stakeholders post‑filing, including by satisfying payment obligations to suppliers for goods and services provided in accordance with customary terms after the filing. The Company will be working with its suppliers regarding obligations which arose before the chapter 11 filing to reach agreements on payment terms.

Silver Airways bankruptcy: What can stranded travelers do? Can they get a refund?
It's the traveler's nightmare to be left stranded in an airport and have to scramble to quickly find new accommodations. Getting stranded because the entire airline shut down is a new one, though. Fort Lauderdale-based Silver Airways announced that as of Wednesday, June 11, all flight operations were ceased due to bankruptcy. The company asked ticket-holders not to come to the airport. "We regret to inform you that we are ceasing operations as of today, June 11, 2025," the airline posted on its social media pages. "In an attempt to restructure in bankruptcy, Silver entered into a transaction to sell its assets to another airline holding company, who unfortunately has determined to not continue Silver's flight operations." Silver Airways is a regional airline with a hub in Fort Lauderdale that serviced Key West, Pensacola, Tallahassee and Tampa (it ceased operations at Orlando International Airport in March). It flew about 52 daily flights between 16 destinations in Florida and the Bahamas, Puerto Rico and other Caribbean airports. So, what now? If you've been left hanging for your summer vacation or just need to get home, here are your options. Silver Airways is not refunding tickets. Instead, the airline said that "all credit card purchases should be refundable through your credit card company or your travel agency." Don't expect your money back any time soon. According to Robert W. Mann Jr., a former airline executive officer and current president of R. W. Mann and Co., an independent airline consultancy, tickets not purchased by credit card are still technically refundable, but those would-be passengers will have to get in line with other airline creditors. While you'll probably pay more buying tickets so close to the flight, American Airlines flies from Miami International Airport (MIA) to most of the destinations that Silver served nonstop from Fort Lauderdale, according to aviation analytics firm Cirium. JetBlue offers flights on most of Silver's routes from San Juan, as does Cape Air and Frontier Airlines. "We understand this is a frustrating situation for impacted customers," a JetBlue spokesperson said, according to the Points Guy website. "We are working to support those with codeshare and interline itineraries by offering alternate travel plans or refunds." Avianca, Azul, Copa Airlines, JetBlue and United Airlines have all placed their codes on select Silver flights in Florida and the Caribbean, the Points Guy said. Members of JetBlue's TrueBlue and United's MileagePlus loyalty programs could earn points on Silver flights. Silver Airways was attempting to restructure through Chapter 11 bankruptcy and had entered into a plan to sell assets to another airline holding company, but the potential buyer dropped out and stopped supporting operations or retaining employees, the company said. Silver filed for bankruptcy in December 2024 and put itself up for sale, but there were no bidders, the Miami Herald reported.
