Mumbai: Mumbai: Leading asset management firms, led by HDFC AMC , snapped up the two sets of non-convertible debentures (NCDs) issued by the Jubilant Bhartia Group to raise Rs 5,650 crore to part-fund its acquisition of a 40% stake in Hindustan Coca-Cola Holdings , the parent of Coca-Cola's largest bottling business in India. The bond offerings, made via two group entities, saw bids totalling Rs 10,610.84 crore, nearly 1.9 times the intended amount, according to people familiar with the matter, underscoring the appetite of mutual funds to buy into such papers.Jubilant Beverages Ltd, which targeted Rs 2,650 crore, received bids worth Rs 5,840 crore against a non-anchor book allocation of Rs 1,855 crore. The offer also included a Rs 795 crore tranche allocated for anchor investors. Jubilant Bevco, which launched a Rs 3,000 crore issue on Tuesday, attracted Rs 4,770.84 crore in bids. This included Rs 900 crore from anchor subscriptions and Rs 2,100 crore from the wider market.HDFC Mutual Fund took nearly 37% of the two fully convertible, rupee-denominated, listed, rated and redeemable NCDs. Other key investors included Nippon India Mutual Fund, Franklin Templeton, Aditya Birla Sun Life Mutual Fund, Axis Mutual Fund, Kotak Mutual Fund, Nomura Fixed Income Securities, ICICI Prudential MF and Bajaj Finance. Jubilant Beverages'the people said.Morgan Stanley was the lead arranger of the issue. Standard Chartered was the co-arranger for the Jubilant Beverage paper. Both bonds are structured as zero-coupon instruments with tenures of two years, 11 months and 27 days.'We are seeing mutual funds, especially hybrid and corporate bond funds, emerge as anchor investors in short-term papers, particularly in the three-year segment,' said Venkatakrishnan Srinivasan, founder and managing partner at Rockfort Fincap LLP. 'The spread over G-Secs remains attractive at around 80–85 basis points, which explains the strong appetite, compared to 10-year G-sec where the spread is approximately 40-45 basis points.' A surge in system liquidity since April has also boosted inflows into mutual funds, enabling them to deploy significant amounts in primary corporate bond issuances , where yields remain attractive, he said.'Though this is a fixed-rate bond, some investors paid a higher amount for the minimum allocation which meant a lower effective yield for them," said another person aware on condition of anonymity.Proceeds from the bonds will go toward financing Jubilant Bhartia Group's Rs 12,650 crore acquisition of Hindustan Coca-Cola Holdings (HCCB) alongside funds managed by Goldman Sachs Asset Management. The deal, first announced in December 2024, received clearance from the Competition Commission of India last month.Under the transaction structure, Jubilant Beverages will acquire equity shares in HCCB from Coca-Cola entities. Meanwhile, Jubilant Bevco and the investor consortium will subscribe to compulsorily convertible preference shares issued by the company. Coke will reduce its shareholding further once the company lists, scheduled 1.0-1.5 years later. The transaction marked the biggest acquisition by the promoters of the pizza-to-pharma conglomerate till date. The Bhartia family, which has exclusive franchise rights for Domino's Pizza, India's largest foods services brand, did not want to over-leverage. They are funding about Rs 5,000 crore themselves. The total acquisition financing includes Rs 5,650 crore in debt and quasi-equity from private capital providers, with the remainder coming via equity infusion from the Jubilant Bhartia holding company. The transaction pegs the enterprise value of Hindustan Coca-Cola Beverages at Rs 31,250 crore.

Thinking of withdrawing your PF? A surprise 30% tax may hit you

Are you tempted to withdraw your Provident Fund (PF) savings after quitting your job? Doing that without completing five years of continuous service could dent your savings, with up to 30 per cent of the amount going in taxes. Legal experts and tax professionals say that hasty PF withdrawals defeat the purpose of long-term retirement savings and have hefty tax implications. 'Withdrawing your PF before five years of continuous service is treated as a taxable event,' said Vishal Gehrana, partner designate at Karanjawala & Co. and advocate-on-record at the Supreme Court. 'Not only is the entire amount taxable as per your slab, but if you haven't submitted your PAN, TDS (tax deducted at source) is deducted at 30 per cent.' What exactly gets taxed? Both employee and employer contributions, and the interest earned on them, become taxable income under Section 192A of the Income-tax Act, 1961. The Employees' Provident Fund Organisation (EPFO) deducts TDS if the withdrawal is more than Rs 50,000, said Gehrana. Kunal Savani, partner at Cyril Amarchand Mangaldas, said: 'The employer's share along with interest becomes taxable as profits in lieu of salary. While the employee's own contribution may be tax-free, interest on it could still be taxable, especially if thresholds are crossed.' Are there exceptions? Yes. Tax is not applicable if the withdrawal is due to ill health, business closure, or reasons beyond the employee's control. In such cases, the law provides relief. Also, once an individual completes five years of continuous service or withdraws PF after retirement, the entire amount is tax-exempt under Section 10(12) of the Income-tax Act. Mistakes to avoid Withdrawing PF instead of transferring it when switching jobs Not maintaining five years of cumulative service Failing to submit PAN, leading to higher TDS Assuming Form 15G/H always prevents TDS (they work only if income is below the taxable limit) Treat PF as long-term asset 'Instead of withdrawing PF early, transferring the account to the new employer preserves service continuity and tax benefits,' said Gehrana. He recommended maintaining documents to support your case in the event of a tax notice. A recent X post by tax professional Sujit Bangar summed it up aptly: 'Withdrawing PF after resigning job? If you've not completed 5 years, the entire amount is taxable. 30 per cent TDS. Don't act in a hurry.' Transfer your PF account when changing jobs to maintain service continuity and qualifying for tax-free withdrawals after five years. Avoid full withdrawals unless absolutely necessary. Instead, opt for partial advances allowed for medical, housing, or education needs, which are typically not taxable. Time your withdrawal in a financial year when your total income is below the taxable limit to reduce or eliminate tax burden. Submit Form 15G or 15H, if eligible, to avoid TDS on withdrawals below the tax threshold.

Elon Musk's Starlink Gets Licence For Satcom Services In India: Report

Last Updated: Starlink has received the licence and it will be granted trial spectrum within 15-20 days of applying for it, news agency PTI has reported. Elon Musk-owned Starlink has received a licence for satellite communication (satcom) services in India, the news agency PTI has reported, citing sources. This makes Starlink the third company to secure this licence from the Department of Telecom (DoT), after Eutelsat's OneWeb and Reliance Jio. According to the report, DoT sources confirmed that Starlink has received the licence and stated that they will be granted trial spectrum within 15-20 days. The Global Mobile Personal Communication by Satellite (GMPCS) licence has been approved after the company fulfilled all security compliance requirements outlined in its letter of intent (LoI). Last month, the government had issued a letter of intent (LoI) to Starlink. Before launching its services, Starlink still needs approval from the Indian National Space Promotion and Authorisation Centre (IN-SPACe) and must be allocated spectrum by the government. Starlink, which had been vying for a India license for some time now, has signed pacts with Reliance Jio and Bharti Airtel, which together control more than 70 per cent of the country's telecom market, to bring the US satellite internet giant's services to India. Starlink, the satellite internet arm of Elon Musk-led SpaceX, is known for delivering high-speed, low-latency broadband through a vast network of low Earth orbit (LEO) satellites, operating just 550 km above the Earth. This is in contrast to traditional geostationary satellites, which orbit much farther out and generally offer slower, higher-latency connections. SpaceX has already deployed around 7,000 LEO satellites globally and aims to scale this up to over 40,000, enabling internet access even in the most remote and challenging terrains — from conflict zones to disaster-struck regions. With regulatory barriers being cleared, focus is now shifting to what Starlink will cost Indian users. According to reports, industry estimates suggest the monthly subscription fee could range from Rs 3,000 to Rs 7,000, depending on the plan and location. On top of that, users will have to buy a Starlink kit — which includes a satellite dish and Wi-Fi router — priced between Rs 20,000 and Rs 35,000. However, according to The Economic Times, Starlink is set to launch in India with a highly competitive initial promotional offer: unlimited data plans priced below $10 per month (roughly Rs 857). These are speculations so far and the exact price will be known once the company starts the services.
