Old Second boosts Chicago-area footprint in $197M Evergreen deal

Aurora, Illinois-based Old Second Bank will acquire Evergreen Bank in a $197 million deal set to create the second-largest community bank in the Chicago area, the banks said Tuesday.
Adding Oak Brook-based Evergreen will give Old Second an extra $1.45 billion in assets and boost its footprint with three more branches in Cook and DuPage counties. But the real differentiator may be the opportunity to expand into powersports lending, where Evergreen has built two brands with national reach.
The banks expect the deal to close in the third quarter of 2025.
The Evergreen deal marks Old Second's second expansion in the past six months. The Aurora-based bank announced in August it would buy five Chicago-area branches from Muncie, Indiana-based First Merchants Bank.
Investors in Evergreen's parent company, Bancorp Financial, will receive 2.5814 shares of Old Second common stock and $15.93 in cash for each Bancorp Financial share they own. Based on Old Second's $18.08 stock price at market close Monday, that comes out to roughly $197 million in a deal that is 75% stock and 25% cash, the banks said.
'We believe the combination will diversify our revenue streams, enhance our management depth and provide a continuing opportunity to drive long-term stockholder value,' Old Second CEO James Eccher said in a statement Tuesday. 'Most importantly, we believe it enhances our competitive position in Chicago and increases the financial flexibility to continue to build the best bank possible for our customers and communities."
In its release, Old Second indicated that Bancorp Financial Chair Darin Campbell would join the combined entity's management, but it did not specify in what role. Campbell is also CEO and president of Evergreen.
'I could not be more proud of the team, the bank we have built together, and the positive impact we've made in the western suburbs of Chicago and the neighborhoods surrounding our oldest branch in Evergreen Park,' Campbell said in a statement.
Campbell called out Evergreen's powersports lending divisions specifically – and Eccher echoed that, saying the deal allows Old Second to add 'meaningful consumer lending capabilities that we have long lacked.'
'We believe the combined income statement offers significantly less volatility and a stronger earnings profile in all rate environments,' Eccher said.
After the transaction closes, the combined entity is expected to count roughly $7.1 billion in assets, $6 billion in deposits and $5.2 billion in loans and have a 56-branch footprint.
The Chicago area has proven a fruitful draw for deals in recent times. Credit unions, in three successive years, have targeted some of the Windy City region's community banks. Michigan State University Federal Credit Union agreed in 2023 to buy McHenry Savings Bank. Lombard, Illinois-based Credit Union 1 agreed in 2022 to buy Gurnee-based NorthSide Community Bank. Iowa-based GreenState Credit Union dipped into the Chicago market twice in 2021 – first, agreeing to buy Oak Brook-based Oxford Bank & Trust, then later purchasing Midwest Community Bank and its subsidiary, Blueleaf Lending.
But Chicago can be a jumping-off point, too. Rosemont, Illinois-based Wintrust, which owns a network of 16 community banks, expanded into Michigan for the first time last year, acquiring Macatawa Bank in a deal worth $510.3 million.
And Chicago-area banks have stood to gain when competitors retreat from the market, as when First Merchants exited Illinois retail lending last year.
The First Merchants deal is hardly Old Second's first turn at expanding by acquisition. The bank agreed in 2021 to buy Lombard-based West Suburban Bank in a transaction worth roughly $297 million.

Hologic met adjusted EPS expectations with a modest revenue beat but revised its annual outlook due to the growing tariff impact from China and Costa Rica, funding cuts affecting the Africa business, and a soft capital equipment market. In contrast, Exact Sciences anticipates 'little to no tariff impact' due to all domestic operations, while BD expects $90 million in tariff expenses for fiscal 2025, mostly from China imports. That said, let's explore what might be driving Hologic's recent rally. On May 27, HOLX shares rose nearly 15% following a report from the Financial Times that the company turned down a non-binding offer from private equity (PE) firms TPG and Blackstone. The deal was valued at up to $16.7 billion, including debt. These firms, known for their solid history of healthcare investments, teamed up last year to explore a potential acquisition of Bausch + Lomb, which eventually did not happen. The proposed takeover bid of Hologic would have been one of the largest leveraged buyouts of the year, valuing the company's shares between $70 and $72 — roughly a 30% premium to the May 23 closing price of $54.28. The report also stated that there is a possibility the deal discussions might resume, according to people with knowledge of the matter. Hologic has attracted buyers' attention for a while now. Of late, the take-private activities by PE firms have seen a sharp increase, such as Sycamore Partners' $24 billion deal for Walgreens Boots Alliance, Thoma Bravo's $10.6 billion acquisition of Boeing's software unit, and 3G Capital's $10.5 billion deal for Skechers. Nonetheless, the high premium in the offer signals strong confidence in Hologic's growth potential. The company presented new data showing the significant clinical impact of the Breast Cancer Index ('BCI') test at the 2025 American Society of Clinical Oncology Annual Meeting held on June 2. The molecular, gene expression-based test from Hologic's subsidiary, Biotheranostics, has been a key growth driver in the molecular diagnostics business over the past few quarters. The latest data from the prospective, multi-center BCI Registry Study highlights how this genomic test plays a critical role in guiding extended endocrine therapy decisions for women with early-stage, hormone receptor-positive (HR+) breast cancer. With more than 2,800 patients involved, the study found that BCI testing led to a change in treatment recommendations for about four in 10 cases. Additionally, physicians' confidence in their treatment recommendations got a boost, while patients felt comfortable in their decisions, citing fewer concerns about cost, drug safety and preference related to extended endocrine therapy benefits. Hologic looks attractive from a valuation standpoint. Molecular Diagnostics assays are likely to continue to be the principal revenue-generating component in the Diagnostics division. As Hologic drives awareness and reimbursement in the highly unpenetrated U.S. vaginitis market, the BV CV/TV assay is poised to see a strong uptake. Aligning with its long-term revenue diversification strategy, the company's Breast Health service revenues are now larger and growing more steadily than the gantry business. The 2024 acquisition of Endomagnetics boosted the Interventional Breast portfolio with market-leading product lines and strong R&D capabilities for further portfolio expansion. The upcoming launch of innovations like the Envision Mammography Platform is likely to gain a favorable reception. In Surgical, Myosure's strong international growth points to the high demand for minimally invasive options for treating uterine polyps and fibroids. Hologic continues to expand this division both organically and through acquisitions such as Gynsesonics, leveraging its established sales channel. Further, the company is building capabilities to grow internationally on a consistent basis by going directly into more geographies and businesses. A consistently strong profitability has contributed to a fortress balance sheet over time, allowing Hologic to execute on both tuck-in M&A and share repurchases. Amid backlash, Tesla remained resilient in Texas
Even as Tesla deliveries plunged nationally this year amid Elon Musk's very visible (if short-lived) alliance with President Trump, there was at least one state where Tesla registrations were up: Texas. Why it matters: The registration data, obtained by Axios through public information requests, indicates loyalty to the brand in its home base, including Texas' large urban and suburban counties. The depth of conservatives' enthusiasm for Musk's automobiles now faces a major test amid the absolute meltdown last week between the Tesla CEO and the president. By the numbers: Texans registered 12,918 new Teslas in the first three months of 2025, a period when Musk, who contributed more than $250 million to a pro-Trump super PAC during the 2024 election campaign, was enmeshed in the Trump administration as the overseer of DOGE, the president's cost-cutting initiative. Over the same period in 2024, Texans registered 10,679 Teslas. That's a 21% increase year over year. The intrigue: The spike in Texas registrations came as Tesla was flailing elsewhere. Tesla's vehicle deliveries plunged 13% globally in the first quarter of 2025 (336,681 electric vehicles) compared with Q1 2024 (386,810). Tesla vehicles were torched at showrooms and the brand's reputation cratered. Zoom in: Tesla saw year-over-year improvements in its sales in some of the most populous Texas counties. In Travis County, new Tesla registrations grew from 1,369 in the first quarter of 2024 to 1,424 during the first quarter of 2025. In Harris County, they grew from 1,526 to 1,837 during the same period. Tesla registration grew from 1,316 to 1,546 in Collin County and from 990 to 1,146 in Dallas County. In Bexar County, registrations grew from 631 to 664. What they're saying:"It's homegrown pride," is how Matt Holm, president and founder of the Tesla Owners Club of Austin, explains the car company's resilience to Axios. "And regardless of all the drama going on these days, people can differentiate between the product and everything else going on, and it's just a great product." "Elon has absolutely and irreversibly blown up bridges to some potential customers," says Alexander Edwards, president of California-based research firm Strategic Vision, which has long surveyed the motivations of car buyers. "People who bought Teslas for environmental friendliness, that's pretty much gone," Edwards tells Axios. Yes, but: The company had been enjoying an increasingly positive reputation among more conservative consumers. Musk was viewed favorably by 80% of Texas Republicans polled by the Texas Politics Project in April — and unfavorably by 83% of Democrats. In what now feels like a political lifetime ago, Trump himself even promoted Teslas by promising to buy one in support of Musk earlier this year. "In some pockets, like Austin, you have that tech group that loves what Tesla has to offer, can do some mental gymnastics about Musk, and looks at Rivian and says that's not what I want or might be priced out," Edwards says. Between the lines:"Being in the state of Texas, you're naturally conditioned to think you're better than everyone else in the U.S. And when you buy a Tesla" — a status symbol — "that's what you're saying. It doesn't surprise me that there's an increase in sales" in Texas, Edwards says. Plus: Tesla's resilience in Texas could have practical reasons as well, Edwards says. Texas homes — as opposed to, say, apartments in cities on the East Coast — are more likely to have a garage to charge a car in, he adds. What's next: Musk said late last month that Tesla was experiencing a "major rebound in demand" — without providing specifics. But that was before things went absolutely haywire with Trump and Tesla stock took a bath last week.
