New Heights for M&A Insurance Claims Payouts, Aon Study Reveals

CHICAGO--(BUSINESS WIRE)-- Aon plc (NYSE: AON), a leading global professional services firm, today announced the latest edition of its Global Transaction Solutions Claims Study, informed by Aon's proprietary claims data and surveyed insurer data. The study reveals there has been a significant increase in claims activity around Representations and Warranties (R&W) insurance, also known as Warranty and Indemnity (W&I) insurance, with 2024 being the highest year on record for M&A insurance payouts.
Aon's North America claims team has helped facilitate over 100 paid claims for clients in the last three years, including 39 in 2024 alone, which recovered over $300m, with a median payment of $5.5m.
Activity in Europe, the Middle East and Africa (EMEA) continues to increase year-over-year, with claims notifications up by 26 percent in 2024 and the quantum of W&I claims payments up significantly, with recoveries in 2024 alone accounting for more than 35 percent of all paid claims for Aon clients in the region to date. The study analyzes claims severity and payment trends in EMEA against the wider backdrop of regional M&A deal activity, with a spotlight on key jurisdictions and success stories.
In the Asia Pacific (APAC) region, a number of key trends have emerged including an increasing variety of categories of W&I breaches being claimed in Asia, including an increasing proportion of regulatory, litigation-related and disclosure-related claims, a high incidence of disclosure-related breaches in Australia and New Zealand (ANZ) representing almost 30 percent of W&I claims, as well as a consistent relatively high frequency of claims in smaller transactions particularly in ANZ. Asia has also seen a larger number of W&I and tax liability policy claims coming out of India-based risks in 2024 (making up more than 30 percent of all Asia claims), with tax risks relating to both cross-border treaty matters as well as fully domestic Indian tax risks.
Drivers of R&W and W&I claims
In North America, R&W claims were driven by alleged breaches of warranties relating to compliance with laws (20 percent), followed by tax (17 percent) and material contracts (13 percent).
In EMEA, breach of tax warranties (26 percent) represented the top driver by frequency for W&I claims, but the biggest drivers of paid claims were breaches of warranties relating to financial statements (27 percent), compliance with laws (13.2 percent) and material contracts (11 percent).
In APAC, the top W&I claims drivers were breaches of warranties relating to material contracts (19 percent) and legal compliance, tax and license permits, all at 12.5 percent of claims.
Cross-industry comparisons
Aon's Global Transaction Solutions Claims Study analyzes industry sectors in North America to draw comparisons between deals, claims and payments and the issues driving loss. Despite the different risk profiles between sectors, there is a remarkably even distribution across the identified industries for claim frequency and severity when compared to the percentage of deals they comprise in the overall deal pipeline.
Dealmakers can apply the sector insights gathered to inform their approach for subsequent M&A activity in that industry, while insurers may be comforted that there is no one 'high risk' industry for R&W breaches.

Other key findings from the report include:
Aon has been involved in over 1,600 notified R&W and W&I claims, helping its clients to secure over $1.75bn in payments globally.
More than $500m has been paid to Aon clients on notices submitted more than 12 months post-close of the transaction.
To the end of 2024, the Aon claims team has worked with insurers to recover almost $200m in paid claims for Aon's EMEA clients.
A steady rise in the rate of notifications across Asia shows insureds becoming more aware of policy benefits and the importance of engaging with their broker at the inception of the claim.

S&P said none of the 91 banks it examined were projected to face an annual loss in its stress test. The uncertainty over how the US will implement tariffs on trading partners has investors asking how big the hit will be for Europe. Yet the region's lenders, often seen as a proxy for the broader economy, face the latest shock with comparatively low levels of bad loans and profits that have been bolstered by higher interest rates. Bloomberg reported last month that a biennial regulatory stress test run by the European Central Bank and the European Banking Authority is on track to deliver a lesser hit to banks' capital ratios than the previous one. S&P's test included three hypothetical scenarios for how an escalation of trade tensions could play out. In the most severe, the median hit to banks' profit stood at 29%, the ratings company said in a report to be published on Tuesday. S&P said the five banks stood out because they had a combination of more exposure to sectors for which it applied higher loss rates, larger loan books compared to total assets, lower expected profitability and higher economic risk in the countries where they operate. 'We believe our stress test findings support our assessment that European banks have improved their resilience to credit risks substantially,' S&P analysts including Nicolas Charnay in Paris, wrote. 'They also underpin our expectation that upcoming regulatory stress tests conducted by authorities will likely reach similar conclusions.' The EBA and ECB are scheduled to publish results of their own examination at the beginning of August. Watchdogs draw on the results to determine how much capital banks should hold as a safety cushion, which in turn influences the amount of money they have available for investor payouts. U.S. Oil Producers Rushed to Hedge… Just in Time

U.S. oil producers flocked to hedge higher prices for their output for the rest of the year and early into 2026 as international crude oil prices surged earlier this month. Early on June 13 local time, Israel attacked Iranian nuclear facilities and military leadership in coordinated strikes that sent oil prices surging amid concerns that an escalating conflict could disrupt oil flows from the Middle East. On the night of June 12 and the following morning, Texas-based Aegis Hedging Solutions – a company with a platform for oil producers' hedging – registered its highest-ever number of hedge trades, Aegis Hedging's president Matt Marshall told Bloomberg. U.S. shale producers, who were under-hedged going into this spring, saw a major opportunity to lock in higher prices for the next few months as WTI crude prices surged out of the high $50s - low $60s per barrel price range and hit the $75 mark last week. Oil prices had lingered into the low $60s for the three months between early April and early June, as the U.S. tariff blitz and the OPEC+ production hikes weighed on market sentiment with fears of of March, a survey by Standard Chartered of 40 independent U.S. oil and gas companies revealed they had little protection, with a 2025 oil hedge ratio of just 21% for their combined 5.03 million barrels per day (bpd) of production and a 2026 hedge ratio of just 4%. To compare, the U.S. shale industry entered 2020 with an oil hedge ratio of 51.7%, which provided significant support when oil prices collapsed during the pandemic. As of the end of 2024, independent North American oil and gas producers had more than 80% of their first-half 2025 oil production unhedged, leaving them exposed as OPEC+ supply hikes and concerns about a global recession weighed on the market, data from Evaluate Energy showed in April. Hedging activity, however, spiked on June 12-13 to a record high on the Aegis Hedging platform as producers rushed to lock in higher prices in the short term amid the geopolitics-driven jump in WTI prices. Such war premium-related spikes in oil prices tend to lift the front of the futures curve more than contracts further out in time, unlike in price jumps related to fundamentals. In the case with the Middle East conflict, the hedging strategy was geared more toward the short term, Aegis Hedging says. 'In this case it was probably a six-month effect,' Aegis Hedging's Marshall told Reuters. 'Producers recognized that this could be a fleeting issue and so they saw a price that was above their budget for the first time in a few months, and instead of doing a structure that would give them a floor which is below market, they opted to be aggressive and lock in,' Marshall added. U.S. oil and gas executives polled in the Dallas Fed Energy Survey in Q1 indicated that their companies need an average $65 per barrel to profitably drill a new well. Oil companies that hedged production probably did so just in time. The tentative ceasefire between Iran and Israel, which was announced by U.S. President Donald Trump as "complete and total," has deflated the geopolitical risk premium and brought WTI oil back to $65 per barrel, roughly the level where it traded at before the Israeli strike on Iran.
