Therma Bright Reviews Manufacturing Strategy in Light of US Tariff Changes
Toronto, Ontario--(Newsfile Corp. - April 16, 2025) - Therma Bright Inc. (TSXV: THRM) (OTCQB: TBRIF) (FSE: JNX) ("Therma" or the "Company"), a developer and investment partner specializing in advanced diagnostic and medical device technologies, is pleased to provide an update to address the potential impact of recent and evolving US tariff policies on our current manufacturing operations of Venowave in China, which serves the US market.
The Company is actively reviewing the implications of recent tariff changes imposed by the US on goods manufactured in foreign countries, particularly China. These tariffs have the potential to significantly increase the cost of our products sold in the US market. In response, Therma has initiated a comprehensive review of all available manufacturing options to ensure the long-term competitiveness and stability of our supply chain.
Therma is reviewing various manufacturing options which includes a thorough analysis of onshoring and establishing manufacturing capabilities within North America (Canada, USA, or Mexico).
The Company is also considering a hybrid approach; combining manufacturing of Venowave or component parts in China with onshoring in North America. In the case of continued full manufacturing of Venowave in China the option will be evaluated in conjunction with strategies to mitigate tariff costs, including potential absorption of some or all tariff expenses if financially feasible in the current dynamic environment.
The Company's decision-making process will extend beyond pure cost considerations and will encompass critical factors such as:
Supply chain resilience: assessing the stability and reliability of different manufacturing locations and potential risks.
Lead Times: evaluating the impact on production and delivery timelines.
Quality Control: ensuring consistent product quality across different manufacturing environments.
Intellectual Property Protection: considering the risks associated with different manufacturing locations.
Logistics and Transportation: analysing the efficiency and cost of moving goods from various manufacturing sites to the US market.
Market Access and Geopolitical Stability: evaluating the long-term implications of manufacturing locations on market access and geopolitical risks.
Therma Bright recognizes that the current tariff landscape is subject to change. Our analysis will consider various potential scenarios and their impact on our business.
It is important to emphasize that no final decision regarding our future manufacturing strategy has been made at this time. The Company is committed to keeping our shareholders informed. We will provide a further update once our comprehensive review is complete and a definitive course of action has been determined. We appreciate our shareholders' understanding as we navigate this evolving situation and work to ensure the long-term success of the Company.
Therma Bright would also like to announce that it continues to work with national distributors to expand the market presence for Venowave with further updates in the near future.

Iocaste Ventures and TenX Announce Brokered Private Placement of up to C$20 Million
Calgary, Alberta--(Newsfile Corp. - June 3, 2025) - Iocaste Ventures Inc. (TSXV: ICY.P) ("Iocaste") and TenX Protocols Inc. (formerly, Layer X Inc.) ("TenX"), today announce that further to their press release dated March 25, 2025, TenX has entered into an engagement agreement with Canaccord Genuity Corp. ("Canaccord") pursuant to which Canaccord and a syndicate of agents, including Sightline Wealth Management LP, Ventum Financial Corp., INFOR Financial Inc. and Richardson Wealth Limited (collectively, the "Agents") will undertake a brokered private placement of up to 26,666,666 subscription receipts of TenX (each, a "Subscription Receipt"), on a commercially reasonable efforts basis, at a price of C$0.75 per Subscription Receipt for gross proceeds of up to C$20,000,000 (the "Offering"). TenX has also agreed to grant the Agents an option (the "Agents' Option"), which will allow the Agents to offer an additional 15% of the Subscription Receipts under the Offering. The Agents' Option may be exercised in whole or in part at any time up to two days prior to the closing of the Offering. As set out in the press release of March 25, 2025, the Offering will be conducted in connection with the proposed reverse take-over of Iocaste by TenX (the "Transaction"). The Transaction will be an arm's length "Qualifying Transaction" for Iocaste, as such term is defined in Policy 2.4 - Capital Pool Companies (the "CPC Policy") of the TSX Venture Exchange (the "TSXV"). A comprehensive news release will be issued by TenX and Iocaste upon the entering into of a definitive agreement in respect of the Transaction, which will set out the terms of the Transaction and include information about Iocaste upon closing of the Transaction (the "Resulting Issuer"). Each Subscription Receipt will automatically be converted, immediately before the completion of the Transaction into a unit of TenX (each, a "Unit") without further payment or action on the part of the holder. Each Unit will consist of one common share (each, a "Common Share") of TenX and one-half of one (1/2) common share purchase warrant of TenX (each whole warrant, a "Warrant"). Each such Warrant will be exercisable into one Common Share at an exercise price of C$1.15 per Common Share. Immediately after conversion of the Subscription Receipts: (a) each Common Share issued pursuant to the conversion of the Subscription Receipts will automatically be exchanged pursuant to the terms of the Transaction into such number of common shares of the Resulting Issuer (each, a "Resulting Issuer Share") as is equal to the exchange ratio applied to the Common Shares pursuant to the Transaction (the "Exchange Ratio"); and (b) each Warrant issued pursuant to the conversion of the Subscription Receipts will be automatically exchanged pursuant to the terms of the Transaction into such number of common share purchase warrants of the Resulting Issuer (each, a "Resulting Issuer Warrant") based on the Exchange Ratio. Each Resulting Issuer Warrant will be exercisable into one Resulting Issuer Share at an exercise price adjusted based on the Exchange Ratio for a period of 24 months from the satisfaction of the Escrow Release Conditions (as defined below). The gross proceeds of the Offering less 50% of the cash commission payable to the Agents and certain reasonable costs and expenses of the Agents will be held in escrow and, upon the satisfaction or waiver of certain conditions (the "Escrow Release Conditions"), including conditions to the closing of the Transaction, the net proceeds will be released to TenX and the remaining cash commission payable to the Agents will be released to the Agents. The net proceeds of the Offering will be used for working capital and general corporate purposes. In the event that the Escrow Release Conditions are not satisfied within 120 days following the closing of the Offering (the "Outside Date"), and subject to agreement by the Agents and TenX to extend the Outside Date, TenX is required to return to holders of Subscription Receipts the proceeds of the Offering and the Subscription Receipts will be cancelled. TenX has agreed to pay the Agents a cash commission equal to 7.0% of the aggregate gross proceeds of the Offering (including any proceeds derived from the exercise of the Agents' Option), other than in respect of proceeds raised from purchasers on a president's list (the "President's List") in respect of which the cash commission payable to the Agents will be reduced to a minimum of 3.0% of the gross proceeds of such sales. In addition, TenX will issue to the Agents such number of compensation warrants (each, a "Compensation Warrant") as is equal to 7.0% of the aggregate number of Subscription Receipts sold under the Offering (including on any exercise of the Agents' Option), other than in respect of Subscription Receipts sold to purchasers on the President's List, in respect of which the Agents shall receive Compensation Warrants equal to a minimum of 3.0% of such aggregate sales. Each Compensation Warrant will ultimately entitle the Agents to purchase one Resulting Issuer Share at a price of at C$0.75, as adjusted to reflect the Exchange Ratio, for a period of 24 months following the date of the satisfaction of the Escrow Release Conditions. The closing of the Offering is expected to take place on or about July 3, 2025. TenX also expects to complete a non-brokered private placement of Subscription Receipts for additional gross proceeds of up to C$10,000,000 (the "Concurrent Offering") concurrently with the Offering, pursuant to which purchasers will satisfy the purchase price for the subscription receipts through payment in-kind, subject to applicable laws. No Compensation Warrants or cash commission shall be payable in connection with purchasers under the Concurrent Offering. The Subscription Receipts will be offered by way of private placement pursuant to exemptions from prospectus requirements to residents in all provinces of Canada and such other jurisdictions as may be agreed to by TenX and the Agents. Subject to applicable laws and the provisions of the agency agreement to be entered into among TenX and the Agents with respect to the Offering, the Agents may offer the Subscription Receipts outside of Canada, including in the United States, by way of private placement pursuant to and in compliance with applicable securities laws. Travere Therapeutics to Present New FILSPARI® (sparsentan) Data at the 62nd ERA Congress
Data from SPARTACUS and PROTECT OLE to show significant proteinuria reduction when replacing RASi with FILSPARI and when FILSPARI is used in combination with SGLT2i New mechanistic data to show FILSPARI protects against IgA deposition in the kidney SAN DIEGO, June 03, 2025--(BUSINESS WIRE)--Travere Therapeutics, Inc., (Nasdaq: TVTX) today announced that the Company will present seven abstracts at the upcoming European Renal Association (ERA) Congress in Vienna, Austria, June 4-7. Presentations will include new data on the use of FILSPARI in IgA nephropathy (IgAN) from the Phase 2 SPARTACUS Study which demonstrated that FILSPARI provided clinically meaningful benefits in adults with IgAN who replaced their renin-angiotensin system inhibitor (RASi) with FILSPARI while receiving stable sodium-glucose cotransporter-2 inhibitor (SGLT2i) therapy. A presentation on results from the open label extension (OLE) of the Phase 3 PROTECT Study will show that patients previously treated with maximum labeled irbesartan experienced significant proteinuria reduction after switching to FILSPARI in the study. In a preclinical model of IgAN, FILSPARI protected from mesangial deposition of IgA, suggesting a potential role of endothelin-1 and angiotensin II as modulators of disease activity in IgAN. Data from the gddY mouse model of IgAN will offer new insight into the pathogenesis of IgAN as a tissue-specific autoimmune disease. In focal segmental glomerulosclerosis (FSGS), the Company will share a data analysis from the Phase 3 DUPLEX Study showing that partial and complete proteinuria remission were achieved earlier and more frequently with FILSPARI than irbesartan. The Company will also present preclinical data in an animal model of immune-mediated FSGS showing that optimized dual endothelin and angiotensin blockade with FILSPARI helps protect the integrity of the glomerular filtration barrier, reducing glomerular permeability and lowering albuminuria. "The breadth of data we're presenting underscores our confidence in the role FILSPARI can serve as foundational therapy for rare kidney diseases," said Jula Inrig, M.D., chief medical officer of Travere Therapeutics. "These findings provide further evidence that FILSPARI can decrease the risk of IgAN disease progression. We are deeply committed to advancing research and delivering innovative therapies that can make a meaningful difference for people living with IgAN and FSGS." The deposits of IgA cause a breakdown of the normal filtering mechanisms in the kidney, leading to blood in the urine (hematuria), protein in the urine (proteinuria) and a progressive loss of kidney function. Other symptoms of IgAN may include swelling (edema) and high blood pressure. IgAN is the most common type of primary glomerulonephritis worldwide and a leading cause of kidney failure due to glomerular disease. IgAN is estimated to affect up to 150,000 people in the U.S. and is one of the most common glomerular diseases in Europe and Japan. About Focal Segmental Glomerulosclerosis Focal segmental glomerulosclerosis (FSGS) is a rare proteinuric kidney disorder in both children and adults that is estimated to affect more than 40,000 patients in the U.S. with similar prevalence in Europe. The disorder is defined by progressive scarring of the kidney and often leads to kidney failure. FSGS is characterized by proteinuria, where protein leaks into the urine due to a breakdown of the normal filtration mechanism in the kidney. Once in the urine, protein is considered to be toxic to other parts of the kidney, especially the tubules, and is believed to contribute to further disease progression. Other common symptoms include swelling in parts of the body, known as edema, as well as low blood albumin levels, abnormal lipid profiles and hypertension. Sparsentan is not approved for use in FSGS. There is currently no approved pharmacologic indicated for the treatment of FSGS. About Travere Therapeutics At Travere Therapeutics, we are in rare for life. We are a biopharmaceutical company that comes together every day to help patients, families and caregivers of all backgrounds as they navigate life with a rare disease. On this path, we know the need for treatment options is urgent – that is why our global team works with the rare disease community to identify, develop and deliver life-changing therapies. In pursuit of this mission, we continuously seek to understand the diverse perspectives of rare patients and to courageously forge new paths to make a difference in their lives and provide hope – today and tomorrow. For more information, visit FILSPARI® (sparsentan) U.S. Indication FILSPARI (sparsentan) is indicated to slow kidney function decline in adults with primary immunoglobulin A nephropathy (IgAN) who are at risk for disease progression. IMPORTANT SAFETY INFORMATION BOXED WARNING: HEPATOTOXICITY AND EMBRYO-FETAL TOXICITY Because of the risks of hepatotoxicity and birth defects, FILSPARI is available only through a restricted program called the FILSPARI REMS. Under the FILSPARI REMS, prescribers, patients and pharmacies must enroll in the program. Hepatotoxicity Some Endothelin Receptor Antagonists (ERAs) have caused elevations of aminotransferases, hepatotoxicity, and liver failure. In clinical studies, elevations in aminotransferases (ALT or AST) of at least 3-times the Upper Limit of Normal (ULN) have been observed in up to 3.5% of FILSPARI-treated patients, including cases confirmed with rechallenge. Measure transaminases and bilirubin before initiating treatment and monthly for the first 12 months, and then every 3 months during treatment. Interrupt treatment and closely monitor patients who develop aminotransferase elevations more than 3x ULN. FILSPARI should generally be avoided in patients with elevated aminotransferases (>3x ULN) at baseline because monitoring for hepatotoxicity may be more difficult and these patients may be at increased risk for serious hepatotoxicity. Embryo-Fetal Toxicity FILSPARI can cause major birth defects if used by pregnant patients based on animal data. Therefore, pregnancy testing is required before the initiation of treatment, during treatment and one month after discontinuation of treatment with FILSPARI. Patients who can become pregnant must use effective contraception before the initiation of treatment, during treatment, and for one month after discontinuation of treatment with FILSPARI. Contraindications FILSPARI is contraindicated in patients who are pregnant. Do not coadminister FILSPARI with angiotensin receptor blockers (ARBs), ERAs, or aliskiren. Warnings and Precautions Hepatotoxicity: Elevations in ALT or AST of at least 3-fold ULN have been observed in up to 3.5% of FILSPARI-treated patients, including cases confirmed with rechallenge. While no concurrent elevations in bilirubin >2-times ULN or cases of liver failure were observed in FILSPARI-treated patients, some ERAs have caused elevations of aminotransferases, hepatotoxicity, and liver failure. To reduce the risk of potential serious hepatotoxicity, measure serum aminotransferase levels and total bilirubin prior to initiation of treatment and monthly for the first 12 months, then every 3 months during treatment. Advise patients with symptoms suggesting hepatotoxicity (nausea, vomiting, right upper quadrant pain, fatigue, anorexia, jaundice, dark urine, fever, or itching) to immediately stop treatment with FILSPARI and seek medical attention. If aminotransferase levels are abnormal at any time during treatment, interrupt FILSPARI and monitor as recommended. Consider re-initiation of FILSPARI only when hepatic enzyme levels and bilirubin return to pretreatment values and only in patients who have not experienced clinical symptoms of hepatotoxicity. Avoid initiation of FILSPARI in patients with elevated aminotransferases (>3x ULN) prior to drug initiation because monitoring hepatotoxicity in these patients may be more difficult and these patients may be at increased risk for serious hepatotoxicity. Embryo-Fetal Toxicity: FILSPARI can cause fetal harm when administered to a pregnant patient and is contraindicated during pregnancy. Advise patients who can become pregnant of the potential risk to a fetus. Obtain a pregnancy test prior to initiation of treatment with FILSPARI, monthly during treatment, and one month after discontinuation of treatment. Advise patients who can become pregnant to use effective contraception prior to initiation of treatment, during treatment, and for one month after discontinuation of treatment with FILSPARI. FILSPARI REMS: Due to the risk of hepatotoxicity and embryo-fetal toxicity, FILSPARI is available only through a restricted program called the FILSPARI REMS. Prescribers, patients, and pharmacies must be enrolled in the REMS program and comply with all requirements ( Hypotension: Hypotension has been observed in patients treated with ARBs and ERAs. There was a greater incidence of hypotension-associated adverse events, some serious, including dizziness, in patients treated with FILSPARI compared to irbesartan. In patients at risk for hypotension, consider eliminating or adjusting other antihypertensive medications and maintaining appropriate volume status. If hypotension develops, despite elimination or reduction of other antihypertensive medications, consider a dose reduction or dose interruption of FILSPARI. A transient hypotensive response is not a contraindication to further dosing of FILSPARI, which can be given once blood pressure has stabilized. Acute Kidney Injury: Monitor kidney function periodically. Drugs that inhibit the renin-angiotensin system (RAS) can cause kidney injury. Patients whose kidney function may depend in part on the activity of the RAS (e.g., patients with renal artery stenosis, chronic kidney disease, severe congestive heart failure, or volume depletion) may be at particular risk of developing acute kidney injury on FILSPARI. Consider withholding or discontinuing therapy in patients who develop a clinically significant decrease in kidney function while on FILSPARI. Hyperkalemia: Monitor serum potassium periodically and treat appropriately. Patients with advanced kidney disease, taking concomitant potassium-increasing drugs (e.g., potassium supplements, potassium-sparing diuretics), or using potassium-containing salt substitutes are at increased risk for developing hyperkalemia. Dosage reduction or discontinuation of FILSPARI may be required. Fluid Retention: Fluid retention may occur with ERAs, and has been observed in clinical studies with FILSPARI. FILSPARI has not been evaluated in patients with heart failure. If clinically significant fluid retention develops, evaluate the patient to determine the cause and the potential need to initiate or modify the dose of diuretic treatment then consider modifying the dose of FILSPARI. Most common adverse reactions The most common adverse reactions (≥5%) are hyperkalemia, hypotension (including orthostatic hypotension), peripheral edema, dizziness, anemia, and acute kidney injury. Drug interactions Renin-Angiotensin System (RAS) Inhibitors and ERAs: Do not coadminister FILSPARI with ARBs, ERAs, or aliskiren due to increased risks of hypotension, syncope, hyperkalemia, and changes in renal function (including acute renal failure). Strong and Moderate CYP3A Inhibitors: Avoid concomitant use of FILSPARI with strong CYP3A inhibitors. If a strong CYP3A inhibitor cannot be avoided, interrupt FILSPARI treatment. When resuming treatment with FILSPARI, consider dose titration. Monitor blood pressure, serum potassium, edema, and kidney function regularly when used concomitantly with moderate CYP3A inhibitors. Concomitant use with a strong CYP3A inhibitor increases sparsentan exposure which may increase the risk of FILSPARI adverse reactions. Strong CYP3A Inducers: Avoid concomitant use with a strong CYP3A inducer. Concomitant use with a strong CYP3A inducer decreases sparsentan exposure which may reduce FILSPARI efficacy. Antacids and Acid Reducing Agents: Administer FILSPARI 2 hours before or after administration of antacids. Avoid concomitant use of acid reducing agents (histamine H2 receptor antagonist and PPI proton pump inhibitor) with FILSPARI. Sparsentan exhibits pH-dependent solubility. Antacids or acid reducing agents may decrease sparsentan exposure which may reduce FILSPARI efficacy. Non-Steroidal Anti-Inflammatory Agents (NSAIDs), Including Selective Cyclooxygenase-2 (COX-2) Inhibitors: Monitor for signs of worsening renal function with concomitant use with NSAIDs (including selective COX-2 inhibitors). In patients with volume depletion (including those on diuretic therapy) or with impaired kidney function, concomitant use of NSAIDs (including selective COX-2 inhibitors) with drugs that antagonize the angiotensin II receptor may result in deterioration of kidney function, including possible kidney failure. CYP2B6, 2C9, and 2C19 Substrates: Monitor for efficacy of concurrently administered CYP2B6, 2C9, and 2C19 substrates and consider dosage adjustment in accordance with the Prescribing Information. Sparsentan decreases exposure of these substrates, which may reduce efficacy related to these substrates. P-gp and BCRP Substrates: Avoid concomitant use of sensitive substrates of P-gp and BCRP with FILSPARI. Sparsentan may increase exposure of these transporter substrates, which may increase the risk of adverse reactions related to these substrates. Agents Increasing Serum Potassium: Monitor serum potassium frequently in patients treated with FILSPARI and other agents that increase serum potassium. Concomitant use of FILSPARI with potassium-sparing diuretics, potassium supplements, potassium-containing salt substitutes, or other drugs that raise serum potassium levels may result in hyperkalemia. Please see the full Prescribing Information, including BOXED WARNING, for additional Important Safety Information.
