MONTREAL — TOMAGOLD CORPORATION (TSXV: LOT) (' TomaGold ' or the ' Company ') is pleased to announce that it has entered into a binding term sheet with Northern Superior Resources Inc. (TSXV: SUP; OTCQX: NSUPF; GR: D9M1) (' Northern Superior ') for the sale of its wholly-owned Hazeur, Monster Lake East and Monster Lake West properties (the ' Properties '), located in the Chibougamau area, in the province of Quebec.

In consideration for the acquisition of the Properties, Northern Superior or any wholly-owned subsidiary of Northern Superior (the ' Purchaser ') will provide the following consideration to TomaGold:

Closing Payment: A cash payment of $1,000,000 payable to TomaGold on the closing date of the acquisition;
Royalty: TomaGold shall retain a net smelter returns royalty of 2% (the ' NSR ') on all mineral production from the Properties. The Purchaser, or any successor entity that holds an interest in the Properties, shall have the right to repurchase one half (1.0%) of the NSR at any time for a one-time cash payment of $1,000,000; and
Contingent Payment Upon Change of Control: An additional payment of $1,000,000, payable in cash or shares, at the election of the Purchaser (the ' Contingent Payment '), shall be payable to TomaGold in the event that either:

the Purchaser (or any successor entity, including any entity resulting from a merger, takeover bid, amalgamation, plan of arrangement or similar transaction) is acquired, directly or indirectly, by a third party with a minimum deemed market capitalization of $2 billion at the time of closing of such acquisition; or
Northern Superior or the Purchaser (or any entity or person holding the Properties on behalf of Northern Superior) sells, transfers, assigns (including the entering into of an option agreement) the Properties, or completes a similar transaction involving the Properties, to a third party with a minimum deemed market capitalization of $2 billion.

(TSXV: LUM) (OTCQB: LMGDF) (the "Company" or "Lumina") is pleased to announce that, the holders ("Shareholders") of common shares of the Company ("Shares"), holders of options of the Company ("Optionholders") and holders of restricted share units of the Company (the "RSU Holders" and together with the Shareholders and Optionholders, the "Securityholders") have voted in favour of the previously announced acquisition of the Company with CMOC Singapore Pte. Ltd., a Singapore entity and a subsidiary of CMOC Group Limited (collectively "CMOC") pursuant to a plan of arrangement under the Business Corporations Act (British Columbia) (the "Arrangement") at the Company's special meeting of Securityholders (the "Meeting") held earlier today. The completion of the Arrangement required the approval of: (i) at least two thirds (66 2/3%) of the votes cast by Shareholders present in person or by proxy and entitled to vote at the Meeting; (ii) at least two thirds (66 2/3%) of the votes cast by the Securityholders, voting as a single class, present in person or represented by proxy and entitled to vote at the Meeting; and (iii) a simple majority of the votes cast at the Meeting by Shareholders in person or represented by proxy and entitled to vote at the Meeting, excluding votes cast in respect of Shares beneficially owned or over which control or direction is exercised by any persons whose votes must be excluded in accordance with Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The Artemis EF-12 Escape took to the waters off Victoria's Inner Harbour Monday, and could one day be the future of passenger-only ferry service in B.C. It's fully electric and equipped with hydrofoils, or wings, underneath its hull, lifting the vessel out of the water while at cruising speed. The hydrofoils dramatically reduce its drag while travelling through the water, allowing it to reach speeds of up to 30 knots. That's double the pace of a conventional ferry, all while using half the energy. FRS Clipper has partnered with Victoria-based consulting group Greenline Ferries in bringing Artemis Technologies and the Escape to B.C. The group is looking at the feasibility of using this technology in the Pacific Northwest. 'This could be a game changer for the number of routes that we can supply to British Columbians,' said Mark Collins, CEO of FRS Clipper. Collins said the technology is sustainable and cost-effective, with the price of a vessel being comparable to the cost of a conventional ferry, although it's operating costs are much less. FRS Clipper is considering an expansion between Bowen Island, Gibsons and downtown Vancouver. If that were to prove successful, the company said a route between Colwood's Beachlands development and Victoria's Inner Harbour would not be out of the question. 'We call them shortcuts, anywhere where you can connect the heart of one community to the heart of another community, that's the opportunity for a passenger-only ferry,' said Callum Campbell, CEO of Greenline Ferries. The Artemis EF-12 Escape is a water taxi version that could be configured to carry up to 30 passengers. FRS Clipper is exploring purchasing the EF-24 Passenger version that is capable of carrying up to 150 passengers, which Artemis will be rolling out later this year. 'It is a little small for our projections on the Victoria to Seattle route, however that doesn't say that one day there could be two or even three operating alongside each other providing more frequency and more choices,' said Collins. The seemingly floating vessel's technology could offer a smoother ride in rough waters with a lighter environmental footprint.

Council voted to proceed with the construction in mid-November 2024. The latest report said all micropiles have been installed and the foundation work is moving forward. To date, the project has incurred minimal extra costs due to site preparation ($8,200) with final measurements and invoicing for groundwork to be completed at the end of May. 'We've planned ahead and have been stockpiling. We've also been getting materials from Canadian suppliers, which is very important,' Mallah noted. 'We're working closely with EllisDon and there are a couple of pieces that could be potentially affected by tariffs.' Tariff-related risks The report said the project team has implemented take steps to mitigate tariff-related risks. These include assessing supply chain vulnerabilities to potential tariffs, sourcing materials from alternative suppliers less impacted by trade restrictions and securing critical materials in advance to lock in costs to avoid future price increases. The design includes a 300-square-foot space for a food services vendor, delivered as a base shell with basic utilities stubbed to the space. A request for proposals will be issued shortly to select a vendor to provide food and drinks tailored to the community centre's sports and community activities. The vendor will be responsible for costs such as ventilation and equipment, ensuring no additional impact on the project budget. 'It's really a great opportunity to have a presentation from staff,' Mallah added. 'We know that this is a project that community members care about and members of city council care about.' Construction is scheduled to end in August 2026.
