
PwC US partners ordered to cut ties with brokerage after internal investigation
PwC has ordered nearly 300 of its US partners to cut ties with a tiny brokerage firm offering speculative small-cap investments after an internal investigation into the relationships.
The ruling has caused consternation at the highest levels of the Big Four accounting firm, where senior executives have for years offered an introduction to the brokerage Black River Management to colleagues and junior partners rising up the ranks, telling them it provides access to lucrative and hard-to-find investments.
Clients have included a number of past and present PwC executives, including current US senior partner Paul Griggs, and the ruling has led to them rushing to transfer what in some cases are illiquid investments, according to people familiar with the situation.
PwC conducted an investigation into partners' ties with Black River earlier this year, covering matters including whether independence rules could have been broken, the people said. Details of the investigation and its conclusions were not widely circulated, and it is not known what it found, but the result has been that PwC has withdrawn permission for partners to use Black River, they said. PwC declined to discuss the investigation or its conclusions.

The internal investigation came after a period when US regulators stepped up scrutiny of the private investments of accounting firm staff, which are subject to strict independence rules designed to protect the integrity of a firm's audit work. Partners and staff are typically banned from having financial ties to any company whose financial accounts might be audited by the firm.
The Public Company Accounting Oversight Board now publishes data on independence violations in their annual inspection reports on the Big Four, and has levied large fines on significant offenders.
'Regulators have been trying to come down hard on independence violations because there have been a lot over the past five or 10 years,' said Steven Mintz, professor emeritus of accounting at California Polytechnic State University, San Luis Obispo. 'Firms need to err on the side of caution.'
In a statement, Black River said that it was 'proud of its 25-year relationship with PwC. It was never informed of, or aware of, any independence violations for the entirety of the relationship'.
That relationship was strong enough that Black River was linked in to PwC's compliance system, Checkpoint, the tool that partners and their financial advisers use to see whether an investment is off-limits under independence rules.
Based in the affluent New Jersey suburb of Morristown, about an hour outside New York, Black River gained a reputation in the upper echelons of PwC for suggesting potentially high-return investments in early-stage companies such as biotechs and venture capital funds, according to clients.
The company's website shows it offers investments in stocks and options and wealth management advice to individuals, while its affiliate Newbridge Securities offers capital raising services to small companies that can generate investment opportunities for Black River clients.
One former partner who used Black River said it was seen as a way to access speculative investments. 'This is not Vanguard,' the person said. 'This is for the money that you can afford to lose, like going to Las Vegas and betting on red or black.'
PwC has close to 4,000 partners in the US, and 50,000 employees. Partners, employees, third-party contractors and their immediate family must not hold investments in, or have other financial relationships with, PwC audit clients. PwC is calling for the the reform of the Residential Zoned Land Tax (RZLT), to broaden tax policy and to reduce the Capital Gains Tax to 20% from 33%. "With increasing geopolitical risks and uncertainties, Ireland must take action to control our own controllables. While there are constraints about what we can do at international levels, domestically, Ireland has full control to determine its destiny on key domestic issues such as housing, decarbonisation and energy security," said Mr Burke. "Ireland must continue to simplify its tax system, expand incentives and support businesses and individuals in driving sustainable growth. Tax policies and incentives, if wisely chosen, could be critical to addressing Ireland's key infrastructural, housing, climate and other challenges. "Following endorsement from the EU to utilise targeted tax incentives, the Irish government should not be afraid to use them. Budget 2026 offers Ireland an opportunity to make changes that can help to direct the future course of our country." PwC calls for Capital Gains Tax to be slashed to 20pc in Budget
'In our experience, the 33pc rate is deterring taxpayers from undertaking capital transactions, crystallising gains and reinvesting funds in the Irish economy,' its submission says. 'Not only would a lower rate of CGT increase capital transactions, it would also stimulate and promote the transfer of businesses to the next generation of Irish business leaders. 'It would boost Ireland's attractiveness as an investment location, because entrepreneurs consider future exit strategies when considering where to invest.' Treating the exit of a shareholder from a business as a CGT event, rather than one subject to income tax – which is levied at a higher rate – would achieve this objective, PwC says. It claims many Irish business owners face challenges in securing a smooth exit when they decide to leave. The tax bill inhibits the exit of a shareholder that would allow the incumbent to take over the reins. 'We are seeing instances where fully exiting shareholders are subject to taxation at marginal income tax rates, which can have the unintended consequence of making many bona fide transactions, such as management buy-outs, unviable,' the consultancy's pre-Budget submission says. We have seen Irish businesses opting to sell to external and often non-Irish third parties 'In some cases, we have seen Irish businesses opting to sell to external and often non-Irish third parties (eg private equity funds) to secure a tax-efficient exit, as opposed to passing it on to emerging Irish business leaders, often working within the business being sold.' It points out that both the annual CGT exemption of €1,270, as well as the Capital Acquisitions Tax small gift exemption of €3,000, have not been changed for several decades. As neither has been brought in line with inflation, PwC is proposing both exemptions be increased in the Budget. The company says tax policy could also play a vital role in addressing the housing shortage. 'Soft costs' of construction, such as taxes, can be easier to change quickly than 'hard costs', such as labour and materials, PwC argues. Among the tax measures it suggests is a reduction of the CGT rate when investment properties are sold, if they have been retrofitted. This would increase the attractiveness of retrofitting old property stock, and would also contribute towards Ireland meeting its sustainability targets. PwC says the most pressing issue is to change the Residential Zoned Land Tax (RZLT), which was introduced as a land activation measure. The tax is levied on serviced land which has the potential to provide residential housing, but is not being used for that purpose. Where there is a change in ownership of land before it is fully developed, some RZLT deferrals are clawed back. 'Given the increasing popularity of the forward-fund model, particularly with approved housing bodies and other public sector bodies, one significant improvement would be for such transactions to be exempt from clawback provisions,' PwC says. According to new figures from Revenue, approximately 1,800 RZLT returns have been filed to date, with liabilities of almost €40m paid. This is the first year in which a charge arises. In the days leading up to the filing deadline of May 30, Revenue saw a notable increase in the number of site owners registering for RZLT and filing a return. Surcharges, ranging from 10pc to 30pc of the annual liability, apply to late RZLT returns.

Government urged to lower capital gains tax to 20% in next budget
Ireland's capital gains tax needs to be updated to ensure a fairer transfer of business and to promote sustainability, PWC has said. Publishing its pre-budget submission, the professional services firm said that Ireland's capital gain tax, which is one of the highest in Europe at 33%, should be lowered to 20% to help private businesses. It said that treating the exit of a shareholder from a business as a capital gains tax event rather than being subject to income tax would be an 'important step to achieving this'. It also noted that a reduction in capital gains tax for retrofitted properties would also help promote sustainability. The submission also calls for increases in the capital acquisition tax lifetime threshold, which PWC said remains 'out of kilter' with inflation. It is recommending increases to the capital acquisition tax small gift exemption, as well as the annual exemption. In addition, it said the small benefit exemption should be increased to €2,500 — while the restriction to five benefits should be removed to encourage employers to reward employees throughout the year. Staffing issues remain Attracting and retaining staff remains a key issue for employers, PWC said, urging the Government to incentivise the provision of accommodation by Irish businesses to their employees. At present, where a business rents property to its employees, the company is subject to corporation tax of 25% and a potential close company surcharge, the accounting firm said. Attracting foreign direct investment remains a key priority for Ireland, PWC also noted, especially in the context of current trade uncertainty, global tax reforms, and increasing competition for investment. It added that Ireland needs to diversify its tax policy and put plans in place to attract the next generation of multinationals. 'Budget 2026 is a key opportunity to introduce targeted tax measures to enhance Ireland's position as a global financial services hub,' PWC said in its submission. Padraic Burke, tax leader at PWC Ireland, added: 'The global environment is facing significant upheaval following the new US administration's rejection of the OECD [Organisation for Economic Co-operation and Development] Global Tax Deal. ' The US stance threatens the viability of the entire regime, with the possibility of retaliatory tariffs or withholding taxes that could further strain global trade and economic growth.'
