
Adnoc to create Dhs220+ billion global chemicals powerhouse
ADNOC and Austria's OMV have announced today that they will merge their shareholdings in Borouge plc and Borealis AG to create Borouge Group International.
This new combined company will then acquire NOVA Chemicals Corporation, a North American producer, for Dhs49.2 billion. With the inclusion of Borouge 4, Borouge Group International will become a Dhs220+ billion global integrated chemicals powerhouse and the world's fourth largest producer of polyolefins.
Borouge Group International will be jointly owned and controlled by ADNOC and OMV, with headquarters in Vienna and Abu Dhabi. As part of the transaction, OMV will inject €1.6 billion (Dhs6.1 billion) in cash into the consolidated company to equalize its share. Borouge Group International will have best-in-class margins with around Dhs1.8 billion in synergies each year, and will deliver dividend growth for existing Borouge plc shareholders, who will be owners in the new company listed on the Abu Dhabi Securities Exchange (ADX).

The visionary combination of Borouge and Borealis and acquisition of Nova Chemicals, further future-proofs ADNOC and solidifies Abu Dhabi's status as a leader in the chemicals sector, as we seek to meet the growing global demand for chemicals and associated products, while driving value creation and growth opportunities for our shareholders.'
Borouge Group International will combine the complementary strengths of the three international polyolefin leaders – Borouge, Borealis, and NOVA – including competitive feedstocks, access to growth markets, world-class technologies, and leadership in recyclable products. The new company will also benefit from complementary product lines, from Borouge's innovative agricultural products to Borealis' textiles and Nova's sustainable packaging solutions. The Borouge 4 expansion is expected to be transferred into the new company in 2026 at a cost of approximately Dhs27.5 billion, making it the world's fourth largest polyolefin producer by nameplate capacity with 13.6 million tonnes per annum (mtpa) of capacity across Europe, the Middle East and North America.
The agreement strengthens the close historical collaboration and strategic partnership between ADNOC and OMV. Upon completion, ADNOC's stake in Borouge Group International will be transferred to XRG, ADNOC's international energy investment company. XRG, launched in 2024 with an enterprise value of over $80 billion, is the latest development in ADNOC's strategy to accelerate international growth and drive greater value, and will initially focus on projects across the energy spectrum, from gas to chemicals to low-carbon fuels and energy infrastructure.
Polyolefins are durable and lightweight materials widely used in manufacturing and everyday products including packaging, household goods, medical supplies and textiles.

11 June 2025 21:26 ABU DHABI (ALETIHAD)The Supreme Council for Financial and Economic Affairs (SCFEA) has awarded three separate production concession agreements to ADNOC and its strategic council awarded a production concession agreement to ADNOC and Japan's JODCO Exploration Limited (JEL), a subsidiary of INPEX Corporation, in respect of Onshore Block 4 in Abu Dhabi. JEL will hold a 40 percent participating interest in the concession area, while ADNOC will hold the remaining 60 per cent. The concession lies north of Abu Dhabi council also awarded a production concession agreement to ADNOC, ENI Abu Dhabi B.V. (ENI), and PTTEP MENA Limited (PTTEP) in respect of Offshore Block 2 in Abu Dhabi. Borouge and Adnoc L&S ink $531 million partnership to boost UAE petrochemical exports
Borouge and Adnoc Logistics & Services Plc have entered a 15-year strategic partnership that will support a significant increase in the production and export of petrochemicals from the UAE. The service agreement will deliver a minimum guaranteed value of $531 million (Dh1.95 billion), supporting the next phase of Borouge's accelerated growth plans, driving operational cost savings over the full contract term, realising more than $50 million in cost savings and efficiencies in the first five years alone, and enhancing the company's supply chain network. The agreement covers port management, container handling, and feeder container ship services for the Borouge Container Terminal in Al Ruwais Industrial City, Abu Dhabi. Adnoc L&S will manage the transportation of up to 70 per cent of Borouge's annual production, which will increase significantly following the completion of the Borouge 4 plant expansion. Adnoc L&S will deploy a minimum of two dedicated container feeder ships to transport Borouge's products from Al Ruwais to the deepwater ports of Jebel Ali in Dubai and Khalifa Port in Abu Dhabi. Hazeem Sultan Al Suwaidi, CEO of Borouge, commented: 'This agreement builds on our longstanding collaboration with Adnoc L&S, a partnership that has been instrumental in meeting the evolving needs of our customers in high-growth markets. It brings significant benefits to Borouge; driving substantial operational cost savings and enhancing our Logistics Variable Cost (LVC), as well as complementing our existing rail operations and expanding the flexibility of our supply chain network. As Borouge plans to ramp up production capacity by 1.4 million tonnes per annum by the end of 2026 through its Borouge 4 mega project, Borouge will become the world's largest single-site polyolefin complex.
