LEHI, Utah, May 6, 2025 /PRNewswire/ -- Purple Innovation, Inc. (NASDAQ: PRPL) ("Purple"), a comfort innovation company known for creating the "World's First No Pressure™ Mattress," today announced that it has entered into an agreement with Somnigroup International, Inc. (NYSE: SGI) ("Somnigroup") to significantly expand their commercial relationship. Under the terms of the agreement, Purple will materially increase its presence in Mattress Firm stores nationwide. Purple also executed a strategic supply agreement with Tempur Sherwood, LLC ("Sherwood"), a subsidiary of Tempur Sealy, further aligning Purple with the world's largest bedding company and delivering meaningful value to both companies' stakeholders.

Expanded Distribution
Mattress Firm, the U.S.-based multi-branded mattress specialty retailer business unit of Somnigroup, will expand its Purple mattress offerings to all retail locations over the next several months. With Mattress Firm more than doubling the Purple products it showcases across its national store network, the number of dedicated Purple mattress slots in Mattress Firm stores will grow from approximately 5,000 to a minimum of 12,000. The mattress slots will be filled with Purple's premium mattress lines, including The Purple Mattress, Purple Plus, and Exclusive Mattress Firm mattresses from the Restore and Rejuvenate lines.
As part of its distribution agreement, Purple will grant Somnigroup 8 million equity warrants at a strike price of $1.50 and a term of approximately 10 years. The equity warrants – which are for shares of Purple's common stock – are consistent with the strike price of all other outstanding Purple equity warrants and do not carry any extraordinary governance rights. Somnigroup will not be on the Board of Directors of Purple.
Purple expects that its increased retail presence in Mattress Firm stores will generate at least $70 million in incremental annual revenue beginning in 2026.
Strategic Supply Support
Sherwood, the private label bedding manufacturer business unit of Somnigroup, will have the exclusive right to assemble certain product lines that Purple sells to Mattress Firm, while Purple will continue to manufacture its GelFlex Grid technology and retain all related Intellectual Property.
Substantial New Financing
Purple also announced that it has received an incremental $20.0 million from existing lenders pursuant to an amendment to its existing credit agreement, bringing the total principal commitment to $100.0 million. The new financing will support Purple's continued investments in product innovation and advertising. As with the existing term loan, the increased amount includes the ability to PIK interest. In connection with the incremental borrowings, Purple issued to the lenders approximately 6.6 million equity warrants at a strike price of $1.50 and a term of approximately 10 years.

In Philadelphia's Strawberry Mansion neighborhood, half the residents don't own cars. For them, public transportation is essential, not a choice. Neighbors like Marcella Bevins rely on SEPTA to get to doctor's appointments several times a month. "I got to my oncologist, that's the 49 bus to go to Civic Center ... I catch the 49 to go to 30th Street Station to catch the El," said Bevins, a Strawberry Mansion resident. But SEPTA's $213 million budget deficit is pushing the agency to shrink the system. It plans to cut 50 bus routes and five Regional Rail lines and reduce service across the board. Strawberry Mansion will be hit especially hard. Nine routes through the neighborhood could be discontinued or reduced by up to 20%. "I don't know what SEPTA is doing; they raised the fare, and then they want to cut routes. That doesn't make sense," Bevins said. "They feel like it's an attack on them and their life. It's a food desert. Not a lot of places to get groceries, and they've got relatives across the city they want to visit," Jalon Alexander, an attorney and community advocate, said. Alexander hosted a meeting on Monday at Garden of Prayer Church, bringing neighbors, SEPTA officials and lawmakers together. "Candidly, SEPTA's the victim here. SEPTA needs funding to thrive," Alexander said. Right now, SEPTA funding depends on lawmakers in Harrisburg, who have until June 30 to include SEPTA in the state budget, just ahead of the transit agency's own deadline. "The money that needs to be spent is nothing compared to the money that will be lost if we do not fund SEPTA," state Sen. Sharif Street said. When service cuts go into effect beginning Aug. 24, SEPTA said affected riders will still be able to use alternate routes to get to their destinations. However, that could include more transfers, and most people's commutes may be longer and more complicated. "If I've got to catch another bus when I've been catching the same bus for 25 years to get to and from work, that's going to cost me more. That affects my budget," Tyrone Williams, of Strawberry Mansion Community Development, said. It also affects their jobs, health, families and daily survival. The Strawberry Mansion community said decisions about service cuts shouldn't be made without their voices at the table. "I think SEPTA attending the meeting today reflects their commitment to work with the community as a team because they're an integral part of our lives," Alexander said.

Sen. Elizabeth Warren is asking Secretary of State Marco Rubio for information on the Trump administration's contingency plans if billionaire Elon Musk breaches his companies' current contracts with the U.S. amid the ongoing public fallout between him and President Trump. In a letter to Rubio as acting national security adviser and obtained by CBS News, Warren said Mr. Trump and Musk's public disagreements about the upcoming reconciliation bill that escalated into a public online spat could "have serious implications for U.S. national security." The Massachusetts Democrat mentioned Mr. Trump's proposal to terminate Musk's government contracts and subsidies, which the world's richest man followed with a threat that SpaceX would "begin decommissioning its Dragon spacecraft immediately." Musk has since walked back his threat. "No petty social media fight between the president and a billionaire should jeopardize U.S. national security," Warren said. In addition to contingency plans for SpaceX, the senator asked for information regarding the impact on U.S. agencies' satellite communications if Musk's Starlink is turned off. Additionally, she asked Rubio to provide any analysis that the Trump administration has conducted "of its authorities and options under the Defense Production Act to address vendor lock, monopolies, or contractor refusal to meet national security needs." She asked to receive answers to her questions by June 14, whether through a classified briefing or preferably a public response that can be released to Congress and the public, the letter said. Warren has been a vocal opponent of Musk and his involvement in the Trump administration. Last week, she released a report that outlines instances her office has found of Musk benefiting from it. Musk's rocket company has received tens of billions of dollars from the federal government over the last decade, including $3.8 billion in the 2024 fiscal year alone, according to federal records. The bulk of those federal grants are from NASA, which has paid SpaceX billions over the last decade to ferry astronauts and supplies to and from the International Space Station. The agency has also awarded SpaceX upwards of $2 billion in recent years to design and build a lunar lander, as part of NASA's Artemis program, which aims to return humans to the moon for the first time in a half-century. While the public spat appears to have cooled somewhat, Mr. Trump told NBC News' Kristen Welker in a phone interview on Saturday that he has no plans to make up with the mega-billionaire. "I'm too busy doing other things," Trump continued. "You know, I won an election in a landslide. I gave him a lot of breaks, long before this happened, I gave him breaks in my first administration, and saved his life in my first administration, I have no intention of speaking to him." When asked by a reporter Friday if he's still considering rolling back subsidies to Musk as a money-saving move, Mr. Trump suggested he was open to it. "He's got a lot of money, he gets a lot of subsidy. So we'll take a look at that," the president said on Air Force One. "Only if it's fair for him and for the country. I would certainly think about it, but it has to be fair." This isn't the first time the president has needled Musk over his companies' federal subsidies. In a 2022 feud, Mr. Trump claimed Musk would be "worthless" without hefty subsidies for "electric cars that don't drive long enough" and "rocketships to nowhere." The two mended their relationship then and Musk spent hundreds of millions to help elect Mr. Trump in 2024. The billionaire went on to lead the Trump White House's cost-cutting Department of Government Efficiency until last week. contributed to this report.
