SINGAPORE – Singapore-based OMS Energy Technologies has raised US$33.3 million (S$43.24 million) from its initial public offering (IPO) on New York's Nasdaq exchange.
OMS, which makes surface wellhead systems and pipes used in oil exploration and production, listed 3.7 million shares at US$9 each on May 13 in the IPO. The shares were trading at around US$7.74 on May 15.
The US$9 price valued the company at US$348 million.
The eventual offer size and price were pared from the original intent to list 5.6 million shares at between US$8 and US$10.
The company intends to use the IPO proceeds for research and development, marketing and sales, compliance and governance and working capital.
OMS indirectly owns interest in subsidiaries in Singapore, Malaysia, Brunei, Saudi Arabia, Thailand and Indonesia.
It has 11 manufacturing facilities scattered across oil and gas service hubs from Asia Pacific to the Middle East and North Africa.
In January 2024, OMS entered into a 10-year supply agreement with Saudi Aramco, the national oil company of Saudi Arabia.
OMS estimates that the agreement, which involves Saudi Aramco buying certain products, will generate revenue of around US$200 million a year.
Saudi Aramco accounted for 71 per cent of OMS's total revenue as at Sept 30, 2024.
OMS made a net profit of US$82.09 million on a turnover of US$163.27 million for the period June 16, 2023 to March 31, 2024, noted its prospectus.
It also said that while Aramco remains a key strategic partner, it is 'actively working to diversify' its customer base.
'Whilst we intend to focus on our principal business activities in the sales of high-quality products for oil drilling and exploration, we also plan to explore opportunities to collaborate with suitable partners in related industries in the South-east Asian region,' noted the prospectus.
Mr How Meng Hock, the firm's executive director, chairman and chief executive, owns 61.78 per cent of OMS Energy following the IPO.
The OMS listing in New York highlights the struggle Singapore has had to attract companies to go public in recent years, with many firms opting to go to the US, drawn by hopes of strong valuations, liquidity and proximity to their target markets.
This prompted the Monetary Authority of Singapore to review of the country's equity markets in a bid to jump-start the ailing bourse.
One proposal is to invest $5 billion in funds focused on the local equity market.
The SGX RegCo has also proposed regulatory changes towards a more disclosure-based regime, a stance investment bank Morgan Stanley sees as 'key positive drivers' for the market.

Four candidates assessed for Fu Yu's board, with no findings against suitability

[SINGAPORE] Four proposed directors for Fu Yu Corporation have been assessed by an independent party, with no findings made against their suitability for the role, said the company on Friday (Jun 20) evening. Fu Yu currently only has one director – chief executive David Seow – after all three of its independent directors resigned on Jun 15. The company has since appointed Asian Corporate Advisors (ACA) to assess four candidates proposed as independent directors: Gilbert L Rodrigues, Ralf Pilarczyk, Yang Zhenrong and Haytham Al Essa. In its bourse filing, Fu Yu said that 'nothing has come to (ACA's) attention that the proposed new independent directors may not be deemed suitable', and that its board 'sees no reason to disagree'. 'To the best of the current board's knowledge, the proposed new (directors) are not involved in matters relating to FYSCS,' the company added, in reference to its unit Fu Yu Supply Chain Solutions, which has been under investigation. The update comes ahead of Fu Yu's annual general meeting (AGM) on Jun 27. BT in your inbox Start and end each day with the latest news stories and analyses delivered straight to your inbox. Sign Up Sign Up In an earlier filing on Friday, the company addressed questions from the Securities Investors Association (Singapore), or Sias, as well as shareholders. Fu Yu said that its 'day-to-day operations and decision-making processes remain unaffected' by the resignation of all its previous independent directors – Royston Tan, Christopher Huang and Daniel Poh. It also addressed queries on its ongoing investigations into FYSCS – relating to Fu Yu's acquisition of the unit, purported misuse of the FYSCS' resources and a pre-paid commission. 'Currently, no fraud (in the legal sense) has been uncovered,' said Fu Yu, adding that there was no potential liability arising from the transactions in question, 'as well as FYSCS in general'. Asked by Sias if it would release findings by Rajah & Tann and PwC Risk Services ahead of the AGM, Fu Yu said that it would first conduct a 'full Maxwellisation process' relating to the people mentioned in the report, which could take between four to six weeks. Maxwellisation is a legal procedure in which those subject to potential criticism are given an opportunity to respond. 'The company (will) seek legal advice and will deliberate on its next steps after considering the information obtained through the Maxwellisation process, and will update shareholders thereafter,' said Fu Yu. In June last year, FYSCS also received a letter of demand for US$925,773.57 in compensation from another company, Evertree Hongkong. On Jun 5 this year, an arbitral tribunal ruled in favour of Evertree, with Fu Yu required to pay S$1.67 million. Asked about the matter, Fu Yu said that FYSCS had fulfilled its payment obligations on Jun 9 and is solvent. Fu Yu ended Friday at S$0.09, down 4.3 per cent.

Travel tech firm Navan confidentially files for US IPO

Corporate travel and expense company Navan said on Friday it had confidentially filed for a U.S. initial public offering, as it looks to take advantage of growing investor optimism for new listings after a dry spell. The terms of the offering were not disclosed. The Palo Alto, California-based company, backed by Andreessen Horowitz and Lightspeed among others, raised $304 million in equity and structured debt financing in 2022 and was valued at $9.2 billion at the time, according to the company. Activity in the U.S. IPO market, which started the year on a slower footing, has shown signs of a sustained revival in recent weeks after a couple of fresh flotations received overwhelming investor support. The technology sector has been dominating the U.S. IPO headlines in the recent revival along with finance, with companies such as space and defence tech firm Voyager Technologies and adtech MNTN making stellar debuts. Chime Financial's shares also surged in one of the most hotly anticipated New York debuts of the month, paving the path for public offerings of a few big names like crypto exchange Gemini and fintech firm Klarna later in the year. "We do see the IPO pipeline building, and forecast an active fall (season)," said Matt Kennedy, senior strategist at Renaissance Capital, a provider of IPO-focused research and ETFs. "In addition to the core institutional IPO buyers, who are looking for strong growth, profitability, and reasonable valuations, it's healthy to see traders looking to get in on a hot deal," Kennedy added. Navan, founded in 2015 as TripActions, began as a corporate travel management platform aiming to streamline services offered by traditional players such as American Express and SAP Concur. It later expanded into corporate payments and expense management.
