IPO Alert! Prestige Hotel Ventures files draft papers with Sebi; details

Prestige Hotel Ventures IPO: Hospitality asset owner and developer Prestige Hotel Ventures is planning to go public as the company has filed its Draft Red Herring Prospectus (DRHP) with the market regulator Securities and Exchange Board of India (Sebi), to raise funds through the initial public offering (IPO).

According to the DRHP, Prestige Hotel Ventures IPO comprises a fresh issue of equity shares of face value of ₹5 each aggregating up to ₹1,700 crore, and an offer for sale (OFS), with promoters Prestige Estates Projects divesting equity shares of face value of ₹5 each aggregating up to ₹1,000 crore.

Prestige Hotel Ventures will not receive the proceeds from the OFS, as it will be given to the promoter divesting the stake. The company, however, proposes to utilise ₹1,121.276 crore from the fresh issue towards full or partial repayment or pre-payment of borrowings amounting to ₹397.248 crore availed by the company and material subsidiaries, namely, Sai Chakra Hotels and Northland Holding Company, through investment in such subsidiaries amounting to ₹724.028 crore. The company also proposes to utilise funds from the fresh issue towards pursuing inorganic growth through unidentified acquisitions and other strategic initiatives, and for general corporate purposes.

The company, in its DRHP, has stated that its revenue from the sale of hospitality services increased to ₹662.681 crore in the nine months ended December 31, 2024, from ₹560.343 crore in the nine months ended December 31, 2023. Further, the revenue from the sale of hospitality services increased to ₹795.695 crore in FY24 from ₹636.169 crore in FY23 and ₹191.715 crore in FY22, reflecting a CAGR of 103.73 per cent between FY22 and FY24.

The earlier deadline of July 19, 2025 has been extended to July 19, 2026. Sebi had earlier specified that VCFs which have schemes whose liquidation period has expired and are not wound up, and who migrate to AIF regulations will be granted additional period. Sebi has provided the additional period after representations from the industry. The last date of July 19 for legacy VCFs to migrate to AIF norms remains unchanged. Sebi has given approval to Multi-commodity Exchange (MCX) of India to launch electricity derivatives. The Electricity Derivatives Contracts will enable generators, distribution companies, and large consumers to hedge against price volatility and manage price risks more effectively, by enhancing efficiency in the market. 'These contracts will offer participants a reliable, transparent, and regulated platform to manage power price risks, which are becoming more dynamic due to renewables and market-based reforms,' said Praveena Rai, MD & CEO, MCX. The Securities and Exchange Board of India (Sebi) on Friday issued a recovery attachment order against absconding diamond merchant Mehul Choksi, who is a co-accused in the Rs 13,850-crore Punjab National Bank (PNB) fraud case, which is one of the biggest banking scams in India's recovery officer has been assigned the task of taking action on the attachment order, issued on June 4 by the financial agency's Mumbai action against the fugitive diamond merchant had been initiated due to the non-payment of a Rs 1.5 crore penalty imposed by Sebi on January 31, 2022. An LoU is a bank guarantee which allows customers to get short-term credit from overseas 2011 to 2018, Choksi, Modi and their companies used these LoUs without following the normal procedures. Some bank officials were involved and allowed the LoUs to be issued without entering them into the bank's main system. This helped the fraud go unnoticed for funds, which were shown as being used for importing goods, were mostly never returned. Instead, new LoUs were taken to repay the earlier ones, and the money was used for business and personal total value of the fraud reached around Rs 13,850 crore. SEBI Freezes Fugitive Businessman Mehul Choksi's Bank Accounts, Investments To Recover Rs 2.1 Crore

Mumbai: The Securities and Exchange Board of India (SEBI) has ordered the attachment of absconding businessman Mehul Choksi's bank accounts, mutual funds, and shares to recover Rs 2.1 crore. The amount is related to a penalty imposed on him for violating insider trading rules in the shares of Gitanjali Gems. Choksi, who was the Chairman and Managing Director of Gitanjali Gems, is accused of sharing unpublished price-sensitive information (UPSI) with an associate, Rakesh Girdharlal Gajera. Based on that information, Gajera sold off his entire 5.75 per cent stake in the company in December 2017, allegedly to avoid losses before details of fraudulent activities involving the company became public. In January 2022, the SEBI fined Choksi Rs 1.5 crore and banned him from trading in the securities market for one year. However, Choksi did not pay the fine, prompting the SEBI to issue a demand notice on May 15, 2025. When he failed to respond or make the payment within the 15-day deadline, the market regulator proceeded with the attachment of his assets. The total dues now stand at Rs 2.1 crore, including Rs 60 lakh in interest. In its notice dated June 4, the SEBI directed all banks, depositories like CDSL and NSDL, and mutual fund houses to freeze Choksi's accounts. While no money can be withdrawn, credits are still allowed. The market regulator has also instructed banks to seize any lockers in his name. The market regulator explained that the action was necessary because there is a strong possibility that Choksi may try to move or hide his assets, which could delay or prevent the recovery process. "Whereas no amount has been paid by the defaulter and there is sufficient reason to believe that the defaulter may dispose of the amounts/proceeds in the bank accounts held with your bank and realisation of the amount due under the recovery certificate would in consequence be delayed or obstructed," the market regulator stated. Choksi, who is also the maternal uncle of Nirav Modi, has been facing legal action in connection with the Punjab National Bank (PNB) fraud case involving over Rs 14,000 crore. Both Choksi and Modi fled India in early 2018 when the scam came to light. Choksi had been living in Antigua since 2018 but was arrested in Belgium in April this year after Indian authorities requested his extradition. He was reportedly in Belgium for medical treatment. Meanwhile, Nirav Modi remains in a UK jail after being arrested by the Scotland Yard in 2019.
