
GrabAGun Advances Toward Public Listing with Amended S-4 Filing and Updates Investor Presentation
COPPELL, Texas & PALM BEACH, Fla.--(BUSINESS WIRE)--Metroplex Trading Company, LLC, d.b.a. GrabAGun.com (the 'Company' or 'GrabAGun'), an online retailer of firearms, ammunition and related accessories, and Colombier Acquisition Corp. II ('Colombier II') (NYSE: CLBR), a special purpose acquisition company led by Omeed Malik, today announced the filing of the second amendment to the registration statement on Form S-4 (as may be further amended, the 'Registration Statement') with the U.S. Securities and Exchange Commission ("SEC"), which includes a preliminary proxy statement/prospectus in connection with the proposed business combination ('Business Combination' or 'Transaction') entered into by Colombier II and GrabAGun on January 6, 2025 ('Merger Agreement').
The updated Registration Statement was filed by GrabAGun Digital Holdings Inc. ('GrabAGun Digital'), which will be the public company after the closing of the Business Combination.
GrabAGun also revised the Company's investor presentation related to the Business Combination to include bring forward certain metrics and information contained in the presentation to be current as of March 31, 2025. A copy of the updated investor presentation is attached to a Colombier II current report on Form 8-K filed with the SEC.
In connection with the Business Combination, subject to approval of the related listing application, the securities of GrabAGun Digital are expected to be listed on the New York Stock Exchange ('NYSE') under the proposed symbols 'PEW' and 'PEWW'.
Background Information on the Business Combination
On January 6, 2025, GrabAGun, GrabAGun Digital and Colombier II entered into the Merger Agreement to consummate the Business Combination transaction further described in the Registration Statement, which the parties expect to be completed in the summer of 2025, subject to regulatory approvals and other customary conditions. Recreational Vehicle Maker Thor's European Sales Hit By Dip, Cautions On Macro Outlook
Thor Industries, Inc. (NYSE:THO) shares are trading higher on Wednesday after the company reported third-quarter EPS of $2.53 beating the street consensus of $1.83. Quarterly sales of $2.89 billion, up 3.3% year over year (Y/Y), outpaced the analyst consensus estimate of $2.48 billion. Gross profit margin in the quarter under review expanded by 20 basis points year over year to 15.3%.Adjusted EBITDA increased 7.9% Y/Y to $254.8 million in the quarter. North American Towable Recreational Vehicle (RV) net sales increased 9.1% Y/Y, while North American Motorized RV net sales rose 3.1% Y/Y in the quarter. North American Towable RV net sales benefitted from 5.5% higher unit shipments and a 3.6% increase in net price per unit. Gross profit margin improved 200 basis points to 14.9%, attributed to higher sales, less discounting, better warranty costs, and ongoing savings. North American Motorized RV net sales increased due to a 10.9% rise in unit shipments (partly from promotions), though a 7.8% decrease in net price per unit (due to product mix shift and higher discounting) partially offset this. Gross profit margin fell to 10.5% from 11.1%, primarily owing to increased sales discounting. As of April 30, the order backlog for North American Towable RV stood at $634.3 million (-14.4%) and North American Motorized RV came in at $883.7 million (-4.5%). European RV net sales decreased 5.1% Y/Y for the quarter, led by a 12.2% decrease in unit shipments, which was offset in part by a 7.1% Y/Y increase in the overall net price per unit. European RV net sales fell due to a 12.2% drop in unit shipments, partially offset by a 7.1% increase in net price per unit. The price increase included a 6.8% rise from product mix and pricing changes, plus a 0.3% benefit from foreign currency exchange rates. European RV gross profit margin contracted 130 basis points to 16.2% on increased sales discounting. As of April 30, the order backlog for European RV came in at $1.34 billion (-30.6%). The company exited the quarter with cash and cash equivalents worth $508.3 million, with net inventories worth $1.35 billion. Long-term debt (net) at the end of the quarter stood at $1.01 billion. The company also maintained its FY25 sales guidance at $9.00 billion to $9.50 billion versus the analyst estimate of $9.25 billion. Donald Trump to double tariffs on foreign steel to 50%
President Donald Trump said he's doubling tariffs on foreign steel to 50%, making the announcement during a May 30 visit to a U.S. Steel facility in Pennsylvania. Trump previously reversed his threat to impose 50% tariffs on steel and aluminum from Canada. Trump bulked up tariffs on foreign steel and aluminum after taking office for a second time, restoring the 25% levy that had been weakened by numerous country exclusions and quotas and thousands of product-specific exclusions. Trump said the higher tariffs will even further secure the steel industry in the United States. "Nobody's going to get around that," he said. While hiking tariffs could help U.S. steel producers, it is expected to increase costs for consumers and American makers of a variety of products − from cars to homes − that use steel. Trump pitched the tariff increase as a way to eliminate competition from foreign steel producers, saying at 25% foreign companies "can sort of get over that fence." The higher tariff goes into effect June 4, Trump said. "At 50% they can no longer get over the fence," he said. Canadian Chamber of Commerce President & CEO Candace Laing said hiking the steel tariffs is "antithetical to North American economic security." 'Unwinding the efficient, competitive and reliable cross border supply chains like we have in steel and aluminum comes at a great cost to both countries,' Laing said in a statement reacting to Trump's announcement. The steel tariffs were among the earliest put into effect by Trump when he returned to office in January. The tariffs of 25% on most steel and aluminum imported to the U.S. went into effect in March, and he had briefly threatened a 50% levy on Canadian steel but ultimately backed off. Under the so-called Section 232 national security authority, the import taxes include both raw metals and derivative products as diverse as stainless-steel sinks, gas ranges, air conditioner evaporator coils, horseshoes, aluminum fry pans and steel door hinges. The total 2024 import value for the 289 product categories came to $147.3 billion with nearly two-thirds aluminum and one-third steel, according to Census Bureau data retrieved through the U.S. International Trade Commission's Data Web system. By contrast, Trump's first two rounds of punitive tariffs on Chinese industrial goods in 2018 during his first term totaled $50 billion in annual import value. Trump was in Pennsylvania to tout what he described as a "partnership" between U.S. Steel and Japan's Nippon Steel, which he said would strengthen the steel industry in the U.S.. Nippon plans to invest billions in U.S. steel production as part of the deal, Trump said. "There'll be no layoffs and no outsourcing whatsoever, and every U.S. steel worker will soon receive a well deserved $5,000 bonus," Trump said. Trump later told reporters that the deal isn't final. "I have to approve the final deal with Nippon and we haven't seen that final deal yet," Trump said after returning from the rally. Trump previously opposed a bid by Nippon to purchase U.S. Steel, but said that over time the 'deal got better and better.'
