
NCLAT directs NCLT to promptly decide stay on EoI for Jaiprakash Power, Jaypee Fertilisers
New Delhi, May 25 (PTI) The insolvency appellate tribunal has directed the NCLT to promptly decide on the stay of the process of inviting Expression of Interest (EOI) regarding two Jaiprakash Associates group's investments in Jaiprakash Power Venture and Jaypee Fertilisers & Industry.
In an order on April 29, 2025, the Allahabad bench of the National Company Law Tribunal stayed the process of inviting EoI by the Resolution Professional of debt-ridden Jaiprakash Associates Ltd (JAL), which is currently going through the Corporate Insolvency Resolution Process (CIRP).
This order was immediately challenged by the National Asset Reconstruction Company Ltd (NARCL), which is the assignee of 85 per cent of debts of the banks to JAL and the Resolution Professional (RP), before the National Company Law Appellate Tribunal.
However, a three-member bench of the NCLAT, led by Chairperson Justice Ashok Bhushan, observed that the matter is already scheduled for hearing before the Allahabad bench on May 26, 2025, hence it directed it to consider the reply filed by the lenders' body CoC (Committee of Creditors) and RP.
"The application having been fixed for May 26, 2025, we request the Adjudicating Authority (NCLT) to consider the application as well as the reply submitted by the RP and CoC to take a decision with regard to further process without being influenced by any observation made in the impugned order," the National Company Law Appellate Tribunal (NCLAT) said in its order passed on May 20.
"Looking to the facts that CIRP is a time-bound process, the Adjudicating Authority (NCLT) shall endeavour to dispose of the application on the date fixed or as early as possible," it said.
The NCLAT also asked Sunil Kumar Sharma, the suspended director of JAL, on whose plea the NCLT stayed the process of EoI, to file a rejoinder, if any, and mentioned that it has "not expressed any opinion on the respective submissions" of the parties before it.
The appellate tribunal was hearing appeals filed by the National Asset Reconstruction Company Ltd (NARCL) and Resolution Professional (RP), challenging the status quo granted by the NCLT on the issuance of EoI.
Under the Insolvency & Bankruptcy Code, RP issues EoIs for companies under CIRP, to invite potential resolution applicants to submit their resolution plans for the debt-ridden company.
On April 29, 2025, though the NCLT issued notice to the resolution professional of JAL, it also directed to stay the process of inviting bids for Jaiprakash Power Ventures and Jaypee Fertilizers.
"Meanwhile, with regard to the relief sought by the Applicant to issue ex-parte ad-interim stay on inviting EOI as resolved by the Committee of Creditors in the 11th meeting of the Committee of Creditors for the sale of investment of Corporate Debtor in Jaiprakash Power Ventures Limited (JPVL) and Jaypee Fertilizers & Industries Limited and/or Kanpur Fertilizers & Chemicals Limited (JFIL/KFCL), the status quo deserves to be maintained till further order," the NCLAT had said.
NARCL submitted before the appellate tribunal that the NCLT has not given any reasons in the impugned order for passing the order of status quo whereas reasons, if any, were only for issuing notice.
It contended that there have to be reasons for passing an interim order, including irreparable loss, balance of convenience and prima facie case for passing of an interim order, which has the effect of staying the process of CIRP (Corporate Insolvency Resolution Process), which is a time-bound process.
Sunil Kumar Sharma has submitted that NCLT had raised concerns regarding the process to invite bids for the sale of certain investments, citing the proposed sale being premature, lacking transparency, and risking prejudice to the stakeholders' interests.
The applicant had pointed out the failure to consider existing encumbrances, proper valuation, and the need for prior CoC approval, emphasising that any asset sale must ensure maximum realisation and legal compliance governing the CIRP process. However, despite his objection, RP convened a CoC meeting.
Investments of JAL in Jaiprakash Power Ventures are encumbered, while investments in Jaypee Fertilisers & Industry are unencumbered.
Sharma further submitted that there are certain mandatory preconditions under the IBC to be fulfilled for a valid sale, which include the sale must pertain to unencumbered assets, there must be a formed opinion that such a sale is necessary for better realisation of value under the circumstances; the book value of all assets sold during the CIRP must not exceed 10 per cent of the total admitted claims.

Ahmedabad Municipal Corporation (AMC) officials and councillors apparently want to ditch the plain old purified bottled water the corporation currently manufactures at its Kotarpur plant, and upgrade to alkaline water in glass bottles. This has been made evident from AMC water production department's May 29 tender for the upgrade and modification of the 3,000 LPH (litres per hour) packaged drinking water plant in Kotarpur, setting up a 1,200 BPH glass bottle water packaging plant and its operation and maintenance (production, storage, sale, distribution, logistics) for three years. The tender is for Rs 1 crore. There are also plans to market this alkaline water under AMC's existing drinking water brand, Jal. Sources in AMC said that a decade ago, officials, dignitaries and councillors at events such as inaugurations, seminars and meetings were served bottled water sourced externally, which cost the corporation Rs 40-50 lakh annually. To save this cost, AMC set up the plastic bottling plant in Kotarpur, and even launched the Jal brand. This plan to save citizens' money failed to work as intended. Other private brands still are roped in to supply drinking water, sometimes in glass bottles due to reasons including protocols on serving VVIPs. This costs the civic body Rs 20 to 25 lakh annually. Sources add that officials and councillors themselves are avoiding AMC's water brand, leading to 200 ml bottles being discontinued. On April 30 this year, a proposal to spend approximately Rs 1.50 crore annually on tea, snacks, meals and drinking water at govt events in the city was put up for approval. The proposal to award a rate contract for Rs 1 crore annually for tea, snacks, and meal packets at various AMC events was approved, while a proposal to spend Rs 50 lakh annually on bottled water was rejected, with instructions to retender. Now, AMC is processing the tender, rendering the current bottling plant ineffective. Caught in its own 'Jal jaal' Sources in AMC's health department said that a decade ago, as serving bottled water at events cost the civic body Rs 40 to 50 lakh a year, the then municipal commissioner, D Thara, approved a plan to set up a bottling plant for Rs 1.25 crore in Kotarpur. The plant, ready by 2014, remained non-operational for two years and in 2016, was activated under the brand name 'Jal', producing 200 ml, 500 ml, and 1,000 ml water bottles. These were sold at Amul parlours outside AMC gardens and served at corporation events. In 2019, when the central govt began implementing a phased ban on single-use plastics, the then civic chief, Vijay Nehra banned the 200 ml bottles of 'Jal'. After the responsibility for water arrangements at all AMC events was handed over to its health department, it went back to serving 200ml bottles, procured from private companies, defeating all environmental and cost-saving purposes, the sources said. Yeida to issue leases in JAL's Special Development Zone
The Yamuna Expressway Industrial Development Authority (Yeida) on Thursday said it will execute fresh sublease agreements directly with developers whose projects fall within the Special Development Zone (SDZ) originally allotted to Jaiprakash Associates Limited (JAL). The announcement follows a March 10 ruling by the Allahabad High Court that upheld Yeida's 2020 decision to cancel JAL's 1,000-hectare land allotment but protected the legal rights of sub-lessees — developers who had acquired portions of the Sports City land for housing projects. 'We have decided to execute the fresh lease after the high court's decision… These developers can now apply through Yeida's online portal to execute new leases with us,' said Arun Vir Singh, CEO of Yeida. 'The court directed us to do so on the same terms and conditions as earlier agreements with JAL, but subject to recovery of any outstanding dues.' The order, issued by a bench of justices Manoj Kumar Gupta and Kshitij Shailendra, also mandated that Yeida issue individual notices to all sub-lessees within four weeks, publish a public notice, and complete lease formalities within 12 weeks. Developers will then have eight more weeks to sign the new sub-lease deeds. To protect buyers, the court further ruled that Yeida must bear the cost of stamp duty and registration. A total of 13 projects fall under this directive, comprising 10,134 approved flats and 3,230 residential plots across Sectors 19 and 25 — affecting an estimated 13,364 homebuyers. 'The online portal for sub-lessees to upload documents is live, and the deadline for submissions is June 21 — the same as that for individual homebuyers,' Singh added. Among the developers impacted, Gaur Sons' two high-rise projects in Sector 19 account for 3,104 flats, and its plotted project in the same sector includes 3,230 plots — more than 2,200 of which have already been sold. Other affected builders include Imperia Homes Planners (629 flats), and Royal Hometown Planners (480 flats). The dispute dates back to February 2020, when Yeida cancelled JAL's allotment over unpaid development charges dues. JAL had won the SDZ land in 2008 to develop a sports and education hub centred around the Buddh International Circuit but failed to deliver. After years of litigation, the high court upheld the cancellation while safeguarding the interests of sub-lessees. The court also directed Yeida to complete 12 partially built JAL housing projects under staggered timelines based on their stage of completion. While Yeida has formed a monitoring committee and is preparing a revival plan, the appointment of a new construction partner remains on hold pending a Supreme Court hearing on July 19.

The Brihanmumbai Municipal Corporation (BMC) has selected Reliance Industries Limited (RIL) to develop 53 hectares of open space along the coastal road of Mumbai. The company may take at least three to four months to prepare a plan after which work on new open spaces along the road from Priyadarshini Park to Worli will commence, said sources in the civic body to Mint as cited by them in a report. The BMC earlier had planned to independently develop open spaces along the Rs 13,000-crore Coastal Road. However, the plan was dropped due to an estimated additional cost of Rs 400 crore and the rising capital expenditure linked to these major projects. The current 10.58-km Coastal Road, connects to Marine Drive's Princess Street Flyover and then to the Bandra-Worli Sea Link (BWSL). A 7.5-kilometre-long area is under construction out of which Tata Sons is developing the 5-hectare area. Out of the 111 hectares of land reclaimed from the sea, BMC wants to develop 70 hectares of open landscape as green pockets with gardens, cycling tracks and amphitheatres. Remaining 53 hectares, near Breach Candy to Worli, BMC was trying to find private companies who can develop and maintain the open space for which an EOI was submitted. They invited private companies and voluntary organisations to design, develop and maintain this land. Five big companies like Jindal, Raymond, RPG foundation, Vedanta apart from Reliance had shown interest in the proposal. A proposal to finalise RIL was sent to the municipal commissioner's office. After the final approval, the agency will submit detailed designs along with a timeline as reported by Indian Express.
