
PENN Entertainment Responds to ISS Report
WYOMISSING, Pa.--(BUSINESS WIRE)--PENN Entertainment, Inc. (Nasdaq: PENN) ('PENN' or the 'Company') today made the following statement in response to the report issued today by Institutional Shareholder Services ('ISS') related to the Company's 2025 Annual Meeting of Shareholders (the 'Annual Meeting') on June 17, 2025:
The ISS report confirms that two director seats are up for election at the 2025 Annual Meeting and that PENN and HG Vora have nominated and are recommending the same two highly-qualified candidates - Johnny Hartnett and Carlos Ruisanchez. ISS recognizes the open-mindedness with which PENN evaluated HG Vora's director candidates, noting: 'To its credit, the board appears to have given serious consideration to all three dissident nominees, and was open to accepting two of these nominees as its own.' 1 PENN encourages all shareholders to vote for Messrs. Hartnett and Ruisanchez for election and looks forward to welcoming them to the Board. Following the Annual Meeting, 75% of PENN's directors will have joined the Board since 2019.
In reaching its conclusions however, the ISS report fails to reflect a realistic view of William Clifford's candidacy. We remind shareholders that, during his time as PENN's CFO, Mr. Clifford advocated against key initiatives that were critical to succeeding in a competitive market. Following Mr. Clifford's departure in 2013 as PENN's CFO, these changes were implemented under the publicly announced P30 program and resulted in meaningful margin improvement. Further, during his interviews with PENN's Nominating and Corporate Governance Committee, Mr. Clifford demonstrated antiquated views of a rapidly changing industry, and the same posture of resistance to exploring value-generating solutions, which we believe would hinder constructive decision-making. PENN attempted multiple resolutions with HG Vora, but all of our resolution attempts were rejected. Given HG Vora's violation of its institutional waivers by multiple state gaming regulators, our ability to allow HG Vora to influence the governance of the Company beyond the evaluation of the nominees was expressly prohibited.

Prediction: This Artificial Intelligence (AI) Stock Could Hit a $6 Trillion Valuation by 2030
Nvidia is currently the world's largest company by market cap. The semiconductor giant still has a lot of room for growth, considering the potential investment in artificial intelligence (AI) infrastructure over the next five years. Nvidia has additional catalysts coming into play that could allow it to sustain terrific growth and hit a $6 trillion valuation in the future. 10 stocks we like better than Nvidia › Nvidia (NASDAQ: NVDA) is the most valuable company in the world as of this writing, with a market cap of $3.4 trillion, and it has reached this position thanks to a tremendous rally of more than 1,500% in its stock price in the past five years. Investors will now be wondering if Nvidia has the potential to deliver more upside over the next five years following this phenomenal run. However, don't be surprised to see this semiconductor giant's shares jump higher and attain a $6 trillion valuation by the end of the decade. Let's take a closer look at the factors that could help Nvidia hit that milestone by 2030. Robust demand for Nvidia's AI chips has been the biggest reason behind the stock's terrific surge in recent years. The good part is that Nvidia continues to generate a massive amount of revenue from its AI chip business despite tackling headwinds such as export restrictions to key markets like China. This was evident from Nvidia's latest results for the first quarter of fiscal 2026 (which ended on April 27). The company's revenue shot up 69% year over year to $44.1 billion during the quarter, even though it lost $2.5 billion in revenue in fiscal Q1, owing to the restrictions on sales of its chips to China. The chipmaker also incurred a $4.5 billion inventory charge to write down the value of chips that were intended for the Chinese market. Moreover, Nvidia's fiscal Q2 revenue would take an $8 billion hit on account of the China-related restrictions. But the good part is that the company's guidance for the current quarter still calls for a 50% year-over-year increase in revenue, while its earnings are expected to increase by 44% despite anticipated loss in Chinese revenue. CEO Jensen Huang admitted on Nvidia's latest earnings conference call that the $50 billion Chinese market is now effectively closed to U.S. players such as Nvidia. Even then, analysts have increased their revenue estimates. That's not surprising, as Nvidia still has a massive sales opportunity in AI chips beyond the Chinese market. It is now entering new markets such as Saudi Arabia to build AI factories "powered by several hundred thousand of Nvidia's most advanced GPUs over the next five years," according to the company. Additionally, massive AI infrastructure projects such as Stargate, from which Nvidia has started benefiting already, could help it mitigate the lost opportunity in China. Management consulting firm McKinsey & Company predicts that AI-capable data centers could require investments worth a whopping $5.2 trillion by 2030 to build enough computing power to handle training and inference workloads. So investors would do well to look past the China-related problems that Nvidia is currently facing, as the broader opportunity in the AI data center market should be lucrative enough to help the chipmaker keep growing at a healthy pace for the next five years. Moreover, Nvidia is showing no signs of losing its grip over the AI chip market. Its data center revenue shot up an impressive 73% year over year to $39 billion in the previous quarter. That was miles ahead of Broadcom's $4 billion AI revenue and AMD's $3.7 billion data center sales in the previous quarter, the two chipmakers that are considered to be the closest to Nvidia in the AI chip race. Nvidia's data center growth was higher than the 57% growth recorded by AMD in this segment and close to the 77% growth in Broadcom's AI revenue, even though it has a much larger revenue base. This is a testament to just how popular Nvidia's AI chips are, with the company's latest generation of Blackwell processors already a major hit among cloud computing giants within two quarters of hitting the market. Even better, Nvidia has moved past just selling AI hardware. It also offers access to models that help customers train and deploy AI agents, along with other enterprise AI applications that allow customers to improve the efficiency of their large language models (LLMs). Its enterprise platforms are gaining traction in diverse industries such as cybersecurity and restaurants where companies are deploying Nvidia's solutions to streamline their operations or to build agentic AI applications. All this indicates that investors shouldn't miss the forest for the trees, as Nvidia's long-term prospects aren't dependent on just China. There is still a lot of room for growth in the AI chip market, and the company's diversification into other areas such as enterprise AI applications and automotive should be enough to power remarkable growth over the next five years. Nvidia is currently trading at 23 times sales. While that's three times the U.S. technology sector's average price-to-sales ratio, the company's dominant position in AI chips, the prospects of this market, and the other catalysts that are coming into play help justify that valuation. We have already seen in the chart that Nvidia's top line is expected to jump to $292 billion in three years. If it maintains its sales multiple at that time, it will be able to easily surpass a $6 trillion valuation in just three years, representing a big jump from current levels. However, if we assume Nvidia's top-line growth slows after fiscal 2028 to an annual rate of 15% in fiscal 2029 and 2030 from the 31% compound annual growth rate that it is forecast to clock between fiscal 2026 and 2028 (using fiscal 2025 revenue of $130.5 billion as the base), its annual revenue could jump to $386 billion after five years. If Nvidia trades at a discounted 15 times sales at that time, it could still hit a $6 trillion valuation by 2030. So, investors can still consider buying this AI stock in anticipation of more upside in the long run, as it seems capable of maintaining its healthy growth rate over the next five years. Up 725% in 10 Years: Why This Could Be Wall Street's Next Big Stock Split
Stocks tend to get a boost when management announces a stock split. This stock has produced excellent operating results, and a split could signal confidence from management. Advances in artificial intelligence could unlock a lot of value for the business over the next few years. 10 stocks we like better than Meta Platforms › Some might argue a stock split is merely cosmetic. Existing owners still own the same percentage of the company they did before the split and the business continues to operate just as it had before. The only difference is new buyers can now buy even smaller portions of the business, and shareholders can sell off smaller portions. But a stock split, which usually comes after a prolonged period of gains in the stock price, can provide a useful signal from management. If management expects the price to continue climbing higher, it's more likely to split the stock. If it thought the stock was overvalued, it might hold off. As a result, stock prices seem to move higher when management announces a stock split. In that case, it's best to buy a stock ahead of management's decision. And one stock, up 725% in the last decade, is a great buy at its current price whether management decides to split its shares or not. There are a few factors that go into the decision to split shares. For one, the stock probably has a relatively high price, making it difficult for retail investors to buy whole shares. But there are other factors at play as well, including how the company uses share-based compensation and how much of the business is owned by smaller investors. When all of them align, a stock split makes a lot of sense. That's why Meta Platforms (NASDAQ: META) looks poised to split its shares in the near future. Not only does the stock trade well above $650 per share, it pays out over $16 billion in share-based compensation per year and 20% of the shares outstanding are held by retail investors. Meta has been one of the most successful businesses over the last 10 years. After several major acquisitions -- Instagram, WhatsApp, Oculus -- the company has grown its user base across all of its apps while pushing the frontier of virtual reality and augmented reality. Its recent focus on artificial intelligence (AI) promises to unlock value across its properties, including WhatsApp and Reality Labs (its AR/VR business segment). Thanks to strong execution, management has grown its annual advertising revenue from $11.5 billion in 2014 to $161 billion in 2024. That's an average compound annual growth rate of 30%. But there's a lot more growth ahead for Meta Platforms, and there's a good reason management may want to split its stock. Meta sees several opportunities to grow faster over the long run than its smaller competitors and many other tech companies of its size. As mentioned, the key to unlocking a ton of value for Meta is its work in advancing artificial intelligence. To that end, management plans to spend around $70 billion this year on capital expenditures, mostly focused on building and outfitting data centers for AI training and inference. AI has the power to unlock a ton of value for Meta's feed-based apps. The company is working on AI agents that can create and manage ad campaigns for any business with any product, including ad creatives customized for each user. That could increase the value of ads on Facebook and Instagram, open the door for more small businesses to advertise, and increase the total share of ad spend flowing to Meta. And this isn't some far-off dream, the company expects to roll out that feature by the end of next year, according to a report from The Wall Street Journal. Meta also has an opportunity to build chatbot agents for businesses within WhatsApp and Messenger, offering individualized sales and customer service reps. That could further increase interest in Meta's click-to-message ad units, which were a $10 billion business in its most recently reported quarter. One analyst thinks Meta could generate $100 billion per year from chat agents by charging businesses directly. Lastly, Meta can use generative AI to take full advantage of the immersive and personalized nature of virtual or augmented reality. It's already seen success integrating its Meta AI chatbot into a pair of glasses, giving the AI access to visuals. The next step is to let AI interact with the world virtually through augmented reality to help users understand what they're looking at, make decisions, or just have fun. Those uses could rapidly push AR and VR into the mainstream. Importantly, Meta's stock trades at a reasonable valuation. Investors can buy shares for 26 times forward earnings expectations. It's worth noting that Meta's earnings growth expectations over the next few years are weighed down by the increased depreciation expense from the last few years' increase in capital expenditures related to AI. But if those AI investments pay off as expected, earnings growth should accelerate as it leverages its innovation across its applications and devices. Management could signal confidence in those efforts paying off by announcing a stock split, but it's worth owning at this price, whether or not a split ever materializes.
