Tunisia: Stock market broker TSI subject of in-depth investigation by CMF
The Financial Market Council (CMF) has just announced that the stock exchange broker Tuniso-Saoudienne d'Investissement (TSI) has been the subject of an in-depth investigation by the CMF since January 9, 2025. The investigations have revealed that TSI's capital is insufficient in relation to the required regulatory ratios and that there are suspected shortcomings in its internal organization and governance. In addition, on April 22, 2025, the company's statutory auditor reported to the CMF the existence of facts likely to jeopardize the interests of TSI or its customers. In accordance with the provisions of Article 270 of the Commercial Companies Code, he disclosed these facts to the public prosecutor. Faced with these findings, the CMF has immediately implemented a series of preventive measures, in particular the continuation of the investigation and examination of TSI's activity as a stockbroker, as well as coordination with the banks dealing with TSI, the Tunis Stock Exchange and Tunisie Clearing, in order to ensure the protection of clients' assets and to avoid any improper movements. The CMF also invites the public to rely exclusively on the information provided through its official channels and undertakes to inform the public of any important developments concerning this dossier in due course and in accordance with the texts in force.

Tunisia: Kilani Group acquires STA, a CHERY dealer, from Chaâbane family
The Financial Market Council (CMF) has just announced that the Société Tunisienne d'Automobiles (STA), dealer of the Chinese car brand CHERY, has applied to the CMF on April 18, 2025 for authorization to acquire control of 1,024,861 STA shares, representing 51.243% of the company's capital, at a price of 24,400 dinars per share. This transaction was the subject of a transfer protocol signed on April 18, 2025 between Mr. Nouri Chaabane, acting on his own behalf and on behalf of individuals and legal entities (Consortium des Immobilières Maghrébines, Société Hotel Palace, Mr. Seifeddine Chaabane and Mrs. Nedra Chaabane) and Kilani Holding. The CMF has announced that STA shares will be suspended from trading on Monday, April 21, 2025. STA was listed on the Tunis Stock Exchange on March 17, 2022 at a price of 17 dinars per share.
