('Charles & Colvard' or the 'Company'), announced that the Company received a staff determination letter from the Nasdaq Stock Market, LLC ('Nasdaq'), informing the Company that Nasdaq determined to suspend trading and delist the Company's common stock (the 'Common Stock') from Nasdaq because the Company is out of compliance with Listing Rule 5250(c)(1) for failure to timely file its Forms 10-Q for the quarters ended September 30 and December 31, 2024, unless the Company appeals this determination. (NASDAQ: FLUX), a developer of advanced lithium-ion energy storage solutions for electrification of commercial and industrial equipment, today announced that on February 21, 2025, it received an additional notice (the "Notice") from the Listing Qualifications Department of the Nasdaq Stock Market LLC ("Nasdaq") notifying the Company that it was not in compliance with requirements of Nasdaq Listing Rule 5250(c)(1) (the "Listing Rule") as a result of not having filed its Quarterly Report on Form 10-Q for the period ended December 31, 2024 ("Form 10-Q") with the Securities and Exchange Commission ("SEC"). This notification has no immediate effect on the listing of the Company's common stock on the Nasdaq. Under the Nasdaq rules, the Company has until March 10, 2025, to submit to Nasdaq an updated plan to regain compliance with the Nasdaq Listing Rule.
