Verve Therapeutics Announces Inducement Grants under Nasdaq Listing Rule 5635(c)(4)

BOSTON, June 02, 2025 (GLOBE NEWSWIRE) -- Verve Therapeutics, a clinical-stage company developing a new class of genetic medicines for cardiovascular disease, today announced that on May 30, 2025, the company granted equity awards to four new employees, pursuant to the company's 2024 Inducement Stock Incentive Plan, as an inducement material to each new employee entering into employment with the company in accordance with Nasdaq Listing Rule 5635(c)(4). The employees received stock options to purchase an aggregate of 65,000 shares of the company's common stock and an aggregate of 22,000 restricted stock units (RSUs). The options have an exercise price of $4.45 per share, which is equal to the closing price of the company's common stock on the date of grant. Each option has a 10-year term and will vest over a period of four years, with 25% of the shares vesting on the one-year anniversary of the grant date and the remainder vesting in equal monthly installments over the following three years, subject to each such employee's continued service with the company on each such vesting date. The RSUs will vest in equal annual installments on the first three anniversaries of July 1, 2025, subject to each such employee's continued service with the company on each such vesting date. NEWTON, Mass., June 2, 2025 /PRNewswire/ -- Karyopharm Therapeutics Inc. (Nasdaq: KPTI), a commercial-stage pharmaceutical company pioneering novel cancer therapies, today announced that the Company granted an aggregate of 566 restricted stock units (RSUs) to two newly-hired employees. These RSU awards were granted as of May 31, 2025 (the "Grant Date") pursuant to the Company's 2022 Inducement Stock Incentive Plan, as amended, as inducements material to the new employees entering into employment with Karyopharm in accordance with Nasdaq Listing Rule 5635(c)(4). Each RSU award will vest over three years, with 33 1/3% of the shares underlying the RSU award vesting on each of the three consecutive anniversaries of the Grant Date. The vesting of each RSU award is subject to the employee's continued service as an employee of, or other service provider to, Karyopharm through the applicable vesting dates. In addition, each RSU award will be immediately exercisable in full if, on or prior to the first anniversary of the consummation of a "change in control event," the employee's employment is terminated for "good reason" by the employee or terminated without "cause" by Karyopharm (as such terms are defined in the 2022 Inducement Stock Incentive Plan, as amended). Lucera. The awards were approved by the Compensation Committee of Dyne and made as an inducement material to Mr. Lucera's acceptance of employment with Dyne under Dyne's 2024 Inducement Stock Incentive Plan in accordance with Nasdaq Listing Rule 5635(c)(4).
